as ancillary administrator of the Estate of James Stakely Shearman a/k/a James S.Shearman,
late of Indian River County,Florida,who died intestate on the5th day of September,two thousand fourteen,
party of the first part,and
MARTHA ANNE SHEARMAN,A0 Fifth Avenue-Apt.3D,New York,New York 10021,
party of the second part,
WITNESSETH,that the party of the first part, to whom ancillary letters of administration were issued by the
Surrogate's Court,Suffolk County,New York on October 12,2016(File No.2016-3774),and by virtue of the power
and authority given by Article 11 of the Estates, Powers and Trusts Law,without consideration paid by the party
of the second part,does hereby grant and release,unto the party of the second part,the distributees or successors
and assigns of the party of the second part forever,an undivided one-third(1/3) interest in the party of the first
part's undivided twenty-five percent(25%)interests in
ALL those certain plots,pieces or parcels of land,with the buildings and improvements thereon erected,situate,
lying and being at Fishers Island, Town of Southold, County of Suffolk and State of New York, being more
particularly bounded and described as Parcel I and Parcel II as set forth on Schedule A hereto.
BEING AND INTENDED TO BE(i)in the case of Parcel I described on Schedule A hereto,the same premises in
which an undivided twenty-five percent interest was conveyed to the said decedent by deed,dated November 21,
1997 and recorded in the Office of the Suffolk County Clerk on December 23,1997 in Liber 11869 page 146,and
(ii)in the case of Parcel II described on Schedule A hereto,the same premises in which an undivided twenty-five
percent interest was conveyed to the said decedent by deed,dated November 21,1997 and recorded in the Office
of the Suffolk County Clerk on December 23, 1997 in Liber 11869 page 147,this deed being intended to convey
an undivided one-third interest in each of such respective undivided twenty-five percent interests.
TOGETHER with all right,title and interest, if any, of the party of the first part, in and to any streets and roads
abutting the above described premises to the center lines thereof;TOGETHER with the appurtenances,and also
all the estate which the said decedent had at the time of decedent's death in said premises,and also the estate
therein,which the party of the first part has or has power to convey or dispose of,whether individually,or by virtue
of said will or otherwise;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part,the heirs or successors
and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything whereby
the said premises have been encumbered in any way whatever,except as aforesaid.
AND the party of the first part,in compliance with Section 13 of the Lien Law,covenants that the party of the first
part will receive the consideration forthis conveyance and will hold the right to receive such consideration as a trust
fund to be applied first for the purpose of paying the cost of the improvement and will apply the same first to the
payment of the cost of the improvement before using any part of the total of the same for any other purpose.The
word"party"shall be construed as if it read"parties"whenever the sense of this indenture so requires.

Town of Southold, County of Suffolk and State of New York, being more particularly
bounded and described as follows:
BEGINNING at an iron pipe on the northwesterly line of a road,said iron pipe being located
1582.48 feet South of a point which is 1456.83 feet West of a monument marking the
United States Coast and Geodetic Survey Triangulation Station"NIN"; and
RUNNING THENCE southwestwardly along said road line and following the arc of a curve
to the left having a radius of 235.47 feet and the direction of whose radius at that point is
South 33 degrees 58 minutes 04 seconds East, a distance of 139.57 feet to a point of
r curve to the left having a radius of 798.61 feet and the direction of whose radius at that
