EASEMENT AGREEMENT
THIS INDENTURE made this day of , 2018, by and between GLEBE
ASSOCIATES, LLC with a principal place of business at 5775 West Mill Road, Mattituck,New
York 11952 (hereinafter referred to as "Grantor"), and STRONG'S WEST MILL, LLC with a
principal place of business at 5780 West Mill Road, Mattituck, New York 11952 (hereinafter
referred to as "Grantee").
WHEREAS, Grantor owns certain improved lands situate at 5775 West Mill Road,
Mattituck, New York 11952, Suffolk County Tax Map No. 1000-106-6-4.1, more fully
described on Exhibit "A" annexed hereto and made a part hereof("Grantor's Property"); and
WHEREAS, Grantee owns certain improved lands situate at 5780 West Mill Road,
Mattituck, New York 11952, Suffolk County Tax Map No. 1000-106-6-13.4 (Grantee's
Property"); and
WHEREAS, Grantee is desirous of an Easement over a portion of Grantor's property
depicted as Easement No. 2 on the Survey of Grantor's property prepared by Nathan Taft
Corwin, III, on July 28, 2008, last revised on May 8, 2018, a copy of which is attached hereto as
Exhibit "B" which Easement Area is more fully described in Exhibit "C" annexed hereto
("Easement Area"); and
WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an
Easement to Grantee over the Easement Area so that Grantee can access Grantee's Property from
West Mill Road.
WITNESSETH:
1. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in
perpetuity, an Easement on, over and under that part of Grantor's real property depicted on
Exhibit "B" annexed hereto and more fully described in Exhibit "C" annexed hereto.
2. The nature, character and extent of the Easement hereby granted is as follows:
A. Grantee shall have the right, subject to the rights of the Grantor, its
successors and assigns as more fully set forth herein, to traverse said Easement Area from West
Mill Road to Grantee's Property.
B. Said access shall be limited to pedestrian or vehicular traffic and utilities.
C. The location of the Easement Area described in Schedule "C" shall not be
changed without the consent of both parties and their respective representatives.
D. Any and all costs associated with the use of said Easement shall be borne
solely by the Grantees, and furthermore, the Grantees, in conjunction with use of the Easement
by the Grantees, agree to provide the Grantor with proof of liability insurance provided for by
the Grantees, naming the Grantor, its heirs, successors and assigns as the case may be; as an
additional insured thereon as the Grantor's interests may appear.
E. Grantees also agree to indemnify, save and hold Grantor harmless against
any and all claims for property damage and/or personal injury arising out of the use and
enjoyment of said Easement by the Grantees, their heirs, successors and assigns, invitees and
trespassers to the extent not covered by insurance. Grantor, its successors and/or assigns, shall
notify the Grantees by certified mail, return receipt requested, of a change in ownership in order
to facilitate changes in the endorsement.
3. This Agreement shall inure to the benefit of, and bind, the parties, their heirs,
successors, legal representatives and/or assigns, and shall run with the land in perpetuity.
IN WITNESS WHEREOF, the parties hereto have executed this Easement
Agreement on the day and year first above written.

and being at Mattituck,Town of Southold,County of Suffolk and The State of New York,more

BEGINNING at a point along the westerly side of Mill Road at the northeasterly comer of land
