EASEMENT AGREEMENT
THIS INDENTURE made this tkday of��, 2018, by and between the Town of
Southold, a municipal corporation of the State of New York, having its principal office at 53095
Main Road, Southold,New York 11971 (hereinafter referred to as "Grantor"), and Glebe
Associates, LLC, a New York limited liability company with its principal place of business
located at 5775 West Mill Road, Mattituck,New York, 11952 (hereinafter referred to as
"Grantee").
WHEREAS, Grantor owns certain roadways and highways throughout the Town of
Southold including West Mill Road in the Hamlet of Mattituck; and
WHEREAS, Grantee owns certain improved land situate at 5775 West Mill Road,
Mattituck New York, identified as Suffolk County Tax Map No. 1000-106-6-3 (Grantee's
Property"); and
WHEREAS, Grantee is desirous of an Easement over a small, unimproved portion of
West Mill Road that lies adjacent to Grantee's Property depicted as "Easement No. 1" on the
survey of Grantee's Property prepared by Nathan Taft Corwin, III on July 28, 2008 and last
revised on May 8, 2018, attached hereto as Schedule "A" and more fully described in Schedule
"B" annexed hereto ("Easement Area"); and
WHEREAS, Grantor has determined that the Easement Area is no longer used or
maintained by the Town of Southold or its residents and serves no public need or benefit; and
WHEREAS, Grantor, for good and valuable consideration, is desirous of conveying an
Easement to Grantee over the Easement Area for the placement of certain structures and utilities
necessary for the use and occupancy of Grantee's property.
WITNESSETH:
1. Grantor does hereby grant, transfer, bargain, sell and convey unto Grantee, in
perpetuity, an Easement in gross of the nature, character, and to the extent hereinafter set forth,
over and upon the Easement Area depicted in Schedule"A" hereto, and more fully described in
Schedule "B" attached hereto, for the purpose of allowing improvements and structures
necessary for the use and occupancy of Grantee's property to be placed in the Easement Area.
2. The location of the Easement Area described in Schedule `B" shall not be
changed without the consent of both parties and their respective representatives. Any and all
costs associated with the use and maintenance of said Easement Area shall be borne solely by the
Grantee, and furthermore, the Grantee, in conjunction with use of the Easement Area by the
Grantee, agrees to provide the Grantor with proof of liability insurance provided for by the
Grantee, naming the Grantor, its heirs, successors and assigns as the case may be, as an
additional insured thereon as the Grantor's interests may appear.
3. Grantee also agrees to indemnify, save and hold Grantor harmless against any and
all claims for property damage and/or personal injury arising out of the use and enjoyment of
said Easement Area by the Grantee, its heirs, successors and assigns, invitees and trespassers to
the extent not covered by insurance.

Legal Description of Easement No. 1
ALL that certain plot,piece or parcel of land,with buildings and improvements thereon erected,
situate, lying and being at Mattituck,Town of Southold,County of Suffolk and The State of New
York,more particularly bounded and described as follows:
BEGINNING at a point at the southwest corner of land now or formerly of Glebe Associates,
LLC,at the northwest corner of land to be herein described,said point being also the following
two(2)courses and distances from a point where the division line between land now or formerly
of the Town of Southold and land now or formerly of Glebe Associates, LLC intersects the
easterly side of Mill Road:
(1) South 53 degrees 23 minutes 00 seconds East along the easterly side of Mill Road,
15.81 feet to a point;
(2) South 23 degrees 30 minutes 00 seconds East along the easterly side of Mill Road,
98.35 feet to the true point or place of BEGINNING;
