THIS INDENTURE, made as of the l st day of August, 2018 between CAPITAL ONE,
NATIONAL ASSOCIATION, a national banking association, having an address at 275
Broadhollow Road, Melville, New York, 11747 ("Grantor"), and THE TOWN OF SOUTHOLD,
a New York incorporated town or municipal corporation, having an address at Southold Town
Annex, 54375 Route 25 (Main Road), P.O. Box 1179, Southold, New York 11971-0959
("Grantee").
WITNESSETH :
That Grantor, in consideration of Ten Dollars ($10.00) and other valuable consideration
paid by Grantee, does hereby grant and release unto Grantee, the heirs or successors and assigns
of Grantee forever, all of Grantor's interest in that certain plot, piece or parcel of land, with the
buildings and improvements thereon erected, situate, lying and being in the Town of Southold,
Suffolk County, New York, as more particularly bounded and described in Exhibit A annexed
hereto and made a part hereof(the "Premises") being the same premises conveyed to Grantor, as
successor by merger to North Fork Bank which was the successor by merger to Southold Savings
Bank by the following instruments:
1) Deed from Theodore Hoinkis and Clara E. Hoinkis, his wife, dated July 1, 1925,
recorded July 3, 1925 in Liber 1136 Cp. 450 (affects part of Premises - Parcel 1);
2) Deed from John Terp and Lucy Terp, his wife, dated December 16, 1976, recorded
December 22, 1976 in Liber 8162 Page 561 (affects part of Premises - Parcel Il);
3) Deed from Edith W. Prince, dated November 30, 1966, recorded November 30, 1966
in Liber 6077 Cp. 226 (affects part of Premises - Parcel III);
4) Acquired title as Southold Savings Bank by deed from Frederick C. Prince and Henry
W. Prince, individually and as Executors of the Last Will and Testament of Fred G. Prince, also
known as Frederick G. Prince, deceased, dated May 28, 1969, recorded May 29, 1969 in Liber
6557 Cp. 343 (affects remainder of Premises - Parcel IV).
Together with all right, title and interest, if any, of Grantor in and to any streets and roads
abutting the Premises to the center lines thereof;
Together with the appurtenances and all the estate and rights of Grantor in and to the
Premises; and
Subject to zoning, building and other laws, any violations thereof, encroachments, and
such liens, agreements, covenants, easements, restrictions, consents and other matters of record
as pertain to the Premises.
TO HAVE AND TO HOLD the Premises herein granted unto Grantee, the heirs or
successors and assigns of Grantee, forever.
AND Grantor, in compliance with Section 13 of the Lien Law, covenants that Grantor
will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the

improvements before using any part of the total of the same for any other purpose.
