GRANT OF EASEMENT
THIS GRANT OF EASEMENT is made as of the I Lr` day of June, by
MICHAEL B. ROTHFELD, having an address of 1220 Park Avenue, New York, New York
10128 (hereinafter referred to as "Grantor"), to FISHERS ISLAND UTILITY COMPANY,
INC., THE FISHERS ISLAND ELECTRIC CORPORATION, FISHERS ISLAND
TELEPHONE CORPORATION and FISHERS ISLAND WATER WORKS CORPORATION
(hereinafter referred to as the "Utility Companies), each of the Utility Companies being a
New York corporation and each having an address of 161 Oriental Avenue, P. O. Drawer
E, Fishers Island, New York 06390;
WITNESSETH :
WHEREAS, Grantor is the owner in fee of premises situate at Crescent'
Avenue, Fishers Island, Town of Southold, County of Suffolk,and State of New York
(SCTM No.1000-006.00-02.00-002.001), having acquired title to such premises by deed
recorded in the Office of the Suffolk County Clerk on October 21, 1997 in Liber 11858
page 020, said premises being more particularly bounded and described as set forth on
Schedule A hereto (hereinafter referred-to as "Grantor's Premises"); and
WHEREAS,the Utility Companies have previously installed and maintained
over a portion of Grantor's Premises poles, lines, boxes and other utility equipment and
devices for the provision of electric and telephone services to properties in the vicinity of
Grantor's Premises; and 00I .
WHEREAS,the Utility Companies desire to acquire a permanent easement
over a portion of Grantor's Premises, which portion includes but is not limited to the land
on which the poles, lines, boxes and other utility equipment and devices for the provision
of electric and telephone services are currently installed and maintained, and Grantor is
willing to grant such easement upon the terms and conditions hereinafter set forth;
NOW,THEREFORE,in consideration of the sum of Ten Dollars($10.00)and
other good and valuable consideration paid by the Utility Companies, the receipt and
sufficiency of which are hereby acknowledged,
Grantor hereby grants and releases unto each of the Utility Companies and
its respective successors and assigns, a permanent easement upon, across, over and/or
under the Easement Area described below for the use, construction, operation,
maintenance, repair, improvement and replacement of poles, electrical power lines,
transformers, telephone lines, power and communication cables and boxes, water mains
and pipes, gas lines, sewer lines, conduits, guys, anchors and any other utility equipment
or devices of any nature that may now or may hereafter be employed to provide utility
services to properties in the vicinity of Grantor's Premises. This easement shall include
the right of each of the Utility Companies and its respective contractors, agents, servants
and employees to enter upon the Easement Area to undertake any actions consistent with
the purposes for which this easement is granted, including but not limited to the trimming,
cutting and removal of trees and other vegetation that in their judgment might Interfere with

the continuity of any utility service and the installation of gates, fences, chains or other
barriers to discourage any use of the Easement Area by the public, but nothing herein
shall be construed as imposing any obligation upon any of the Utility Companies to
undertake any such actions; provided, however, if requested by Grantor, the Utility
Companies shall install appropriate gates, fences, chains or other barriers reasonably
acceptable to Grantor and the Utility Companies to discourage use of the Easement Area
by the public.
The Easement Area covered by this Grant of Easement is described as
follows:
All that certain plot, piece or parcel of land situate, lying and being at Fishers
Island in the Town of Southold, County of Suffolk and State of New York, being more
particularly bounded and described as follows:
BEGINNING at a point in the southwesterly boundary of Grantor's
Premises, said point being located North 380 17' 00" West, 13.34 feet from a monument
located 3078.29 feet West of a point which is 5851.66 feet North of another monument
marking the United States Coast and Geodetic Survey Triangulation Station "PROS" as
measured along said southwesterly boundary; and
RUNNING THENCE along said southwesterly boundary North 380 17' 00"
West, 15.01 feet to a point;
THENCE North 50° 02' 10" East, 154.76 feet to a point in the
southwesterly line of Crescent Avenue;
THENCE along said southwesterly line of Crescent Avenue South 160 42'
00" East, 16.33 feet to a point;
THENCE South 50° 02' 10" West, 148.75 feet to the point of BEGINNING.
This Grant of Easement shall run with the land and be binding upon and
inure to the benefit of the respective successors and assigns of Grantor and the Utility
Companies.
The easement granted hereby (the "New Easement") replaces and
nullifies all other easements in favor of the Utility Companies on Grantor's Premises
(the "Old Easements") but all rights and privileges held by the Utility Companies other
than the specified land boundaries within the Old Easements shall remain in effect in
the New Easement.
Any right herein described or granted or any interest therein or any part
thereof may be assigned, at any time and from time to time, by any of the Utility
Companies or its respective successors or assigns, to any person or entity that provides
utility services to any owner of property in the vicinity of Grantor's Premises, and Grantor,
for itself and its successors and assigns, hereby agrees and ratifies any such assignment
and agrees that such right or interest or part thereof so assigned may be used by the
assignee thereof and its successors and assigns in the same manner as it could be used
by the assignor thereof.

Town of Southold, County of Suffolk and State of New York, bounded and described as
follows:
BEGINNING at a concrete monument on the southerly line of Crescent Avenue at the
northeasterly corner of the premises herein described and the northwesterly corner of land
now or formerly of Thomas D. & Elaine G. Duff; and
RUNNING THENCE South 06 degrees 13 minutes 48 seconds East along said land now
or formerly of Duff, 320.99 feet to a monument and land now or formerly of Walsh Park
Benevolent Corp.;
THENCE westerly along said land now or formerly of Walsh Park Benevolent Corp. the
following two (2) courses and distances;
1. South 87 degrees 45 minutes 49 seconds West, 498.80 feet to a monument;
and
2. South 63 degrees 31 minutes 30 seconds West, 286.15 feet to a monument
and the northeasterly line of Crescent Avenue;
