ALEXANDER WILMERDING, residing at Apartment 15E, The Manhattan, 33 Tai Tam
Road, Stanley, Hong Kong
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Ten Dollars ($10.00) and
other good and valuable consideration paid by the party of the second part, does hereby grant and
release unto the party of the second part; the heirs and successors and assigns of the party of the
second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements, thereon
erected, situate, lying and being on Fishers Island in the Town of Southold, County of Suffolk
and State of New York, more particularly bounded and described on the attached Schedule A
attached hereto and made a part hereof.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in
and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the party of
the second part, the heirs or successors and assigns of the party of the second part forever.
SAID premises are known as Block 9, Lot 3.1, Suffolk, New York, and also known by the street
address of 4997 Equestrian Avenue, Fishers Island, New York.
BEING ALSO THE SAME PREMISES conveyed to Harold P. Wilmerding by David R.
Wilmerding, Jr., Harold P. Wilmerding, and United States Trust Company of New York, as
Trustees under the Last Will and Testament of Barbara Pratt Wilmerding, deceased, by Deed
dated July 29, 1987, and recorded in Suffolk County Clerk's Office on August 7, 1987 in Liber
10387 at Page 84.

THIS conveyance is made subject to all covenants, conditions, restrictions, easements,
provisions, exceptions and reservations, if any, contained in former instruments of record, if any,
the provisions of any applicable zoning ordinances and such state of facts as an inspection and
accurate survey may disclose; in particular, covenants and restrictions contained in a certain
Declaration of Reciprocal Covenants and Rights of First Refusal dated July 29, 1987, recorded
August 13, 1987 in Liber 10391, page 494, and as amended by that certain Amendment to
Declaration of Reciprocal Covenants and Rights of First Refusal dated April 2,2018, recorded
April 3, 2018 in Liber D12956, Page 168.
AND the party of the first part covenants that the party of the first part has not done or suffered `
anything whereby the said premises have been encumbered in any was whatever, except as
aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the
right to receive such consideration as a trust fund to be applied first for the purpose of paying the
cost of the improvement and will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any other purpose. The word
"party" shall be construed as if it reads "parties" whenever the sense of this indenture so
requires.
AND Joannah C. Wilmerding is joining in the execution of this Indenture solely.for the purpose
of consenting to the conveyance and relinquishing marital rights, if any, in the premises.
