THIS INDENTURE made this 'day ofd , 2018, by an between the Town of
Southold, a municipal corporation of the State of New York, having its p Sncipal office at 53095
Main Road, Southold,New York 11971 (hereinafter referred to as "Gran r'), and Glebe

Associates, LLC,,a New York limited liability company with its principa� place of business
located at 5775 West Mill Road, Mattituck, New York, 11952 (hereinaftg referred to as

"Grantee").

WHEREAS, Grantor owns certain roadways and highways throughout the Town of
Southold including West Mill Road in the Hamlet of Mattituck; and ;1
WHEREAS, Grantee owns certain improved land situate at 5775,!West Mill Road,
Mattituck New York, identified as Suffolk County Tax Map No. 1000-10-6-3 (Grantee's

Property"); and

WHEREAS, Grantee is desirous of an Easement over a small, unYmproved portion of
West Mill Road that lies adjacent to Grantee's Property depicted as "Easement No. 1"on the

survey of Grantee's Property prepared by Nathan Taft Corwin, III on Jud 28, 2008 and last
revised on May 8, 2018, attached hereto as Schedule"A" and more fully(described in Schedule
"B" annexed hereto ("Easement Area"); and
WHEREAS, Grantor has determined that the Easement Area is o longer used or

maintained by the Town of Southold or its residents and serves no public need or benefit; and

WHEREAS, Grantor, for good and valuable consideration, is cl irous of conveying an

Easement to Grantee over the Easement Area for the placement of certalti structures and utilities
necessary for the use and occupancy of Grantee's property. !

WITNESSETH:
I
1. Grantor does hereby grant,transfer, bargain, sell and cony unto Grantee, in
perpetuity, an Easement in gross of the nature, character, and to the exte I hereinafter set forth,
over and upon the Easement Area depicted in Schedule"A" hereto, and I ore fully described in
Schedule`B" attached hereto, for the purpose of allowing improvements and structures

necessary for the use and occupancy of Grantee's property to be placed in the Easement Area.
I

2. The location of the Easement Area described in Scheduled `B" shall not be
ill
changed without the consent of both parties and their respective represe4�atives. Any and all
,I
costs associated with the use and maintenance of said Easement Area shell be borne solely by the
Grantee, and furthermore, the Grantee, in conjunction with use of the E4Iement Area by the
Grantee, agrees to provide the Grantor with proof of liability insurance provided for by the
Grantee, naming the Grantor, its heirs, successors and assigns as the case may be, as an
additional insured'thereon as the Grantor's interests may appear.
3. Grantee also agrees to indemnify, save and hold Grantor , armless against any and
all claims for property damage and/or personal injury arising out of the use and enjoyment of
said Easement Area by the Grantee, its heirs, successors and assigns, invitees and trespassers to

the extent not covered by insurance.

4. This Agreement shall inure to the benefit of, and bind, th 1 parties, their heirs,

successors, legal representatives and/or assigns, and shall run with the la,nd in perpetuity.
