STREET ADDRESS: 600 Wickham Avenue,Mattituck,New York SCHEDULE B FIRST COVENANT: The Grantee, Mattituck Fire District, hereby covenants and agrees that the Grantor, Raymond Cleaves Post#861, Inc., shall, in perpetuity, and at no cost whatsoever, continue to have exclusive use of the second floor 1,600 square feet recreational/meeting room area of the existing building containing a bar, bathroom, and congregation area, in addition to use and full access to the first floor of the building containing a meeting area and commercial kitchen upon thirty (30)days notice to the Grantee. In the event there is a conflict between the use of the first floor intended by Grantor and the use of the first floor intended by Grantee, then Grantor's use shall prevail. This covenant shall run with the land. SECOND COVENANT: A. The Grantee hereby covenants to continue to permit the signage display of the building, flagpoles, parking and military statuary and maintain and repair same as reasonably needed; B. Grantee to upgrade ingress and egress at premises to comply American with Disabilities Act(ADA) and all applicable State and Federal statutes, if and when needed by the Grantor for access to the second floor at Grantor's discretion; C. Grantee make repairs in a workmanlike manner by reputable contractors to the second floor of the building as needed so that the plumbing, heating and electric shall always be in good working order and the roof free from leaks; D. Grantee shall replace windows, doors and HVAC system as needed by reputable contractors, and E. Grantor shall be afforded enough parking spaces as needed for its monthly and special meetings; F. In the event the Grantee intends on rebuilding, renovating, or replacing the existing structure, other than normal maintenance, repair and replacement of existing structure, the Grantee shall provide plans to Grantor and obtain written permission by resolution from the Grantor, which shall not be unreasonably withheld; G. Annually, commencing one hundred twenty(120) days after the deed herein has been filed at the Office of the Clerk of Suffolk County, a list of the reasonable repairs or improvements sought by Grantor shall be provided to the Grantee,which repairs and/or improvements shall be performed within one hundred eighty(180) days thereafter; and H. This covenant shall run with the land. REVERSION: In the event the Grantee, Mattituck Fire District, its successor or assigns, fails to comply with the aforesaid covenants, then Grantor shall provide the Grantee written notice of default of non-compliance by certified mail return receipt requested or by other electronic means providing actual notice. Upon failure to cure such default within one hundred Twenty (120)days of receipt of the default notice,then this real property shall revert back to the Grantor, Raymond Cleaves Post#861, Inc., its successors and/or assigns. CANCELLATION OF COVENANT: These covenants may be extinguished and cancelled upon written approval by an officer duly authorized by the Grantor, and if no one is authorized,then the Grantee may obtain approval from the Suffolk County Chairman of the American Legion.
