Update Procurement Policy
RESOLVED that the Town Board of the Town of Southold hereby replaces the Procurement
Policy adopted by Resolution No. 39 of May 18, 2010, and amended by Resolution No. 808 of
October 5, 2010, with the following, to be effective March 1, 2018:
TOWN OF SOUTHOLD PROCUREMENT POLICY
Every prospective purchase of goods or services shall be evaluated to determine the
applicability of General Municipal Law, Section 103. Every Town officer, board, department
head or other personnel with the requisite purchasing authority (hereinafter"Purchaser") shall
estimate the cumulative amount of the items of supply or equipment needed in a given fiscal
year. That estimate shall include the canvass of other Town departments and past history to
determine the likely yearly value of the commodity to be acquired. Upon request, the

Comptroller can calculate the cumulative amount of a particular commodity needed by all Town
departments based on past history. If the cumulative amounts exceed competitive bidding
thresholds, then the purchase must be contracted through the bidding process. The information
gathered and conclusions reached shall be documented and kept with the file or other
documentation supporting the purchase activity. Purchasing activities are to be conducted in a
manner that is in accordance with law, in the best interests of the Town, avoids favoritism,
wastefulness, extravagance, fraud and corruption, and fosters honest competition to obtain the
greatest economic benefit for every tax dollar expended. No anticipated contract or purchase
shall be subdivided or structured with the intention of avoiding this Procurement Policy.
2. All purchases of(a) supplies or equipment which will exceed $20,000.00 in the fiscal
year or (b) public works contracts over$35,000.00 shall be formally bid pursuant to
General Municipal Law, Section 103.
3. All estimated purchases of:
Less than $20,000.00 but greater or equal to $12,000.00 require a written request
for quote ("RFQ") and written/fax quotes from 3 vendors.
Less than $12,000.00 but greater or equal to $5,000.00 require a written RFQ for
the goods and written/fax quotes from 2 vendors.
Less than $5,000.00 but greater or equal to $2,500.00 requires verbal quotes for
the goods from 2 vendors. These verbal quotes must be documented by the
department purchasing said goods.
Less than $2,500.00 are left to the discretion of the Purchaser, but written/fax
quotes are preferred.
All estimated public works or service contracts of:
Less than $35,000.00 but greater or equal to $20,000.00 requires written
fax/proposals from 3 contractors.
Less than $20,000.00 but greater or equal to $10,000.00 requires written
fax/proposals from 2 contractors.
Less than $10,000.00 but greater or equal to $5,000.00 requires verbal quotes
from 2 contractors. These verbal quotes must be documented by the department
soliciting the quotes.
Less than $5,000.00 are left to the discretion of the Purchaser but written/fax
quotes are preferred.
All prospective purchasers of professional services of:
Greater than $35,000 requires a formal, competitive Request for Proposal
("RFP"), which shall be evaluated based upon qualitative factors and quantitative
factors, as set forth in said RFP.
Less than $35,000.00 but greater or equal to $25,000.00 requires a written RFQ
and statement of qualifications from 3 vendors.
Less than $25,000.00 but greater or equal to $10,000.00 requires a written RFQ
and statement of qualifications from 2 vendors.
Less than $10,000.00 are left to the discretion of the Purchaser, but written/fax

quotes and statement of qualifications is preferred.
Any written request for quotes/prices shall describe the desired goods, quantity and the
particulars of delivery. The Purchaser shall memorialize the name and address of all
vendors from whom written/fax quotes have been requested and the written/fax quotes
offered on a Proposal Quotation Form.
4. All Proposal Quotation Forms shall be date stamped and shall be kept confidential
until the purchase order is signed and returned to the department. Until that time
no employee shall discuss any price quote with the prospective vendor or contractor.
A copy of the Proposal Quotation Form and any written proposals shall be attached
to the purchase order before it is submitted to the Accounting Department. All
information gathered in complying with the procedures of this item shall be
preserved and filed with the documentation supporting the subsequent purchase or
public works contract.
5. The purchase, public works or service contract shall be awarded for the proposal or quote
submitted by the lowest responsible bidder. The responsibility of the bidder is to be
determined at the discretion of the Town Board or department head and is based not
solely on qualifications or experience but accountability and reliability. However, the
Purchaser may award such contract to a bidder, other than the lowest responsible bidder,
where such bidder maintains a principal place of business located within the Town of
Southold, or sells the contracted for supplies, material, or equipment manufactured and
located within the Town of Southold, and submits a bid not exceeding ten percent (10%)
more than the otherwise lowest responsible bidder.
The Purchaser may award the purchase or contract to a bidder, other than the lowest
responsible bidder, where such bidder maintains a principal place of business located
within the County of Suffolk or sells the contracted for supplies, material, or equipment
manufactured and located within the County of Suffolk, and submits a bid not exceeding
five percent (5%) more than the lowest responsible bidder.
For the purpose of this Policy, the terms "located within the Town of Southold" and
"located within the County of Suffolk" shall mean having a principal place of business
physically located within the geographical boundaries of the Town or the County as
applicable. In the case of an individual, partnership, association, or proprietorship, it
shall mean having an office from which at least a majority of the employees are assigned
and at which at least a majority of the employees work. In the case of a corporation, it
shall mean having its principal place of business from which the president or chief
executive officer operates on a regular and consistent basis, and the address so designated
on its certificate of incorporation, located within the Town or the County, as applicable.
6. Prior to disbursement of any payment under an approved contract, the Town
Attorney's Office must possess a copy of the fully executed contract as well as
documentation of required insurance and contract security/performance bond.

7. Change Orders to Awarded Contracts: If, during the term of a contract, it is
determined that additional work needs to be performed or goods are needed to be
purchased,which would increase the original contract amount, a formal change
order must be in place. This applies to all contracts subject to General Municipal
Law Section 103 (competitive bidding).
When a change order to a contract results in an aggregate increase of$2,500 over
the original contract award, then the following procedures apply:
(a) a Public Contract Change Order Approval Form must be completed and
signed by the Department Head and must be accompanied by a detailed
explanation of why the change is needed and also accompanied by a
change order proposal from the contractor(these documents must be
forwarded to the Comptroller's Office); and
(b) the change order must be approved by the Comptroller's Office and the
Town Attorney's Office, and once approval has been granted, the
Department must prepare a Town Board resolution requesting authorization
for the change from the Board. Only after all of these procedures have been
completed and approvals granted, can the contractor go forward with the
additional work.
8. A good faith effort shall be made to obtain the required number of proposals or
quotations. If the Purchaser is unable to obtain the required number of proposals
or quotations, the Purchaser shall document the attempt made at obtaining the
proposal on the Proposal Quotation Form. In no event shall the inability to obtain
the proposals or quotes be a bar to the procurement.
9. Except when directed by the Town Board, no solicitation of written proposals or
quotations shall be required under the following circumstances:
(a) Public works contracts in cases of public emergencies arising out of an accident
or unforeseen condition or occurrence that threatens curtailment or termination of
an essential service to the public, or a dangerous condition develops affecting the
life, health, safety or property of the Town or its inhabitants. The situation must

SUPERVISOR RUSSELL: I would just, on the last resolution, we are advertising for the
Planning Board and Zoning Board of Appeals, we have got several letters of interest from people
who have submitted, I want to assure them they are going to be part of the equation. We kept all
of those on file and will be included in any future screening. Who would like to address the
Town Board?
Tom Shearin, Silvermere Rd, Greenport
TOM SHEARIN: Tom Shearin, Silvermere Road in Greenport. A couple of months ago I
addressed the Supervisor and Board about the flooding issue that's been going on for over a
decade now. We had a meeting the following Friday, the Supervisor said this should be simple
thing, that you had the money set aside and it was going to get done soon. And nothing has
gotten done.
SUPERVISOR RUSSELL: We came up with two proposals, you didn't like either.
MR. SHEARIN: Excuse me?
SUPERVISOR RUSSELL: We came up with two solutions, you didn't like either.
MR. SHEARIN: What do you mean, two solutions?
SUPERVISOR RUSSELL: Two solutions, one would be, that whole lot would be covered with
sand, backfilled with sand or the other would be to create a leaching pool on the road and then
any overage would feed into the culvert to the left of your house.
MR. SHEARIN: I never heard, said anything about any of those other than, is it going to do the
job? That was the only thing I said, is it going to do the job?
SUPERVISOR RUSSELL: I told you that the backfilling with the sand would do the job. You
were not convinced, you were worried about filtering out of the water coming out anyway as it
got displaced by the sand, that's exactly what you told me.
MR. SHEARIN: And if it continues to flood, what are you going to do then? I mean, you can
do whatever you want to do, I don't really care what gets done, as long as something gets done to
stop flooding my property. The water is going from point A to point B. The only difference is

the water is flooding my property and that was a monster created by you, not by me. We never
had that issue until you plugged that drain pipe.
SUPERVISOR RUSSELL: No, what we had was an issue of pollution going into the creek
there. That was something....
MR._SHEARIN: I had code enforcement officer, DEC and your town engineer down there and
showed them where the pipes went. It had absolutely nothing to do with my property.
SUPERVISOR RUSSELL: No, but that culvert that was going in, first of all, the drainage is for
the whole area, the whole area has a flooding problem, you know that. The discharge that was
going through that culvert into the creek at the time was established by the Suffolk County
Department of Health as not healthy for the creek. So we had to address it somehow. Now let
me ask you something, first of all, I know we were out there during a couple of recent heavy
storm events. There was no breaching of that, over to your property. We did see one house there
discharging water into the culvert on the other side that still feeds into the creek. Are you aware
of that?
MR. SHEARIN: Aware....
SUPERVISOR RUSSELL: Discharging. Of any of the houses down there discharging and
contributing to the problem?
MR. SHEARIN: No.
SUPERVISOR RUSSELL: Okay.
MR. SHEARIN: The only thing I know about is when you plugged that pipe, my property got
flooded and it's continually been flooded and so what you're saying is, if the water quality is not
good enough for the wetlands, it's good enough for my basement?
SUPERVISOR RUSSELL: Okay, that water was not breaching over. Several heavy storm
events recently, the water never breached over that drainage area to your property. It never did.
We went, we made sure to send people out on several occasions. It never breached over. So it's
not coming from that lot on many occasions. But yes, it's a problem there. I urged Jay and
Michael to go do water testing now to see what kind of water quality is there. If the water
quality is fine, we are going to backfill it with sand and call it a day.'
MR. SHEARIN: So what you are telling me is you are going to backfill it with sand?
SUPERVISOR RUSSELL: Yes. Your concern was the water quality and we have talked about
this, I was on site with you. We are going to establish the water quality through tests and we
would probably have to,do it over two separate occasions. But you need to remember also, that,
if there are, we test that water and there are household contaminants and sewage in there, is the
community prepared to make the investment necessary to help solve the problem? Because the

town is not responsible for filtering septic being, that's being contributed by a community.
There's a huge problem with the quality of the septic systems out there. They are old, they are
shallow, they don't percolate through the clay, that's a problem that we are going to have to
solve collectively. Are the homeowners, including yourself, willing to make that investment to
upgrade as we move forward?
MR. SHEARIN: We went over that...
SUPERVISOR RUSSELL: And will you?
MR. SHEARIN: With the owners of the drainage pipe that went to the Village. I went before
the Mayor of the Village, he said that those houses could be hooked up to that. It would take it
with no problem. And the answer that we got was the owner of the pipe was not in the septic
business and he wasn't going to allow it.
SUPERVISOR RUSSELL: But you can go with deeper leeching pools, you can sink way down
and get below the clay. If not below...
MR. SHEARIN: Is that not what you were supposed to do the first time?
SUPERVISOR RUSSELL: No, what I am talking about is with the septic, in other words, if
there is household contaminants there, it's coming from somewhere. It's not coming from
rainfall or surface water. It's coming from somewhere, so the logical conclusion is it's coming
from homes.
MR. SHEARIN: And you don't think that the town has some responsibility on flooding the
whole area?
SUPERVISOR RUSSELL: We do have a responsibility to control the flooding but the question
is if there are contaminants in the water, are you going to help us solve that problem?
MR. SHEARIN: I have always been willing to try to solve this problem.
SUPERVISOR RUSSELL: Even if it requires investment on the part of the owners?
MR. SHEARIN: Well, I don't think there's much of a choice, is there?
SUPERVISOR RUSSELL: Probably not.
MR. SHEARIN: As long as it's a reasonable amount, I think that's, I don't know what the other
people are willing to do, I can't speak for them. That would be something that you would have
to ask them.
SUPERVISOR RUSSELL: If that's where the testing leads us, that's what we are going to have
to do. We are going to have to work together.

MR. SHEARIN: Well, we have been trying to work together. And we have gotten nowhere so
far. It's been over a decade and we have gotten nowhere. We have got no cooperation from the
people that initiated the pipe to be closed by you and we got no cooperation from the town on
rectifying the flooding that's been taking place.
SUPERVISOR RUSSELL: Suffolk County Department of Health urged the closing of that pipe
for valid reasons. So we had to respond to the environmental crisis, that had it continued to
operate as a culvert would have been created in the creek.
MR. SHEARIN: But you didn't do your investigation to find out where it was coming from.
You just closed the pipe. There was a lot of ways you could have done some better investigating
to determine where it was coming from. You yourself said that people were complaining farther
up the road, that they had to pump their septic a lot more because of that pipe being closed.
SUPERVISOR RUSSELL: Yes, which is an indication that it wasn't supposed to go through
those pipes.
MR. SHEARIN: Which very well may be but it has nothing to do with....
SUPERVISOR RUSSELL: People were complaining because we did something about them
taking their septic and letting it run through culverts out to the creek. And they are complaining
about that? I don't think that's a valid complaint.
MR. SHEARIN: Well, I am not saying it's a valid complaint. I am just going by what you had
told me.
SUPERVISOR RUSSELL: That's right.
MR. SHEARIN: But it still does not, the town has a responsibility to not flood my property.
And you, so I guess, because you are saying now you are going to fill it in, when are you going
to fill it in?
SUPERVISOR RUSSELL: What we are saying is that we have a couple of options on the table.
I know I discussed them with you. What we will do is, I am going to test that water first. I urged
Jay, I urged Michael. I know that Jill had reached out to them too, I know they are scheduled for
testing in July, I don't know what the reluctance is to just test it now. Pull it out, don't worry
about the grant, we are already committed to spending the money. We already told them,just get
an independent contractor out there and test it now. And let's take it from there.
MR. SHEARIN: And why are you not digging a drain hole like you initially had proposed to do
and started to do but never really did the first time?
SUPERVISOR RUSSELL: You mean on the lot?
MR. SHEARIN: On the lot itself.

SUPERVISOR RUSSELL: We didn't do that, alright?
MR. SHEARIN: But you hired somebody to.
SUPERVISOR RUSSELL: We didn't hire, the owner of the property hired. We reimbursed the
owner as settlement of pending litigation. It's privately owned, the contract was privately struck
between the contractor and property owner.
MR. SHEARIN: Well, there was guidelines set forth by the Town that were not followed when
that was done also, so does the town not take any responsibility for that?
SUPERVISOR RUSSELL: The guidelines are the guidelines that were between the owner and
the contractor.
MR. SHEARIN: No. No...
SUPERVISOR RUSSELL: The town didn't have...okay.
MR. SHEARIN: The town said only trees deemed necessary would be removed and that it would
be inspected before it was backfilled and none of that was done. And they were supposed to
level that lot and clean it up (inaudible) and they didn't do it. And the town just shrugged it off
like it was no big deal because otherwise it would have been done then. So I still feel that the
town dropped the ball on that whole thing to begin with. Had that been done correctly, we would
not be here today. So what you are telling me is you are going to level the lot and that's that.
SUPERVISOR RUSSELL: No, what we.are going to do is that's one of a couple of proposals
on the table. Remember, there was also a proposal to create drainage right in the road there and
then create an overage pipe over to the culvert which is to the left of yours (inaudible)...
MR. SHEARIN: Which would be fine.
SUPERVISOR RUSSELL: But in order to do that, we need to test that water. I have been
urging and you know, I told you I want to test it now, I don't want to wait for grant
reimbursement, I just want it tested now. We did just urge Jay and our town engineer to just go
ahead and test it now. If we can get a green light on the water quality, then we can look at the
culvert option.
MR. SHEARIN: When do you think he is going to test it, I guess. Is it going to be months?
SUPERVISOR RUSSELL: Oh, I hope not.
COUNCILWOMAN DOHERTY: No, I spoke to Jay and I asked him to do it as soon as
possible and we have to work out the logistics with the lab that's going to do the sampling, so I
am trying to get that done as well. But Jay was going to talk to Mike, the engineer, who is still
on vacation and find out what money he had in his budget for any water testing left, so I am

going to make sure that we don't wait till July. Jay and Mike were trying to wait for a grant that
we have so we don't have to lay out money but Scott and I urged them that we can't wait for this.
Let's just get it done.
MR. SHEARIN: So, what, that's still, is it going to be weeks, is it going to be months, it is
going to be years? I mean, I don't know what...
COUNCILWOMAN DOHERTY: I am hoping it is going to be within a month but when I get a
better answer, I will let you know.
MR. SHEARIN: Okay. Alright. Thank you for your time.
SUPERVISOR RUSSELL: Who else would like to address the Town Board on any issue?

LYNNE SUMMERS: Lynne Summers, Oriole Drive, Southold. In reference to advertising for
things in the future, I know you do this through the newspapers but is it legally possible to do it
on channel 22? To give more visibility to people?
SUPERVISOR RUSSELL: Excellent idea. We will bring it to the IT, who administers channel
22. Excellent idea. We do put it on the website. The website is hard to navigate. I know
Councilman Dinizio is working on making it a little bit easier but I think channel 22 is an
excellent idea.
MS. SUMMERS: Yes. 1, you know, it just came to me. The other thing is, I have many friends
who live in Southold, all the way to Laurel, we have had our ears tested recently. The work
sessions, we cannot hear. Here I was listening, I closed my eyes literally, to hear whose voice
came out clearly. Is there any possibility to be mic'ed for those work sessions?
SUPERVISOR RUSSELL: No, I will let Jim speak to the issue.
COUNCILMAN DINIZIO: Well, the work sessions are done differently. We are trying to make
it so that we know we have the right mix in order to do it. It's not just the work session we want
to record, we want the Trustees and the Planning Board. So we are kind of, there's a microphone
right up there that does the work session but quite honestly, I have heard the opposite way, that
Town Board meetings are hard hear and the work sessions are better. So maybe it's just the way
we are speaking or who was speaking. If you notice, I hold this right up to my mouth now
because I listened to it the last time, we had two gentlemen come in, two different companies
come in and give us bids and both of them said that these microphones are not made for this type
of environment. So they are made for screaming in for rock stars, so that's why I held it up, I
wanted to listen to it tonight and see if that makes any difference. We have in today's agenda,
we passed a resolution...
MS. SUMMERS: That's what I noticed.

COUNCILMAN DINIZIO: We are going to work on that RFP, make it more detailed and get it
out to some companies. The problem has been is that nobody wants to work on an old system.
Everybody wants to take ownership of it, they want it all. I happen to be in that kind of business
so I understand that fully. That gets to be expensive. I think we have a $50,000 estimate and a
$30,000 estimate just to do this room.
MS. SUMMERS: So would you, in the square that you sit in, even if you come in person, it is,
you have to sit right close to you to hear what you are saying.
COUNCILMAN DINIZIO: Right. No, we intend to....
MS. SUMMERS: You intend to mic everyone?
COUNCILMAN DINIZIO: Not individual mic's, they have (inaudible)...
MS. SUMMERS: Oh, okay.
COUNCILMAN DINIZIO: They have these (inaudible) that you just put on the table. Right
now we just have two but we have to turn it down so low because the wiring in there is really
kind of, we have to work on really just the basic stuff first. Get the base in and then start playing
with how many mic's we need. Things like that.
MS. SUMMERS: Because ironically, Teresa McCaskie and I had just attended Southampton
Town Village Board and they had just gone, if you have ever been in there, it's a much older
facility and I had also been to East Hampton to observe what they had been doing and they are
individually lavaliere mic'd. And it seems to work very well.
COUNCILMAN DINIZIO: Yes. I have been to both of those and they both have a crew of
about three guys that do nothing but that for the town, attend all the meetings and...
MS. SUMMERS: Well, it was a, I introduced myself and she said, the woman in the Village of
Southampton is a volunteer but a company came in and set up but she was trained how to do it
on behalf...
COUNCILMAN DINIZIO: Oh, you are talking about the Village not the Town?
MS. SUMMERS: The Village not the whole municipality.
COUNCILMAN DINIZIO: I am talking about the town. The village's is much smaller room
than the towns is. I went to the Town of East Hampton and they have a regular crew that does it.
We are working on that, training a guy here. We try to do it with a little less fanfare,just trying
to do it so its automatic and you know, you live and learn. I have been doing it for about two
years now (inaudible) sometimes I can't get them on, sometimes I can't but it seems like we are
getting a little more consistent. We have the work sessions on our website now.

MS. SUMMERS: Oh, I know. It's wonderful.
COUNCILMAN DINIZIO: You saw the first one because that's the only one we have. We'll
see if this week it comes out alright and yes, that is pretty neat.
MS. SUMMERS: Yes, the clarity, I don't know if you talked to Greenport but their clarity is
superb.
COUNCILMAN DINIZIO: They have the (inaudible). That's what we intend to do.
MS. SUMMERS: They are very conservative in spending their money, trust me.
SUPERVISOR RUSSELL: We agree. A couple of issues too, because a lot of people don't
realize the channel 22 is through the Cablevision equipment, not town equipment. This is
technically still their channel. But we are working on this, Jim has been really on top of it. I
think he did talk to someone from Greenport. If not, he is planning on it.
COUNCILMAN DINIZIO: I spoke to him and that guy is, again, we have a lot more meetings
that have to be put on and a lot more locations that we have those meetings in than the village
does. And the gentleman that sits there, he is pretty expensive.
MS. SUMMERS: Well, it's astounding after eight years, we have been talking about this for
eight years, doing what you are doing now, so, I am hopeful. Thank you very much.
COUNCILWOMAN DOHERTY: Jim has put a lot of work into it to try to adapt to what we
have and I think we are all coming to the conclusion that we have to put a whole new system in
and but you know, to save the town money he has gone through everything that he can.
MS. SUMMERS: Are there people that live in, there's so many talented people in Southold who
have been in worlds of technology and TV and radio and god only know what, has anybody
reached out to somebody like that who might, you know...
COUNCILWOMAN DOHERTY: It's not so much, well, that's what we are doing now with the
RFP...
COUNCILMAN DINIZIO: Originally when we started out Scott was going to work with the
schools, we were going to get the schools to pay attention to that stuff and we met with the
superintendents and honestly, what happens is the kids kind of get, they come and go. They have
band practice, so that wouldn't have been a reliable thing. And honestly, really, these
microphones I found out today are 20 years old. The system is 20 years old or older than that,
really it needs to be replaced. So, replace that first and then let's worry about h ow do we get
more things on channel 22 or on the internet. You know, you take one bite first. We went out to
bid, we got two people to come. They are not from local, Hauppauge and up the island, mostly
because it's hard to find anyone out here that specializes in this kind of stuff. To physically do
the work and basically guarantee it or all of that. So we have two, now we go to RFP, we see

what happens. You know, government moves slowly. It's not like we can just write a check and
get a guy to come in. We have that resolution.
SUPERVISOR RUSSELL: I'm shocked to find out that these things are only 20 years old.
There's a couple of things, two step process, number one, make what we do tape a better quality,
so that people can hear it. That's our first priority. Secondly, is explore the options of being able
to tape other meetings but people need to understand, that some of those Trustee meetings for
instance, can go on for 8 hours or more. ZBA, it's an expensive proposition. The gentleman that
is standing here now is actually paid for by Cablevision, as part of the franchise agreement. So
we have to factor that all in. And we did talk to the schools. One of the other issues we found
out was students really want to get into the production side, so it, you know, it gets a little bit
mundane, it's not really fulfilling to come and just tape a taping of a meeting that is as dry as
toast sometimes and I understand that, they want to learn it first and then move on to production,
sportscast and newscasts and all the things they do in the schools. Would anybody else like to
address the Town Board?

TOWN CLERK NEVILLE: Resolution 216,just a point of information, it's budget modification
by the Accounting Department to modify the 2017 capital budget, it reads to adjust budget for
project to actual spent. It may not be an error, it may be correct. I will confirm that with the
Town Comptroller tomorrow morning.
