DECLARATION OF COVENANTS
THIS DECLARATION made this 2` day of April, 2021 by 8100 Indian Neck LLC, a
New York limited liability company with offices at 419 East 501h Street,New York,NY 10022,
hereafter referred to as `DECLARANT":
WITNESSETH:
WHEREAS, DECLARANT is the owner of a certain real property located at 8100 Indian
Lane, Peconic, Town of Southold, County of Suffolk, State of New York 11939, described in the
Suffolk County Tax Map as District 1000, Section 086.00, Block 07.00, Lot 009.000, which is
more particularly bounded and described as set forth in "Schedule A" annexed hereto and made a
part hereof;
WHEREAS, DECLARANT has made application to the Trustees for a permit pursuant to
the Wetlands Law of the Town of Southold to undertake certain regulated activities; and
WHEREAS, the Trustees granted a permit dated,November 15, 2017, attached
hereto as Schedule B ("Wetlands Permit") to conduct certain regulated activities as described in
the Wetland Permit("Permitted Activities"); and
WHEREAS, as a condition of the granting the Wetlands Permit, the Trustees have
required that DECLARANT record evidence of the Wetlands Permit and the "landscaped buffer"
requirement of the Wetlands Permit, as described in this Declaration; and
WHEREAS, the DECLARANT has considered the foregoing and has determined that the
same will be for the best interests of the DECLARANT and subsequent owners of the Property.
NOW, THEREFORE, THE DECLARANT does hereby covenant and agree as follows:
1) The Trustees required that the DECLARANT establish and perpetually maintain a
15' wide"landscaped buffer" along the landward edge of the top crest of the bank as depicted on
the survey prepared by Howard W. Young, Land Surveyor, last dated October 12, 2017, and

stamped approved on November 15, 2017, (the `,Plan"),, attached as "Schedule C", and the
Trustees' Permit.
2) The Declarant agrees that upon the substantial completion of the Permitted
Activities,to establish and perpetually maintain a 15' wide"landscaped buffer"along the
landward edge of the top crest of the bank as depicted on the Plan, as required by the Wetlands
Permit.
3) These covenants shall run with the land and shall be binding on the
DECLARANT, their heirs, assigns,purchasers, or successors in interest, and may only be
modified after a public hearing and upon resolution of the Trustees.
4) These covenants shall constitute a notice covenant and deed restriction restricting
the Property as aforesaid.
IN WITNESS WHEREOF, the owner has executed this instrument thisdayof

SCHEDULE A
ALL that certain plot, piece or parcel of land, situate, lying and being at Indian Neck,
near Peconic, in the Town of Southold, County of Suffolk, and State of New York,
bounded and described as follows:
BEGINNING at a point on the westerly line of Indian Neck Road and at the ordinary
high water mark of Peconic Bay;
RUNNING THENCE northwesterly along said westerly line of Indian Neck Road, 360.5
feet, more or less, to a granite monument marking an angle in said road line;
THENCE southwesterly and at right angles to first course above described, 90 feet to a
concrete monument;
THENCE deflecting to the left 84 degrees 20 minutes and passing through a concrete
monument near the top of the bank, about 330 feet to the ordinary high water mark of
said Peconic Bay;
THENCE northeasterly along said ordinary high water mark about 130 feet to the point
or place of BEGINNING.

• TERMS AND CONDITIONS
The Permittee 8100 Indian Neck LLC c%Jan Nicholson residing at 8100 Indian Neck Lane
Peconic.New York as part of the consideration for the issuance of the Permit does understand
and prescribe to the following:
1. That the said Board of Trustees and the Town of Southold are released from any and all
damages,or claims for damages,of suits arising directly or indirectly as a result of any
operation performed pursuant to this permit, and the said Permittee will,at his or her own
expense,defend any and all such suits initiated by third parties,and the said Permittee
assumes full liability with respect thereto,to the complete exclusion of the Board of Trustees
of the Town of Southold.
2. That this Permit is valid for a period of 24 months,which is considered to be the,estimated
time required to complete the work involved,but should circumstances warrant,request for
an extension may be made to the Board at a later date.
3. That this Permit should be retained indefinitely,or as long as the said Permittee wishes to
maintain the structure or project involved,to provide evidence to anyone concerned that
authorization was originally obtained.
4. That the work involved will be subject to the inspection and approval of the Board or its
agents,and non-compliance with the provisions of the originating application may be cause
for revocation of this Permit by resolution of the said Board.
5. That there will be no unreasonable interference with navigation as a result of the work herein
authorized.
6. That there shall be no interference with the right of the public to pass and repass along the
beach between high and low water marks.
7. That if future operations of the Town of Southold require the removal and/or alterations in the
location of the work herein authorized,or if, in the opinion of the Board of Trustees, the work
shall cause unreasonable obstruction to free navigation,the said Permittee will be required,
upon due notice,to remove or alter this work project herein stated without expenses to the
Town of Southold.
8. The Permittee is required to provide evidence that a copy of this Trustee permit has been
recorded with the Suffolk County Clerk's Office as a"notice covenant and deed restriction to
the deed of the subject parcel. Such evidence shall be provided within ninety(90)calendar
days of issuance of this permit.
9. That the said Board will be notified by the Permittee of the completion of the work
authorized.
10. That the Permittee will obtain all other permits and consents that may be required
supplemental to this permit, which may be subject to revoke upon failure to obtain same.
11. No right to trespass or interfere with riparian rights. This permit does not convey to the
permittee any right to trespass upon the lands or interfere with the riparian rights of others in
order to perform the permitted work nor does it authorize the impairment of any rights, title,
or interest in real or personal property held or vested in a person not a party to the permit.

TERMS AND CONDITIONS
The Permittee 8100 Indian Neck LLC c/o Jan Nicholson residing at 8100 Indian Neck Lane,
Peconic,New York as part of the consideration for the issuance of the Permit does understand
and prescribe to the following:
1. That the said Board of Trustees and the Town of Southold are released from any and all
damages, or claims for damages, of suits arising directly or indirectly as a result of any
operation performed pursuant to this permit, and the said Permittee will, at his or her own
expense, defend any and all such suits initiated by third parties, and the said Permittee
assumes full liability with respect thereto,to the complete exclusion of the Board of Trustees
of the Town of Southold.
2. That this Permit is valid for a period of 24 months, which is considered to be the estimated
time required to complete the work involved, but should circumstances warrant, request for
an extension may be made to the Board at a later date.
3. That this Permit should be retained indefinitely, or as long as the said Permittee wishes to
maintain the structure or project involved,to provide evidence to anyone concerned that
authorization was originally obtained.
4. That the work involved will be subject to the inspection and approval of the Board or its
agents, and non-compliance with the provisions of the originating application may be cause
for revocation of this Permit by resolution of the said Board.
5. That there will be no unreasonable interference with navigation as a result of the work herein
authorized.
6. That there shall be no interference with the right of the public to pass and repass along the
beach between high and low water marks.
7. That if future operations of the Town of Southold require the removal and/or alterations in the
location of the work herein authorized, or if, in the opinion of the Board of Trustees, the work
shall cause unreasonable obstruction to free navigation,the said Permittee will be required,
upon due notice,to remove or alter this work project herein stated without expenses to the
Town of Southold.
8. The Permittee is required to provide evidence that a copy of this Trustee permit has been
recorded with the Suffolk County Clerk's Office as a notice covenant and deed restriction to
the deed of the subject parcel. Such evidence shall be provided within ninety(90)calendar
days of issuance of this permit.
9. That the said Board will be notified by the Permittee of the completion of the work
authorized.
10. That the Permittee will obtain all other permits and consents that may be required
supplemental to this permit, which may be subject to revoke upon failure to obtain same.
11. No right to trespass or interfere with riparian rights. This permit does not convey to the
permittee any right to trespass upon the lands or interfere with the riparian rights of others in
order to perform the permitted work nor does it authorize the impairment of any rights, title,
or interest in real or personal property held or vested in a person not a party to the permit.

The Board of Town Trustees took the following action during its regular meeting held on
Wednesday, November 15, 2017 regarding the above matter:
WHEREAS, En-Consultants on behalf of 8100 INDIAN NECK, LLC c/o JAN
NICHOLSON applied to the Southold Town Trustees for a permit under the provisions
of Chapter 275 of the Southold Town Code, the Wetland Ordinance of the Town of
Southold, application dated October 13, 2017, and,
WHEREAS, said application was referred to the Southold Town Conservation Advisory
Council and to the Local Waterfront Revitalization Program Coordinator for their findings
and recommendations, and,
WHEREAS, in accordance with Chapter 268, said application was found to be Exempt
from the Local Waterfront Revitalization Program policy standards, and,
WHEREAS, a Public Hearing was held by the Town Trustees with respect to said
application on November 15, 2017, at which time all interested persons were given an
opportunity to be heard, and,
WHEREAS, the Board members have personally viewed and are familiar with the
premises in question and the surrounding area, and,

WHEREAS, the Board has considered all the testimony and documentation submitted
concerning this application, and,
WHEREAS, the structure complies with the standards set forth in Chapter 275 of the
Southold Town Code,
WHEREAS, the Board has determined that the project as proposed will not affect the
health, safety and general welfare of the people of the town,
NOW THEREFORE BE IT,

En-Consultants on behalf of 8100 INDIAN,NECK, LLC, c/o JAN NICHOLSON requests a Wetland
Permit to temporarily raise and construct new foundation walls beneath ±16'x16', ±19'x23', and
±25'x26' portions of existing one-story, single-family dwelling to remain; construct 208sq.ft. "L"
shaped one-story addition and 45sq.ft. overhang within footprint of existing 330sq.ft. portion of
dwelling and 294sq.ft. northerly deck to be demolished; repair and/or replace in-place as needed
existing southerly ±8'x26' attached deck; construct new basement access stairs; install drainage
system of leaders, gutters, and drywells to contain roof runoff, and in accordance with Chapter 236
of the Town Code-Stormwater Management; establish and perpetually maintain a 15' wide

The proposed action has been reviewed to Chapter 268, Waterfront Consistency Review of the
Town of Southold Town Code and the Local Waterfront Revitalization Program (LWRP) Policy
Standards. Based upon the information provided on the LWRP Consistency Assessment Form
submitted to this department, as well as the records available to me, it is my recommendation that
the proposed action is EXEMPT from LWRP review pursuant to:
§ 268-3. Definitions. MINOR ACTIONS items "Il" which states:
B. Replacement, rehabilitation or reconstruction of a structure or facility, in kind, on the same site
(inplace), including upgrading buildings to meet building or fire codes, except for structures in areas
designated by the Coastal Erosion Hazard Area (CEHA) law where structures may not be replaced,
rehabilitated or reconstructed without a permit and shoreline erosion control structures (including,
but not limited to, groins, jetties, bulkheads, filled piers) located within Great Peconic Bay,
Cutchogue Harbor, Little Peconic Bay, Hog Neck Bay, Noyack Bay, Southold Bay, Shelter Island
Sound, Pipes Cove, Orient Harbor, Gardiners Bay, Long Island Sound, Fishers Island Sound and
Block Island Sound (excluding all creeks);
Pursuant to Chapter 268, the Board of Trustees shall consider this recommendation in preparing its
written determination regarding the consistency of the proposed action.

The proposal to renovate and alter the existing dwelling in its current location replaces the previous Trustees-approved plan by the prior
owner to demolish the existing structure entirely and replace it with a new,larger dwelling located closer to the surface waters of Hog
Neck Bay(see Wetlands Permit No.8592,issued April 22,2015). Specifically,as currently proposed,three portions of the existing
dwelling structure will remain with new foundation walls;and a new"U-shaped addition will be constructed in place of the interior
portion of the dwelling and northerly deck to be demolished. Therefore,the ground area of the dwelling and attached decks will
decrease as a result of the project;there will be no reduction of existing wetland setbacks;and the dwelling structure will remain more
than 100 feet from both wetlands(mean high water)and the landward limit of the beach(concrete seawall),remaining only partially
within Chapter 275 jurisdiction due to its location less than 100 feet from the top of the bank,as defined by Section 275-2. Nonetheless,
the project also incorporates various mitigation measures to ensure that it causes no adverse impacts on the adjacent bank,beach,or
tidal waters of Hog Neck Bay,including establishment of a 15'landscaped buffer adjacent to the top of the bank,which will help
mitigate erosion and capture and absorb surface runoff and potentially associated contaminants(e.g.,lawn fertilizers,pesticides);
installation of a drainage system of leaders,gutters,and drywells to collect and recharge roof runoff;installation of an upgraded sanitary
system located outside Chapter 275 jurisdiction;and maintenance of a project limiting siltation fence to control and contain site
disturbance during construction.
