AMENDED WATER EASEMENT
Granted this day of May, 2017, by CLAUDIA PURITA, residing at 19995

WITNESSETH
WHEREAS, CLAUDIA PURITA (PURITA) is the owner of the property located on
Old North Road, Southold, New York as shown of the Suffolk County Tax Map as District
1000 Section 051.00 Block 03.00 Lot 004.008, ("Property" or "Lot 3") also known asLot
3 on filed Map entitled "Cluster Minor Subdivision and Lot Line Change for Frank Purita,
filed in the Suffolk County Clerk's Office on September 7, 2005 as Map No. 11299 (the
"Map), more fully described in Schedule A, annexed hereto and made a part hereof; and
RUSSELL C. McCALL, JR., residing at 461 Hoffman Ave., San Francisco, CA 94114,
is the owner of Lot I on the Map ("McCall"); and CAIO FOUR LLC, having an address
of 230 East 85"' Street, New York, New York 10028, is the owner of Lot 2 on said Map
("Caio Four)"; and
WHEREAS, in order to approve the Map in 2005, on the Property, Suffolk County
Department of Health Services, (SCDHS) required Purita to provide an easement to supply
water over a portion of Lot 3 for the benefit of Lot 1 and Lot 2 on said Map, all more fully
described in Schedule B, annexed hereto and made a part hereof, which easement was
recorded in the Suffolk County Clerk's Office on February 22, 2010, in Liber 12616
page 951 ("Easement"); and y
WHEREAS, in connection with a pending application for the approval of water supply,
sanitary systems and waste systems for a winery production building, the location of which
will interfere with the Easement, SCDHS requires an amended water easement changing
the location of the Easement to the location set forth herein;
NOW, THEREFORE, in the consideration and in furtherance of the approval of
SCDHS to the pending application, and other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged, Purita hereby grants and agrees as
follows:
I) GRANT OF RELOCATED EASEMENT. Purita hereby grants an easement over
the 15 foot easement area on Lot 3, as shown on survey annexed as Schedule Map, for the
purposes of supplying water for the benefit of Lot 1 and Lot 2 ("New Water Easement"), in
place and stead of the Easement. The New Water Easement is more fully described on
Schedule C.
2) RELEASE OF EASEMENT. McCall and Caio Four, for themselves, their heirs,
successors and assigns, hereby consent to the New Water Easement to replace the
Easement, and hereby release all right, title and interest in and to the Easement in

consideration of the relocation of the easement under this Agreement to the extent
described in Schedule D.
3) USE OF EASEMENT. The New Water Easement shall be for the installation,
maintenance, repair, replacement of underground and grade level water supply utilities,
including but not limited to water pipes and lines and vaults by the owners of Lots 1 and 2
within the area of the easement (the "Work") Any disturbance to the easement area for the
above purposes or otherwise shall be promptly restored by the owner of the lot for whose
benefit such Work occurs.
4) NO OBSTRUCTION. There shall be no obstruction of the easement area, by
buildings, structures, improvements, trees, shrubbery, or otherwise, nor interference with
the use of the same, by owner, or any other person, except that landscaping may be
maintained so as not to interfere with the use and maintenance of the easement.
5) EASEMENT TO RUN WITH THE LAND. This easement shall run with the land
and be binding upon Purita, their successors and assigns, and upon all person or entities
claiming under them, and may be terminated or revoked only with the written consent of
SCDHS and the Owners of Lots 1 and 2, or as set forth in Paragraph 6. Any change in the
location of the water line shall require the prior approval of SCDHS.
6) NON -EXCLUSIVITY OF EASEMENT. The grant of this easement shall not
preclude Purita from granting further easements to public utility companies, easements for
vehicular access, or other purposes on terms which do not conflict with or interfere with
the easement hereby granted or other covenants or restrictions of record.
7) TERMINATION OF EASEMENT. In the event that public water becomes
available through Chardonnay Drive to Lots 1 and 2, this easement shall terminate and
Lots 1 and 2 will connect to public water from Chardonnay Drive.
8) ENFORCEABILITY. The easement shall be enforceable by the County of
Suffolk, State of New York or the Owners of Lots 2 and 3 by injunctive relief or any other
remedy in equity or by law. The failure of said agencies or the County of Suffolk or the
lot owners to enforce the same shall not be deemed to affect the validity of this easement
nor to impose any liability whatsoever upon the County of Suffolk or any officer or
employee thereof.
9) LOCAL LAW #32-1980. Purita represents and warrants that it has not offered or
given any gratuity to any official, employee, or agent of Suffolk County, New York State,
or any political party, with the purpose or intent of securing favorable treatment with
respect to the performance of an agreement, and that such person has read and is familiar
with the provisions of Local Law # 32-1980.
10) This Agreement may be executed in counterparts.
