THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2017-482 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
MAY 23,2017:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute an Addendum to the Agreement between the Town of
Southold and Vehicle Tracking Solutions, LLC regarding the Town's purchase of vehicle
location equipment and monitoring services required to implement the vehicle tracking system in
designated Town vehicles, all in accordance with their Proposal dated June 5, 2013, subject to
the approval of the Town Attorney.

FIRST ADDENDUM TO AGREEMENT
BY AND BETWEEN
THE TOWN OF SOUTHOLD AND VEHICLE TRACKING SOLUTIONS, LLC
EFFECTIVE MAY`), 2017
RECITALS
WHEREAS,the TOWN OF SOUTHOLD, (hereinafter referred to as"TOWN") and VEHICLE
TRACKING SOLUTIONS, LLC(hereinafter referred to as"VTS") entered an Agreement for
VTS's subscription-based real-time GPS/Cellular fleet management service dated August
25, 2013 ("Agreement")
NOW,THEREFORE,the parties agree to allow the renewal of the Agreement, as
Amended herein,as set forth below:
THIS ADDENDUM is made and entered this nday of May of 2017, ("Effective Date") by and between
the TOWN and VTS, and provides for an exercise of the renewal option ("First Renewal Option")for an
additional two (2)one (1)year terms under the same terms and conditions as in the Agreement,as in
Paragraph 8 of the Agreement.Such renewal term shall commence upon the expiration of the initial
Agreement Term.
Further,VTS agrees at the expiration of such First Renewal Option to provide a further option to renew
for two (2) additional one (1)year terms("Second Renewal Option") under the same terms and
conditions as in the Agreement.Such renewal term shall commence upon the expiration of the First
Renewal Option and be at the sole discretion of the Town Board on the same terms and conditions as
set forth in the Agreement,or such other terms and conditions as agreed upon by the parties and
authorized by the Town Board,thereafter.
IN WITNESS, WHEREOF,the parties hereto have executed this Addendum on the day first written above
by an authorized signer for each party.
