WHEREAS, on October 26, 2018, Henry Alia, agent for the applicant, submitted a request to
reduce the bond amount frorn $150,014.00 to $39,908.00; and
WHEREAS, on November 5, 2018 the Southold Town Planning Board reviewed this request and
recommended that the performance security only be reduced to $75,825.00; and
WHEREAS, on December 18, 2018 the Town Board accepted the reduction in the performance
bond from $150,014.00 to $75,825.00, and
WHEREAS, on January 14, 2018, the Planning Board recommended that the performance
security be further reduced to $58,725.00; be it therefore
RESOLVED, that the Town Board of the Town of Southold hereby approves, the reduction of
the performance security bond for The Heritage at Cutchogue, LLC to $58,725.00; and be it
further
RESOLVED, that the Southold Town Clerk, or her designee, is authorized and directed to bring

The Southold Town Planning Board adopted the following resolution at a meeting held
on Monday, February, 11, 2019:
WHEREAS, this Residential Site Plan for 124 detached and attached dwellings is
currently under construction; and
WHEREAS, on October 26, 2018, Henry Alia, agent for the applicant, submitted a
request to reduce the Bond amount from $150,014 to $39,908; and
WHEREAS, on December 3, 2018 the Planning Board accepted a reduction in the
performance guaranty amount from $150,014 to $75,825 for the Heritage at Cutchogue
and recommended that the Town Board accept same; and
WHEREAS, on December 18, 2018, the Southold Town Board accepted the reduction,
as described above, by resolution #2018-1051; and
WHEREAS, on January 14, 2018, the Planning Board reviewed a request to reduce the
performance guaranty further and agreed that it could be reduced by $17,100; be it
therefore

PERFORMANCE BOND AND SECURITY AGREEMENT
KNOW ALL BY THESE PRESENTS: That THE HERITAGE AT CUTCHOGUE,
LLC, having its principal place of business at 1721-D North Ocean Avenue, Medford,New York
11763, hereinafter called the "Principal," is held and firmly bound to the TOWN OF
SOUTHOLD, a municipal corporation of the State of New York, in the County of Suffolk,
hereinafter called the Obligee," in the sum of$150,014.00, good and lawful money of the United
States of America, to the payment of which said sum of money, well and truly to be made and
done, the said Principal binds itself and its successors, by these presents, and which obligation is
secured by a Savings Passbook No. 100033417, issued by Bridgehampton National Bank in the
principal amount of$150,014.00, an executed withdrawal slip therefor, made payable to the
Town of Southold, and a letter from the said bank acknowledging the use of the passbook as
security to a bond and that no funds will be released unless authorized by a resolution of the
Town Board of the Town of Southold, all of which documents are herewith delivered to the
Obligee;
WHEREAS, the Principal has applied to the Planning Board of the Town of Southold for
site plan approval of the proposed "Heritage at Cutchogue" development on certain property,
approximately 45.99 acres in area, located on the northerly side of School House Road, at the
intersection of School House Road and Griffing Street, in the Hamlet of Cutchogue, Town of
Southold, Suffolk County,New York, which property (hereinafter the "Premises") is known and
designated as Parcel No. 1000-102.00-01.00-033.003 on the Suffolk County Tax Map, and the
said Planning Board has required that the following requisites -- viz., satisfactory completion of
the off-site work and remaining work items, estimated to total $150,014.00, as particularly set
forth on the annexed"Heritage at Cutchogue Bond Estimate," dated 3/16/2017 and revised by the
Town of Southold Engineering Department on 3/27/2017 --be supplied and/or carried out, or a
performance bond sufficient to cover the full cost thereof be given; and

WHEREAS, said Principal has agreed to supply such requisites on or before April 10,
2019, has elected to provide a performance bond to cover the cost thereof, and has herewith
delivered to the Town of Southold the aforesaid savings passbook in the principal sum of
$150,014.00, the aforesaid signed withdrawal slip, and the aforesaid letter from the aforesaid
bank, as security for the performance bond;
NOW, THEREFORE, the condition of this bond is such that, if the Principal shall well
and truly install and/or provide the aforesaid requisites, to the satisfaction of the Town of
Southold Engineering Office and/or the Town of Southold Superintendent of Highways, on or
before April 10, 2019, and faithfully perform the agreement to install said requisites on or before
such date, then this obligation shall be void; otherwise, it shall remain in full force and effect.
In the event of the Principal's default in installing and/or providing the aforesaid
requisites within the time and in the manner above indicated (such default to be evidenced by a
resolution of the Town Board of the Town of Southold declaring that a default has occurred), the
Obligee or its agents may enter upon the Premises and install and/or provide such requisites,
using the security supplied herewith to the extent necessary to pay for the cost of same.
