AGREEMENT
THIS AGREEMENT, made this day of December, 2016, by Cutchogue 6291, LLC,
with an address of 331 West 84'h Street, Apt. 4,New York,New York 10024, hereinafter
referred to as "Owner"hereby grants to each parcel in the subdivision known as "Map of Oregon
Landing II" filed in the Office of the Clerk of the County of Suffolk on October 30, 2006 as
Filed Map Number 11457, Abstract Number 15884, their successor and assigns, guests and
invitees, a perpetual easement and right of way for ingress and egress through the premises more
particularly described as lot 2 on the Map of Oregon Landing 11 (SCTM 41000-82-2-3.2) so as to
access the Long Island Sound.
WITNESSETH:
WHEREAS, Cutchogue 6291, LLC, is the owner of the subject premises which is
burdened by the easement by virtue of deed dated November 5, 2010 filed in the Office of the
Clerk of the County of Suffolk On December 1, 2010 at Liber D00012644 at page 641. The
premises are more particularly described in Schedule "A".
WHEREAS, in connection with the subdivision known as "Map of Oregon Landing II" a
Cross Easement dated October 13, 2006 was recorded and filed on October 16, 2006 in the
Office of the Suffolk County Clerk at Liber D0012474 at Page 182. The Cross Easement is
attached as Schedule "B" and provides for, among other things, a ten (10) foot wide easement
through the subject parcel to the Long Island Sound; and
WHEREAS, the Town of Southold Planning Board has agreed to amend the Cross
Easement over Lot 2 to allow for the partial relocation and widening of the easement as more
particularly described in Schedule "C".
NOW THEREFORE, in consideration of the mutual promises contained herein and other
valuable consideration,
1. The relocation and widening of the easement area on Lot 2 on the Map of Oregon
Landing II shall be from ten (10) ft. to fifteen (15) ft. and shall run to the Long Island
Sound.
2. This grant of easement shall at all times be deemed a continuing covenant that runs
with the land and shall be binding upon and inure to the benefit of heirs, successors,
and/or assigns and may be terminated, revoked or amended only with the written
consent of the Town of Southold Planning Board.

GROSS EASEMENT
THIS AGREEMENT made this 8' day of 2006, by Luigi
Badenchini, General Partner of the Badenchini Family Limited Partnership
located at 37 Countisbury Avenue, North valley Stream, New York 11580,
respectively, hereinafter referred to as OWNER:
WITNESSETH:
That for and in consideration of ONE and 001100 ($1.40) DOLLAR,and other
good and valuable consideration, the receipt of which is hereby acknowledged,
the parties hereby agree as follows:
The OWNER named herein, Owner of a parcel more particularly described
In Schedule "A" and specifically known as SCTM # 1400-096.00-01.00-005.000,
desiring to effect a Major Cluster Subdivision, hereby grant to each parcel, their
successors and assigns, guests and Invitees, a perpetual easement and right-of-
way for the Ingress and egress, for gas, electric, cable TV,telephone,water mains
and lines, and any and all utilities under and through the right-of-way, as
described in Schedule "B" the subject premises for parcels 1, 2, 3 and 4, of a
Major Cluster Subdivision map of Oregon Road, located in Cutchogue, New York,
said parcels lying and being in the Town of Southold, County of Suffolk and State
of New York, said easement and right-of-way is more particularly described in
Schedule "B" attached hereto and made a part hereof. Further, a ten foot (10')
wide easement shall extend through the subject parcel too the Long Island Sound,
said easement is move particularly described in Schedule "C"-attached hereto
and made a part hereof. Moreover, the installation of stairs, stairways or any
other structure proposed to access the beach from parcels 1, 3 and 4 shall be
prohibited, as access to the beach shall be limited to a single structure contained
within the aforementioned 10 tL wide easement on parcel 2, which shall serve the
residents of the entire subdivision.

That OWNERS, their successors and assigns, guests and invitees, take the
premises subject to the above described easements and rights-0f-way and rights
of others along said rights-of-way.
That this grant and easement shall, at all times, be deemed to be
continuing covenants running with the land and shall be binding upon the heirs,
successors andlor assigns of the parties herein.
It shall be the obligation of the then OWNERS of the subject parcel, their
heirs, successors and/or assigns, to repair and/or maintain the said easement
area. Each property owner shall be required to pay a 25% share of said
maintenance and repair cost In addition, the lot owners, their heirs, successors
and/or assigns shall be equally responsible for the clearing of snow and
maintenance of the easement and right-of-way, including but not limited to the
maintenance of grass, trees, and bushes, if any. The owners of parcel 2, their
successors or assigns shall be responsible for the collection and management of
all of the aforementioned maintenance fees and activities in perpetuity.
Upon its full execution by the parties herein named,this document shall be
recorded In the Suffolk County Clerk's Office, and upon said recording, this
Cross Easement shall be fully enforceable by the Town of Southold.
IN WITNESS WHEREOF, the parties hereto have caused their hands to be
hereinto fixed, and those presents to be signed as of the day and year first above

Clerk of Suffolk County on October 30,2006 as File No. 11457, more particularly bounded and

BEGINNING at a point at the southeast comer of land to be herein described along the division
line of Parcel 2 as shown on above said map and land now or formerly of Stype were the same is
intersected by the northerly line of a certain Right of Way from Oregon Road, said point being
also the following four(4)courses and distances from the comer formed by the intersection of
the westerly side of Duck Pond Road with the northerly side of Oregon Road:
