HomeMy WebLinkAboutNelson, Pope & Voorhis, LLC - ZBA consulting THIS AGREEMENT made and entered into this 149 e-10,011 by and between Town of Southold (hereinafter referred to as"Town"), a municipal corporation organized and existing under and by virtue of the laws of the State of New York(mailing address: c/o Elizabeth A.Neville, Southold Town Clerk, Town Hall,P.O. Box 1179, Southold,New York 11971),party of the first part, and Nelson,Pope &Voorhis,LLC (hereinafter referred to as "Contractor"),party of the second part. WITNESSETH: That the Town and Contractor, for the consideration named, hereby agree as follows: 1. PURPOSE. The Town hereby retains Contractor, on the terms and conditions set forth hereinafter,for the purpose of conducting technical consulting to provide State Environmental Quality Review (SEQR,) analyses for multiple applications for Special Exceptions to the Southold Zoning Board of Appeals. 2. SPECIFIC SERVICES. Contractor shall prepare and deliver to the Town for use by the Town the deliverables specific scope of work and information attached as Exhibit A. In consultation with designated officials/employees of the Town, and following the submittal to the Contractor by the Town of one round of compiled comments from all parties. The Contractor must submit to the Town all required products. 3. TIME AND ATTENDANCE; COOPERATION BY THE TOWN. Contractor shall perform the services described herein and attached hereto in as expeditious a manner as is reasonably possible and with due consideration of the time requirements of the Town and goals established in Exhibit 1. A copy of{this agreement is attached hereto as Exhibit 1. The Town recognizes that the timing of the performance of Contractor's services may be affected by previous commitments to other clients (including the delivery of promised services and work product and previously scheduled meetings), and situations normally and traditionally deemed to be matters influenced by the weather, strikes, or power outages. The Town agrees to cooperate with Contractor, as needed, and to provide Contractor with copies of any records, documents and other information needed for performance of this agreement on a timely basis. The Town further agrees to provide Contractor with access to appropriate officials and/or employees of the Town, as may be needed in the performance of the agreement. Moreover, both parties understand and agree that mutual accountability and responsiveness is critical to the successful completion of the project, and therefore both shall always use their best faith efforts to be accountable and promptly responsive to each other. Town of Southold Professional Services Contract -1- March,2016 4. COMPENSATION. In payment for the services to be performed hereunder by Contractor,the Town shall make payments to Contractor as follows: (a) For the services to be performed by Contractor pursuant to paragraph 2 hereof, the Town shall pay Contractor according to the fee schedule in Exhibit A. Payments shall be made quarterly. Contractor shall send the Town a signed voucher for such compensation. Such voucher shall be due and payable within 45 days after receipt of such voucher, but such sum shall not be due and payable by,the Town until the Town Board of the Town'has received such a voucher and has audited and approved for payment`the signed voucher to be submitted by Contractor in connection therewith. The Town Board shall process any vouchers received from Contractor as expeditiously as possible. In the event that the Town disputes or objects to any portion of any voucher submitted by Contractor pursuant to this paragraph,the Town shall,within 30 days of the receipt of such voucher,notify Contractor in writing of such dispute or objection. Contractor acknowledges that Contractor is familiar with the requirements of section 118 of the Town Law which, in effect,prohibit payment of any of Contractor's claims against the Town unless an itemized voucher therefore shall have been presented to the Town Board or Town Comptroller and shall have been audited and allowed by the Town Board or Town Comptroller. Product:, Vouchers sent to the Zoning Board of Appeals. 5. REIMBURSEMENT FOR EXPENSE. For Contractor services performed,the Town shall reimburse Contractor for Contractor's actual out-of-pocket expenses for the following items,and for no other items: (a)mileage at the Internal Revenue Service mileage rate in effect at the time of the billing (55.5 cents per mile on the date of this agreement);(b)postage, (c)photocopying expenses at a cost not to exceed [$.15] per copy, (d)'expedited or overnight delivery service charges, (e) long-distance telephone charges, and (f) any other reasonably necessary expenses directly related and attributable to the fulfillment of this engagement. Contractor's requests for expense reimbursement shall be included in Contractor's vouchers at actual cost,with no markup. Contractor's requests for expense reimbursement shall be subject to the voucher auditing and approval requirements set forth in paragraph 4 hereof. 16. TERM OF AGREEMENT, TERMINATION. This agreement shall be for a period of 24 months commencing on the date set forth at the top of page 1 of this agreement,provided,however,that this agreement shall terminate immediately in the event that(a) Contractor dies; (b) Contractor incurs a disability which makes Contractor unable to perform the services which Contractor is required to perform hereunder; (c) Contractor files a Petition in Bankruptcy Court or a Petition is filed against Contractor in Town of Southold Professional Services Contract -2- March,2016 Bankruptcy Court, or Contractor is adjudged bankrupt or makes an assignment for the benefit of creditors; or(d) a Receiver or Liquidator is appointed for Contractor and/or Contractor's property and is not dismissed within 20 days after such appointment or the proceedings in connection therewith are not stayed on appeal within the said 20 days. In the event that Contractor refuses or fails to provide the services required hereunder with due diligence, or fails to make prompt payment to persons supplying labor for Contractor's services hereunder, or refuses,or fails to comply with applicable statutes, laws or ordinances, or is guilty of a substantial-violation of any provision of this agreement,the Town shall send Contractor written notice that Contractor has 20 days to cure said default; and if, at the end of said 20-day period, Contractor has not cured said default,the Town may then terminate this agreement on 7 days' prior written notice to Contractor. ' All claims, disputes and other matters in question arising out of, or relating to,the provisions of paragraph 6 of this agreement shall be decided by arbitration in Suffolk County,New York, in accordance with the rules then prevailing of the American Arbitration Association. The award rendered by the arbitrators shall be final and binding, and judgment may be entered upon it and enforced in any court of competent jurisdiction. 7. SKILLS OF CONTRACTOR; CONFLICTS OF INTEREST. Contractor represents that Contractor has the requisite skills and experience to perform the services hereunder. 8. INDEPENDENT CONTRACTOR STATUS OF CONTRACTOR. Contractor and the Town agree that in the performance of Contractor's services hereunder, Contractor is an independent Contractor and shall not be deemed to be an employee or agent of the Town for any purpose whatsoever. 9. PROHIBITION-AGAINST ASSIGNMENT. Contractor is hereby prohibited from assigning,transferring, conveying, subletting or otherwise disposing of this agreement or his right,title or interest in this agreement. 10. COMPLIANCE WITH STATUTES. Contractor agrees that Contractor will comply with all statutes, ordinances, local laws, codes, rules and regulations which are or may be applicable to Contractor's services, activities and duties set forth in this agreement. 11. NOTICES. CONSULTANT'S INSURANCE The Consultant shall not commence work under this Contract until it has obtained all insurance required under this paragraph and such insurance has been approved by the Town. (a) Compensation Insurance: The Consultant shall take out and maintain during the life of this Contract Workers' Compensation Insurance for its employees to be assigned to the work hereunder. (b) Liability Insurance: The Consultant shall take out and maintain during the life of this Contract general liability and professional liability (E& O) insurance. The amounts of such insurance shall be as follows:, 1. General liability insurance in,an amount not less than$1,000,000 for injuries, including wrongful death to any one person and subject to the same limit for each person, in an' amount not less than $2,000,000 on account of any one occurrence. ,2. Professional liability (E& O) insurance in an amount not less than$1,000,000 per occurrence or claim and $2,000,000 aggregate. The Consultant shall furnish the above insurances to the Town and shall also name the Town as an additional named insured in said policies with respect to liability arising out of services provided by consultant. 13. INDEMNITY AND SAVE HARMLESS AGREEMENT The Consultant agrees to indemnify and save the Town, its officers, agents and employees harmless from any liability imposed upon the Town, its officers, agents and/or employees arising from the negligence, active or passive, of the Consultant and from and against any damages, claims, or expenses, including reasonable attorney's fees, arising out of Consultant's breach of the Agreement or from Consultant's acts or omissions outside the scope of the Agreement or arising out of claims or actions by third parties against Consultant by virtue of Consultant's performance of this Agreement. 14. WAIVER. No waiver of any breach of any condition of the Agreement shall be binding unless in writing and signed by the party waiving said breach.No,such waiver shall in any way affect any other term or condition of this Agreement or constitute a cause or excuse for a repetition of such or any other breach unless the waiver shall include the same. 15. APPLICABLE LAW. Town of Southold Professional Services Contract -4- March,2016 This Agreement is governed by the laws of the State of New York and each of the Parties hereto submits to the exclusive jurisdiction of any state court sitting in Suffolk County,New York, in any action or proceeding arising out of, or relating to,this Agreement, and agrees that all claims in respect of the action or proceeding may be heard and determined in any such court and agrees not to bring any action or proceeding arising out of, or relating to,this Agreement in any other court. 14. COMPLETE AGREEMENT, MODIFICATION. This request for proposal is for a generic price to conduct a SEQR analysis for a single Special Exception/Special Use Permit application, of which there may be several over the next year. PURPOSE Conduct a SEQR analysis of each action before,the Zoning Board of Appeals in the category of Special Exception uses (aka Special Use Permits). TASKS (for each application) Task I. Review FEAF Part I for accuracy and recommend a classification of the action. RFP—Southold Town Zoning Board of Appeals-2017 ' Page 2 Task II. Coordinate with involved and interested agencies. Task III. Prepare a FEAF Part II identifying the `potentially no to small' and `moderate to large' impacts for the proposed action. Task IV. Provide a written technical analysis and recommendations on potential impacts for the action. Task V. Prepare the FEAF Part III and recommend the issuance of a determination of significance (Negative Declaration, Conditioned Negative Declaration or Positive Declaration)for the action. • If a Positive Declaration is recommended, all potential moderate to large impacts must be identified and described in detail. • If a Conditioned Negative Declaration is recommended, all conditions that would be imposed to mitigate impacts must be submitted in detail. Deliverables: Analysis of the FEAF's accuracy and completeness, recommendation for classification of the action, copies of coordination letters with involved and interested agencies,FEAF Parts II and III and environmental assessment. Task VI, Review materials submitted by the applicant, and provide a report(s) as necessary to the Planning Board. The study identified the peak parking periods and associated peak occupancy by location,calculated the average parking duration and turnover by location and provided recommendations to improve parking efficiency within the Village. The Supplemental GEIS evaluated the specific code amendments to establish downtown overlay districts, as well as site specific impact analysis of the development scenario pursuant to the zoning amendments. Key issues evaluated include traffic, system wide sewer and water infrastructure improvements, historic resources, community character, shadows, construction phasing, parking, air and noise. NP&V also prepared an economic impact analysis;which identified and quantified economic impacts on output,employment and labor income, as well as tax revenues. Nelson & Pope completed the Traffic Impact Study for the downtown area,including 40 area intersections,an assessment of trip generation accounting forthe transient oriented design of the project and shared parking. The project was completed under an expedited timeframe and complimented by the Nassau County Planning Commission for the manner in which the SEQRA process was completed, and in particular,the analysis methodologies used. `Southampton Riverside,Overl_ay Zone SEQRA NP&V/N&P were retained by the Town of Southampton to conduct the SEQRA review for a newly proposed zoning overlay and r redevelopment of the Hamlet of Riverside. The Riverside Overlay Zone study area has been documented as the most economically distressed communities on Long Island. With the goal of improving the economic and housing opportunities in the area, the Town of Southampton entered into an agreement with a Master Developer to prepare the Riverside Revitalization Action Plan (RRAP) to revitalize the Hamlet of Riverside. The Overlay Zone (468 acre area) '` would encourage a mix of retail stores, service-related businesses, �� Page 3 Town of Southold ' SEQRA Preview Services Zoning Board of Appeals—Special Use Permits restaurants, diverse housing options, along with improved transportation infrastructure with 'ped'estrian pathways, public green spaces and access to the Peconic River. NP&V worked with the'Town and the selected Master Developer, Renaissance Downtowns, to prepare the GEIS, which evaluated the proposed code amendments and a theoretical development scenario of approximately 3.2 million square feet of mixed use residential,commercial and institutional uses. The Hamlet of Riverside is a heavily regulated area, located within the Central Pine Barrens,, adjacent to the'Peconic River with established total maximum daily load (TMDQ limitations,tidal and freshwater wetlands, NYSDEC Wild Scenic and Recreational River areas, nearby endangered tiger salamander breeding ponds and within a Town Aquifer Protection Overlay District. Therefore, redevelopment activities needed to consider a wide range of environmental sensitivities and regulatory restrictions: In addition to ecological concerns, key issues also included traffic, area wide sewer and water infrastructure improvements,school district impacts,community character,and social concerns including resident displacement. Unique to the Overlay Zoning,were a series of sustainability requirements,a provision that 50%of all residential units be constructed under the Town's Community Benefit Housing program, and an extensive set of community benefit policies and mitigation funds devised to ensure the existing community would benefit from the proposed revitalization efforts. Nelson & Pope also completed a Traffic Impact Study (TIS) for the proposed theoretical development program, and identified necessary mitigation options. Thle project was completed in a six month timeframe and the zoning overlay was adopted in December 2015. Village of Sag.Harbor �Plannin0EQ11A Consulting y The firm represents the Village Planning Board and Zoning Board of Appeals and conducts all SEQRA,site plan and subdivision SEQRA reviews for these Boards. NP&V also reviews wetlands applications and provides general support to the Village on planning related matters. Downtown Overlay Zories-DGEISrv-City,of"New Rochelle,Westchester County NP&V worked with Renaissance Downtowns,the Master Developer, and the City of New Rochelle in preparing a Generic Environmental = Impact Statement (GEIS) for the proposed adoption of a Downtown Overlay Zone (DOZ) for a 279-acre area of the downtown, centered around the New Rochelle train station. The DOZ is optional,whereby landowners can choose to opt into development under the proposedA., DOZ requirements.The intent of the Downtown Overlay District is totl - encourage downtown redevelopment through the creation of an active, mixed-use district with convenient, safe and pleasant access to the train station. The proposed DOZ would standardize uses to encourage the development of economically diverse high quality housing, modern retail, commercial, office, hotel space and civic uses integrated with well- designed pedestrian friendly streetscapes, and appropriately placed open and green spaces. The GEIS evaluated the specific code amendments to establish downtown overlay districts, as well as site specific impact analysis of the development scenario'pursuant'to the zoning amendments. The development scenario evaluated such key issues including traffic,system wide sewer and water infrastructure improvements,historic resources,community character, shadows, construction phasing, parking, air and noise. NP&V also prepared an economic impact analysis, which identified and quantified economic impacts on output,employment and labor income,'as well as tax revenues. As part of its on-going Downtown Copiague Vision Plan, Nelson & Pope conducted a Cumulative Traffic Impact Study for downtown Copiague and identified traffic impacts that will be created by the proposed full build out plan outlined in the Town of Babylon environmental impact statement and identified potential mitigation measures that will successfully improve traffic operation within the downtown area with minimal impact to the community. _Downtown Riverfront'Redevelopment,Town of Riverhead Community-Development The Town of Riverhead retained Nelson & Pope (N&P) / Nelson, Pope & Voorhis (NP&V) to complete a New York State Department of State +' Brownfield Opportunity Area BOA rant for an approximately 452 acre area characterized with eighteen potential brownfield sites. A Traffic -.- Oriented Development (TOD) Growth Plan was developed in which the developments proposed at the potential brownfield sites were analyzed to determine the traffic impacts that may be associated with their development and provided possible mitigation. In this TOD study, traffic analyses were conducted at several intersections within the study area to identify traffic impacts associated with TOD plans. A detailed parking and transit study was also undertaken to determine the adequacy of parking and transit. Measures to mitigate traffic, parking and transit impacts were developed and analyzed. Mr. Dixon has experience and has overseen numerous waterfront improvement projects, including designs of shoreline stabilization, bulkhead repairs and replacements, piers, docks and jetties, boat ramps and boat lifts,dredging and beach nourishment projects. Joseph G. Pecora, P.E., P.T.O.E. of Nelson& Pope has over 43 years' experience in transportation engineering and planning in the public sector. He was Nassau County Director of Traffic Engineering, prior to being appointed Commissioner of Public Works for Nassau County. Mr. Pecora was also responsible for the operation and maintenance of the County's Centralized Computer Traffic System. Similar projects that Mr. Pecora was the Project Manager for include the Hauppauge Industrial Park Transportation Planning Study, the Downtown Farmingdale Master Plan Transportation Study and Glen Cove Mansion and he was intimately involved in the Village of Hempstead Downtown Overlay Zoning Traffic Impact Study. Specific experience involves managing and performing traffic and transportation planning studies including traffic impact and assessment studies, accident analyses, traffic signal warrant analyses, parking assessment studies, concept designs and internal roadway design/analyses as well as conducted traffic reviews for diverse developments. Related projects: Mr. Barrie was the Project Manager for the Riverside Overlay Zones TIS,Village of Hempstead Downtown Overlay Zoning TIS and Huntington Station Gateway Development TIS and was Project Engineer for the Hauppauge Industrial Park Transportation Planning Study, the Downtown Farmingdale Master Plan Transportation Study,and the Southampton Village Parking Study. Mr. Barrie will assist Mr. Pecora in traffic and parking conditions analysis for proposed applications. iW Page 9 Town of Southold SEQRA Review Services Zoning Board of Appeals—Special Use Permits SECTION II PROPOSED SCOPE OF SERVICES PROJECT UNDERSTANDING It is our understanding that the Town Zoning Board of Appeals (ZBA) seeks assistance with the review of special exception applications and fulfillment of environmental review under the State Environmental Quality Review Act (SEQRA). SEQRA requires a decision-making body to assess the environmental consequences of their decision to undertake,fund or approve an"action." Article 8 of the New York State Environmental Conservation Law and the regulations contained in 6NYCRR Part 617, SEQRA, provide appropriate guidance for agencies to conduct this review.' NP&V is expert in the SEQRA process, and will assist the Town ZBA with the technical review the application to ensure a thorough review is completed in accordance with SEQRA. Our team will work with the ZBA to address the critical issues and concerns related to the project. Our experts will be available to meet with the Zoning Board as necessary to discuss project details and the findings of our review. If necessary,supplemental analysis can also be completed at the request of the Board. TECHNICAL APPROACH SEQRA REVIEW SERVICES Task 1: Initial Application Review To begin the SEQRA review, the NP&V team will review in detail, the proposed plans and application materials, Environmental Assessment Form (EAF), Part I, and associated mapping and project description for accuracy and completeness. If the Part I EAF requires corrections, NP&V will alert the applicant in writing as to the necessary changes. Fee: $1,500 Task 2: SEQRA Classification,Coordination&Administration Determine the SEQRA classification of the action, list of involved agencies and need for coordinated review for the action. Prepare necessary resolution(s), administrative notices andfilings pursuant to 6 NYCRR Part 617 requirements. Fee: $1,500 Task 3: Prepare EAF Part 2 \ NP&V will perform a comprehensive technical assessment/substantive review of the applicant's proposed project to determine the potential areas of impact,and prepare a Part II EAF. Based on the input received, and NP&V team's professional review of the project, NP&V will prepare Technical Environmental Planning Analysis to review the overall project and provide information to be used in rendering a determination of significance. The Analysis will include an overview of environmental and planning issues with emphasis on those that are determined to be important based on the tasks above, and will include recommendations/finding on potential impacts that have been identified as moderate to large. If necessary, a comment letter an recommendations for requests for additional information from the applicant will be prepared'in letter form. As this review will depend on the scale and site specific constraints of the application, as well as the quality of information resubmitted by the applicant, this task is proposed to be completed at time rates,with a budget can be provided for each application. Fee: Time Rates Budget Ranging from$1,500-$5,000 Task 5: EAF Part 3 and SEQRA Determination of Significance Based on the SEQRA record established in the Tasks above, NP&V will prepare a Part 3 EAF outlining the findings of the SEQRA Review and a SEQRA Determination of Significance. The draft documents will be reviewed and discussed with Board and the ZBA attorney and revised as necessary for finalization. Fee: $1,500 Task 5: Meetings/Public Hearings(If Requested) It is anticipated that several public hearings will be conducted. .In addition to public meetings, a number of Meetings may be necessary between the Town and the applicant, as well as meetings with local community to discuss potential concerns and resolve issues. The project manager, traffic engineer and civil engineers will be available to attend works sessions and public hearings, as requested. Preparation and attendance at these meetings'will be billed on a time rate basis.
