AGREEMENT made , , betwecn VISHNUDAT SEODAT, residing at 580
Lloyds Lane, Mattituck, NY 11952 (hereinafter the "first party") and 470 LLOYDS LANE LLC,
a New York Limited Liability Company, with principal office at 122-13 15`h Avenue, College
Point, NY 11356 (hereinafter the "second party").
WHEREAS the fust party VISHNUDAT SEODAT is the owner in fee simple of the
property located at 580 Lloyds Lane, Mattituck, New York (Suffolk County Tax Map District 1000
Section 099.00 Block 03.00 Lot 004.002), acquired by deed annexed as Exhibit A hereto and made
a part hereof from Robert Fox & Victoria Friedman, as tenants in common, dated 11/5/04, recorded
11/24/04 in Liber 12356 page 905 in the records of the County Clerk of Suffolk County, being Lot
2 on a certain map entitled "Map of Honeysuckle Hills" filed in the Office of the Clerk of Suffolk
County on October 16, 1981 as File Map No. 7019 annexed as Exhibit B hereto and made a part
hereof (hereinafter "Parcel P');
WHEREAS the second party 470 LLOYDS LANE LLC is the owner in fee simple of the
property located at 470 Lloyds Lane, Mattituck, New York (Suffolk County Tax Map District 1000
Section 099.00 Block 03.00 Lot 004.003), acquired by deed annexed as Exhibit C hereto and made
a part hereof from Rochelle Reiss, dated April 8, 2015 recorded 5/3/15 in Liber 12816 page 325 in
the records of the County Clerk of Suffolk County, being Lot 3 on said File Map No. 7019 entitled
"Map of Honeysuckle Hills" (hereinafter "Parcel II");
WHEREAS Parcel IT is adjoining and' due east of Parcel 1 and share a common boundary
line;
WHEREAS the possible prior existence of fences and the encroachment of a "swing set"
and/or other outdoor recreational equipment across the common boundary line lying between
Parcels I and II may have created an ambiguity as to true and correct location of said common
boundary line Iying which the parties seek herein to mutually resolve and clarify;
WHEREAS there is of record that certain Landscaping Agreement dated as of September
30, 2002, recorded October 25, 2002 in Liber 12215 page 984 by and among prior owners of
Parcels I and 11(respecting costs of landscaping the bluff on Parcels I and 11, the maintenance of a
5 -foot buffer between Parcels I and H and the location of any garage, driveway and pool on Parcel
I, hereinafter the "2002 Landscaping Agreement") which the parties hereto wish to acknowledge
as complied with in all respects as of the date hereof and hereinafter terminated;
NOW THEREFORE, the first party and the second party hereby agree as follows:
i. The parties acknowledge that the first party has removed and/or relocated the
"swing set" and/or other outdoor recreational equipment at its expense to the
complete satisfaction of the second party.
2. The 2002 Landscaping Agreement is hereby terminated and the parties hereto shall
have no further obligation(s) to each other respecting the maintenance of
landscaping between the two parcels along the common boundary line except as
may be required by that certain Declaration of Protective Covenants and
Restrictions - Honeysuckle Hills at Mattituck, dated October 1, 1951, recorded in
Liber 9085 page 497, as amended by Amended Declaration of Protective Covenants

and Restrictions Honeysuckle Hills at Mattituck, dated September 19, 1985,
recorded in Liber 9884 page 446, by applicable law and/or by the provisions of
Paragraph "3" below.
3. Notwithstanding the termination of the 2002 Landscaping Agreement referred to in
Paragraph "2" above, the parties hereto agree that a natural fence consisting of trees
and/or shrubs running generally South to North shall be planted on Parcel i near and
along the common boundary between Parcel I and Parcel II, in accordance with the
Landscaping Plan attached as Exhibit D hereto and made a part hereof The first
party hereby acknowledges that the Landscaping Plan will be implemented at the
sole cost and expense of the first party, and by execution hereof the second party
acknowledges and agrees that the party of the first part has fully complied with the
requests hereof pertaining to the Landscaping Plan. Nothing herein shall be
construed to preclude the owners of Parcel I or Parcel II from installing an actual
fence along the common boundary line.
4. Notwithstanding any prior encroachment or variation, or claim(s) for adverse
possession or use, the parties hereto do hereby waive for themselves, their heirs,
assigns and successors in interest any claim to prescriptive rights in and to or
acquisition of title by adverse possession and do hereby declare, recognize and
establish the true and correct common boundary line between Parcels I and II is as
reflected and shown on said File Map No. 7019 and the survey of Joseph A.
ingegno, dated June 28, 2002 annexed as Exhibit E hereto and made a part hereof.

5. The second party represents that the execution of this Agreement has been properly
authorized and is in conformity with its Operating Agreement and all other of its
governing documents and the laws of the State of New York.
6. The parties hereto agree that this Agreement shall be construed in accordance with
the laws of the State of New York; shall not be modified except in writing; shall be
recorded in the records of the Suffolk County Clerk as indexed against both Parcel
and Parcel 11; and shall constitute an agreement to run with the land, binding upon
the heirs, successors and assigns of the respective parties hereto.
IN WITNESS WHEREOF, the parties hereto have hereunder set their hands and seals as of the day
and year first above written.
