and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected, situate, lying and being
in the SEE SCHEDULE "A" ANNEXED HERETO FOR A DESCRIPTION OF THE PROPERTY
This conveyance is made in the ordinary course of business and does not render the grantor insolvent.
Nothwithstanding, Wisdom Ventures LLC's ("Wisdom") acquisition of the Premises described in Schedule A annexed hereto
and also known as l 10 Sotmdview Road, Orient, NY 11957; Section: 15; Block: 3; Lot: 33; County of Suffolk (the
"Premises"), the indebtedness evidenced by all the Notes and Mortgages held by Wisdom against the Premises, including but
not limited to, those dated March 27, 2015; July 20, 2015; March 31, 2016 (collectively the "Notes and Mortgages") between
Wisdom and GPMDE Inc., shall not be cancelled and shall survive closing and delivery of this deed. The Notes and
Mortgages shall remain in full force and effect after the recording of this deed. Furthermore, the interest of Wisdom , in the
Premises after acquisition of the Premises shall not merge with the interest of Wisdom in the Premises under the Notes and
Mortgages. That such interests of Wisdom in the Premises shall not merge, but be and remain at all times separate and
distinct, notwithstanding any union of said interest in Wisdom at any lime by purchase, termination or otherwise and that the
lien of the Notes and Mortgages in the Premises shall be and remain at all times valid and continuous liens on the Premises
until and unless released by Wisdom Ventures LLC or its successors and assigns.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof, TOGETHER with the appurtenances and all the estate and
rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the premises herein granted unto the
party of the second part, the heirs or successors and assigns of the party of the second part forever.
AND the party of the First pan covenants that the party of the first part has not done or suffered anything whereby the said
premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the first part will
receive the consideration for this conveyance and will hold the right to receive such consideration as a trust fund to be
applied first for the purpose of paying the cost of the improvement and will apply the same first to the payment of the cost of
the improvement before using any part of the total of the same for any other purpose. The word "party" shall be construed as
if it read "parties" whenever the sense ofthis indenture so requires.
