Russell to execute Agreement with Cornell Cooperative Extension in connection with the 2017 Southold Town Shellfish Program, at Cedar Beach, in the amount of $20,000 for the term January 1, 2017 through December 31, 2017, all in accordance with the approval of the Town Attorney. 0"4r?6-0� Elizabeth A. Evans, Justice SECONDER:Robert Ghosio, Councilman AYES: Dinizio Jr, Ruland, Ghosio, Evans, Russell ABSENT: Jill Doherty f CONTRACT FOR SERVICES THIS AGREEMENT, entered into this 11t day of January 2017, between the Town of Southold,with offices at 53095 Main Road, Southold,New York 11971, hereinafter called the"Town"and Cornell Cooperative Extension, with offices at 423 Griffing Avenue,Riverhead,New York 11901 hereinafter called the "Contractor" WITNESSTH WHEREAS, the Town of Southold desires to engage the contractor to render certain services hereinafter described in connection with an undertaking. NOW,therefore,the parties hereto mutually agree as follows: 1. Employment of the Contractor- The Town hereby agrees to engage the Contractor and the Contractor hereby agrees to perform the services hereinafter set forth. 2. Scope,of Work—The Contractor shall perform and carry out, on a satisfactory and proper manner the services described in Exhibit A: attached hereto and made a part of the contract. 3. Personnel-A. The Contractor represents that all personnel engaged in the work shall be fully qualified by reason of training and experience to perform such sei vice set forth herein. B. None of the work or services covered by this contract shall be subcontracted without the prior written approval of the Town. 4. Time of Performance—The services of the Contractor are to commence upon execution of this contract and shall end on December 31, 2017 or at the completion of the task outlined in Exhibit A. 5. Compensation—The Town agrees to pay the Contractor the total sum not to exceed$20,000. 6. Method of Payment—The payment shall be made in accordance with the billing schedule and upon receipt by the Town of Southold of a properly completed voucher form supplied by the Town. It is expressly understood and agreed that in no event will the total compensation and reimbursement be paid hereunder exceed the maximum sum of$20,000 for all of the services required 7. Monthly Reports and Activity Reports—Monthly activity reports should be submitted along with a monthly voucher for reimbursement of approved expenditures. 8. Additional Rights and Remedies—This contract shall be governed by, subject to and construed according to the laws of the State of New York Y r IN WITNESSOF,the parties hereto have executed this contract as of the date hereinabove set forth. Minei, Executive Director I t u y i 1 EXHIBIT A 2017 Town of Southold Shellfish Budget and Program Description Contractual Expense: Suffolk County Marine Environmental Learning Center—Staff and Equipment $20,000 The above represents the contractual expense for the operation of the hatchery and grow- out facility for the Town of Southold's 2017 Shellfish Program(s). The Suffolk County Marine Environmental Learning Center will spawn and grown-out hard clams, oysters, bay scallops, soft clams, blue mussels, razor clams and ribbed mussels in the quantities recommended by the Town of Southold, for seeding Southold's Creeks and Bays.
