THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2017-92 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JANUARY 3, 2017:
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute a retainer agreement with James Ryan, Esq. to act as
counsel to Town of Southold Board of Assessors.

RETAINER AGREEMENT
BETWEEN
TOWN OF SOUTHOLD AND
JADES RYAN., ESQ.
THIS AGREEMENT FOR LEGAL SERVICES, made on January 3 4 , 2017, by and between
James,Ryan, Esq. and the Town of Southold (hereinafter the Town) have its principal place of
business at 53095 Main Road, Southold, NY 11971. This agreement is subject to the terms of
Southold Town Resolution No. )0l-7 - passed at the Southold Town organization meeting
held on January 3,2017 attached hereto and made a part hereof.
James Ryan will negotiate the Town's interests in tax certiorari matters initiated pursuant to the Real
Property Tax Law, and provide general assessment.advice to the Board of Assessorsand the Board of
Assessment Review on assessment practices and procedures. James Ryan shall attend -at least one
meeting of the Board of Assessment Review as time allows. My fees for professional services
rendered for representation in these matters in the Supreme Court, Suffolk.County, will be computed
at my standard hourly rates for municipal services in effect from time to time as my services are
rendered. My current municipal hourly rate is $200.00, billable in 6 minute intervals. No change in
hourly rates will occur without the prior consent of the Town.
The Town will be responsible for the payment of any costs, expenses and disbursements incurred by
James Ryan on its behalf including, but not limited to, fees for appraisals, court filing, stenographers,
transcripts, overnight delivery, extraordinary photocopying, and any other necessary disbursements
on behalf of the Town. No disbursement for appraisal fees will be incurred without the prior consent
of the Town.
Statements of my hourly charges will be rendered to the Town periodically, approximately monthly,
as the work progresses. Invoices shall include; a brief explanation of services rendered,
disbursements incurred by my office and time spent on the matter. Upon receipt of my invoice, the
Town is expected to review the invoice and promptly bring to my attention any objections to the
charges stated.
In the event of a fee dispute you are advised that the Town has the right, at its election, to seek
arbitration to resolve the fee dispute. In such event, I shall advise the Town in writing by certified
mail that the Town shall have 30 days from receipt of such notice in which to elect to resolve the
dispute by arbitration, and the decision resulting from arbitration is binding upon both James Ryan
and the Town.
My representation shall terminate at the end of the current calendar year or upon a 30 day written
notice by the Town. Upon termination of my services the Town will be charged only the fee expenses
(time and disbursements) incurred within that period.
