NOW, THEREFORE, in consideration of ONE DOLLAR ($1 . 00) and other good and valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1 . The Company grants to the Reed Schuberts, and the heirs, successors and assigns of the Reed Schuberts, an Easement over the portion of the Stairs that is on the Company' s property for the sole and exclusive purpose of utilizing the Stairs to access the beach, or to maintain and repair the Stairs or surrounding grounds, until such time as {00043684;) both parties should jointly agree in writing that such Stairs or any replacement thereof, should no longer be in existence for so long as such Stairs, or any replacement thereof, are in existence as shown on the attached Survey, pursuant to the covenants and restrictions contained herein. 2 . The Reed Schuberts grants to the Company, and the heirs, successors and assigns of the Company, an Easement over the portion of the Stairs that is on the Reed Schuberts' property for the sole and exclusive purpose of utilizing the Stairs to access the beach, or to maintain and repair the Stairs or surrounding grounds, until such time as both parties should jointly agree in writing that such Stairs or any replacement thereof, should no longer be in existence for so long as such Stairs, or any replacement thereof, are in existence as shown on the attached Survey, pursuant to the covenants and restrictions contained herein. 3. The parties hereto shall have full and complete rights for ingress and egress over each other' s parcels reasonably necessary for the sole and exclusive purpose of maintenance, access and use of the Stairs . 4 . The parties agree to mutually maintain the Stairs and surrounding land and upon consent from both parties, which consent shall not be unreasonably withheld, the costs of repairs and maintenance to maintain the Stairs in substantially its present condition and state of development shall be borne equally by the parties . The parties further agree to cooperate with the reasonable request of the other party to fulfill the maintenance or repairs of the Stairs . 5. The REED SCHUBERTS hereby affirmatively state that they make no claim, and have no claim, of ownership of the property of the COMPANY on which the Stairs are located lying west of the property line, as shown on the attached survey and the COMPANY hereby affirmatively states that it makes no claim, and has no claim, of ownership of the property of the REED SCHUBERTS on which the Stairs are located lying east of the property line, as shown on the attached survey. 6. The parties shall cause this agreement to be duly recorded on the property records related to each property in the clerk of Suffolk County and each party hereby agrees to execute any other document or instrument (00043684;1 reasonably necessary to effectuate the intent of this Agreement. 7 . The parties further agree that such covenants granted hereunder, including the benefits and burdens thereof, shall run with the land and are binding upon and inure to the heirs, assigns, successors and personal representatives of the parties hereto IN WITNESS WHEREOF, the parties have caused this Agreement to be executed as of the date first above written.
