MEMORANDUM OF SUBLEASE AGREEMENT

The undersigned DUKE & CANE LLC, a limited liability company duly organized
and validly existing under the laws of the State of New York, having an office at 15
Clamshell Avenue, East Hampton, New York 11937, as sublessor (the "Company"), and
MATCHBOOK DISTILLING COMPANY LLC, a limited liability company duly organized
and validly existing under the laws of the State of New York, having an office at 15
Clamshell Avenue, East Hampton, New York 11937, as sublessee (the "Sublessee"), entered
into a Sublease, dated July 12, 2016 (the "Sublease Agreement"), between the Company and
the Sublessee.
The Sublease Agreement covers the premises described in Exhibit A attached hereto
and made a part hereof.
The Sublease Agreement provides for the rental of the premises by the Sublessee for
a term commencing on July 12, 2016 and terminating on December 31, 2027 (the "Sublease
Term").
