The Lessee shall pay to the Lessor for the use of the Premises the annual rental of paid in two installments. The first payment shall be paid upon execution of the Lease and the balance shall be paid on or before November 1 2016. Thereafter, said rent shall be paid semi-annually on the 10th day of May and the 10th day of November during the term of this lease and any extension thereof. The Lease shall be subject to the following conditions: FIRST: The Premises shall be used primarily for the raising and harvesting of fowl, specifically free range chickens, but may be used for agricultural use or purpose permitted by the Southold Town Code. SECOND: Lessor may, upon written notice to Lessee, plant fruit trees on a portion of the Premises as long as said plantings do not interfere with or limit Lessees' use of the Premises. THIRD: Lessor expressly covenants that, during the term of this ,Lease, he will not engage in the raising or harvesting of free range chickens on the Premises or at any location within 2 square miles of the Premises. In the event of a breach of this covenant by Lessor that remains uncured after thirty (30) days notice by Lessee, Lessee may, at its option, terminate this Lease or withhold the payment of rent until such time as the Lessor cures the breach. FOURTH: The failure of Lessor to insist upon a strict performance of any terms, conditions, and covenants herein shall not be deemed a waiver of any rights or remedies that the Lessor may have and shall not be deemed a waiver of any subsequent,breach or default in the terms, conditions, and covenants herein contained. FIFTH: Lessee shall indemnify the Lessor against and save Lessor harmless from any and all claims, demands, and lawsuits or judgments arising out of the use of the Premises during the term of this Lease. Lessee agrees to carry and maintain at his own cost and expense throughout the term of this Lease a policy or policies of insurance wherein the Lessor shall be named as an insured, insuring against death or injury to persons, and damages to property in an amount not less than $500,000, combined single limit for both bodily injury and property damage liability claims. Prior to taking possession of the demised Premises, Lessee shall deliver to Lessor a certificate of the insurance company issuing such insurance, evidencing such coverage. SIXTH: - In the event Lessee defaults in performing or observing any of the covenants or conditions of this Lease and does not cure such default after thirty (30) days written notice thereof by Lessor, Lessor may, at Lessor's option, terminate and cancel this Lease, re-enter the Premises and dispossess the Lessee or any other occupant of the Premises and remove their effects and take possession of the Premises and hold the same as if this Lease had not been made, and the Lessor shall not be precluded from any other remedy in law or in equity. SEVENTH: Lessee shall not be required to pay rent in respect to any part of the Premises which shall for such year be quarantined by New York State, Suffolk County, or similar governmental agency. Rent shall be proportioned based upon area of Premises quarantined and number of days quarantine is in effect. EIGHTH: Any new improvements to the Premises including but not limited to wells, irrigation piping, structures, etc., must be approved by the Lessor prior to implementation. Upon the termination of this Lease, the Premises shall 2 be returned to its original condition and all of the above mentioned improvements shall be removed from the Premises by Lessee, unless Lessor requests some improvements be left intact, which shall be negotiated at such time. NINTH: Lessee shall at the expiration or sooner termination, of the term of the Lease, yield up the Premises in good condition and order to the Lessor. - TENTH: Lessee may not assign this Lease nor sublet any portion of the Premises. ELEVENTH: Lessee must, at Lessee's cost, promptly comply with all laws, orders, rules, and directions of all governmental authorities, insurance carriers, or Board of Fire Underwriters, or similar group. TWELFTH: If Lessee fails to correct a default after notice from Lessor, Lessor may correct it for Lessee at Lessee's expense. The sum Lessee must repay to Lessor will be additional rent payable to Lessor within fifteen days after written demand. THIRTEENTH: If any provision of this Lease is invalid or unenforceable as against any person or under certain circumstances, the remainder of this Lease and the applicability of such provision to other persons or circumstances shall not be affected thereby. Each provision of this Lease, except as otherwise herein provided, shall be valid and enforceable to the fullest extent permitted by law. FOURTEENTH: Any bill, statement, or notice must be in writing and delivered or mailed to the Lessee at the address shown on the first page of this lease and to the Lessor at the address as shown on the first page of this lease. It will be considered delivered on the day mailed or if not mailed, when left at the proper address. Any notice must be sent by certified mail and return receipt requested. Lessor and Lessee must send written notice to the other party if their respective address changes for purposes of notices under this Lease. FIFTEENTH: This Lease can be changed only by an agreement in writing signed by the parties to the Lease. SIXTEENTH: The Lessor and the Lessee covenants to pay reasonable attorney's fees and other legal expenses made necessary by the breach of any covenant or term of this Lease by the other party, or any default in the performance of any act or duty agreed to be performed. This covenant shall survive the termination and/or expiration or the lease term. SEVENTEENTH: This instrument shall not be a lien against said Premises in respect to any mortgages that hereafter may be placed against said 3 Premises and that the recording of such mortgage or mortgages shall_ have preference and precedence and be superior and prior in- lien to this Lease, irrespective of the date of recording and,the,Lessee agreee'to,execute.-any such' instrument without:cost; which may be deemed .necessary or desirable to further effect the subordination of this.Leaseto any such:mortgage or mortgages, and a refusal to, execute such instruments shall entitle the Lessor to the option of cancelling this Lease without incurring any expense or damage,.and the term, hereby granted is expressly:limited accordingly. EIGHTEENTH: Each party represents to the other no broker brought about the signing of this agreement„ NINETEENTH: If the whole or any' part of the Premises shall be: acquired or condemned by Eminent Domain'for any public or quasi public use or purpose;:then the term of this Lease shall terminate from the date,of title ,vesting• in,such proceeding and Lessee shall have no claim against Lessor for the value of any unexpected term of said Lease. No part of any award shall belong to .Lessee. TWENTIETH: This Lease Agreement "may be executed in two or more counterparts, each of Which, shall be:deemed 'an' original but all of which: together shall constitute one and.the same document, admissible into evidence, notwithstanding the-fact that all parties have not signed the same counterpart:, A facsimile or electronically transmitted copy of any party's signature to this Lease shall be binding upon the parties and shall be deemed an original for all purposes 'and'deliveryof an executed counterpart of this Lease by facsimile:or electronic transmittal shall be equally .as effective as delivery. of a manually executed, counterpart,of this.Lease. 'Any party delivering,an executed counterpart of this Lease by facsimile or electronic transmittal shall also deliver a manually executed counterpart of this Lease but the failure to deliver a manually executed counterpart shall not affect the validity, enforceability, and, binding effect of this Lease.
