WITNESSETH, that the party of the first part, by virtue of the power and authority given in and by said last
will and testament and in consideration of FOUR HUNDRED SIXTY THOUSAND ($460,000.00)----
dollars, paid by the party of the second part, does hereby grant and release unto the party of the second part,
the heirs or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land,situate, lying and being at

BEING AND INTENDED TO BE the same premises conveyed to Herbert H. Beardsley and Carolyn J.
Beardsley by deed dated January 19, 1995 which deed has been recorded in the Office of the Clerk of the
County of Suffolk on January 27, 1995 in Liber 11712 at page 510.
TOGETHER with all right, title and interest, if any,of the party of the first part in and to any streets and
roads abutting the above described premises to the center lines thereof, TOGETHER with the
appurtenances, and also all the estate which the said decedent had at the time of the decedent's death in said
premises,and also the estate therein, which the party of the first part has or has power to convey or dispose
of, whether individual, or otherwise;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been incumbered in any way whatever, except as aforesaid.
AND THE party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement, and
will apply the same first to the payment of the cost of the improvement before using any part of the total of
the same for any other purpose. The word"party" shall be construed as if it read "parties" whenever the
sense of this indenture so requires.

Southold, County of Suffolk and State of New York,bounded and described as follows:
BEGINNING°at a point on the westerly line of Meadow Lane where said westerly line intersects the
northerly boundary line of the premises herein described and the southerly boundary line of land of the North
Fork Country Club(said point also being the northeasterly corner of the premises herein described);
RUNNING THENCE along said westerly line of Meadow Lane, South 13 degrees 01 minute 40 seconds
West, a distance of 140.62 feet;
THENCE North 76 degrees 58 minutes 20 second West, a distance of 100.00 feet;
THENCE North 13 degrees 01 minute 40 seconds East, 118.03 feet to the southerly line of land of the North
Fork Country Club;
THENCE along said land of the North Fork Country Club, North 89 degrees 42 minutes 10 seconds East,
102.52 feet to the point or place of BEGINNING.
