STREET& LOCATION: 1850 Main Bayview Road, Southold 1000-75-4-28 DATE OF PUBLIC HEARING: January 4, 2001 FINDINGS OF FACT PROPERTY FACTS: The subject property comprises 5.0 acres off the west side of Main Bayview Road in Southold. It is improved with a building formerly used as a church, which includes several classrooms. Applicant occupies the property as tenant. APPLICANT'S REQUEST: On October 19, 2000, under Application No. 4880, this Board granted applicant a Special Exception pursuant to Code section 100-31(6)(4) authorizing operation of a nursery school on the lower level of the building. Applicant stated at that time that a request would be made for authorization of additional nursery school space on the upper floor,and it is that request which is being made in the current Application. REASONS FOR BOARD ACTION, DESCRIBED BELOW: (1) Applicant presented materials showing that the upper floor of the building will be used for one classroom for up to 18 children, plus office and meeting space. Each of the three classrooms on the lower level accommodates up to 18 children. The Board understands that applicant has authorization from relevant authorities to operate a nursery school for 72 children. The three existing classrooms plus the proposed additional one would accommodate this number. (2) Applicant stated that all information presented in Appl. No. 4880 remains correct. No objections to, or comments about, applicant's operation was submitted to the Board. RESOLUTION/ACTION: On motion by Member Dinizio, seconded by Member Horning, it was RESOLVED,that the findings set forth in the Board's grant of a Special Exception under Appl. No. 4880 are deemed restated in their entirety, and that such Special Exception is AMENDED to authorize applicant to conduct a nursery school on the subject • • . - for up to 72 children. No. 4844 Donald Buskard December 26, 2000 Dear Chairman Goehringer: I am again writing to the board to note my strong opposition to the above-referenced variance application. My wife and I own a summer home on the adjacent south and southeast corner of the Buskard's property and we would be the most affected property owners. We are unalterably opposed to the proposed location of the project's swimming pool for the following reasons: 1. The location for the pool has not been changed since the last application for a variance was rejected by this board. The proposed location of only four feet from our property line is unacceptable. 2. The noise and confusion associated with the use of a swimming pool, with its pumps and machinery, confined to such a limited area, so close to our house would be intolerable. 3. The closeness of the pool to the adjacent property lines would seriously depress the value of the adjacent lot (which I own) and our home. 4. The proposal seems insensitive to the effects on neighbors and to those who, in the future, may build and live on adjacent lots. We therefore urge the Board to again reject this proposal and disapprove the project. Parcel: 1850 Main Bayview Road, Southold 1000-75-4-28 Zone District: R-80 Residential Date of Public Hearing: October 19, 2000 FINDINGS OF FACT PROPERTY FACTS/DESCRIPTION: Applicant-L.I. Head Start Child Development Services, Inc., is the proposed tenant of a building formerly occupied by The Church of the Open Door with school facility. The property contains five acres with access off the westerly side of Main Baview Road in Southold and is referred to as Lot 3 on the Minor Subdivision Map of Salvatore Catapano. The building and existing parking areas received approvals on April 14, 1986 from the Town for the former church facility and related uses. APPLICANT'S REQUEST/BASIS OF APPLICATION: The Applicant is requesting a Special Exception under Article III, Section 100-31, subsection B(4) of the Southold Town Zoning Code for a nursery school. The proposed Nursery School is proposed for 45 students on the lower level of the existing building, with the applicant returning to the Board for consideration of occupancy of the first floor. Details of the layout of the site, as exists, are more particularly shown on the Sheet A-1 of Plan dated April 12, 1989 prepared by Richard A. Keillor, R.A. All parking and screening will be determined by the Southold Town Planning Board as provided under the Zoning Code site plan regulations and/or approved site plan of record. STANDARDS/REASONS FOR BOARD ACTION: After review of the requirements set forth • pursuant to Chapter 100, Article III, Section 100-31-B, governing a Nursery School Use by Special Exception review, and on the basis of testimony presented and personal inspection, the Board finds: 1. Nursery schools are permitted in this R80 Residential Zone District under Section 100-316(7) of the Town Zoning Code, subject to special exception authorization of the Zoning Board of Appeals. In this review the Board determines that the proposed Nursery School Use is in harmony with the zoning ordinance and will not adversely affect the neighborhood if such requirements are met. 2. The proposed Nursery School complies with the lot size provisions of the Zoning Code. This building and facility will be located on five acres of land. C) The safety, health, welfare, comfort, convenience, and the order of the town will not be adversely affected by the proposed use and its location. The proposed expansion will allow the Nursery School to provide enhanced services that will benefit all of the community. D) The use will be in harmony with and will promote the general purposes and intent of the code. E) The use is compatible with its surroundings and with the character of the neighborhood and of the community in general, particularly with regarding to visibility, scale and overall appearance. F) The structures, equipment and material will be accessible for emergency protection. In making this determination, the Board has also reviewed other matters under Section 100-264, and finds that no adverse conditions will result from this authorization: A. There will be no adverse change in the character of the existing and probable development of uses in the district and the peculiar suitability of such district for the location of such permitted uses. B. Property values will be conserved. A Nursery School use is encouraged and allowed by Special Exception approval from the Board of Appeals. C. The location of the proposed Nursery School will not cause traffic congestion on public streets, highways and sidewalks. D. There is availability of adequate and proper public or private water supply and facilities for the treatment, removal or discharge of sewage, refuse or other effluent (whether liquid, solid, gaseous or otherwise) as a result of this use. The use will not cause disturbing emissions of electrical discharges, dust, light, vibration or noise. G. The operation of a nursery school facility will not cause undue interference with the orderly enjoyment by the public of parking or of recreational facilities, existing or proposed by the town or by other competent governmental agencies. H. The necessity for bituminous-surfaced space for purposes of off-street parking of vehicles incidental to the use and whether such space is reasonably adequate and appropriate and can be furnished by the owner of the plot sought to be used within or adjacent to the plot wherein the use shall be located, and by approval of the Southold Town Planning Board under the site plan regulations. I. There is no evidence to show that there will be any hazard to life, limb or property because of fire, flood, erosion or panic by reason of or as a result of the use or by the building to be used, or by the accessibility of the property or structures thereon for the convenient entry and operation of fire and other emergency apparatus. There will not be undue concentration or assemblage of persons upon such plot in the normal activities of a library. J. The use and the building location will not cause an overcrowding of land or undue concentration of population. K. The plot area is sufficient, appropriate and adequate for this library use. L. The use to be operated is not unreasonably near to a church, school,theater, recreational area or other place of public assembly. M. The site is particularly suitable for a nursery school, which was formerly use as a church with its own school facilities. N. No evidence has been presented to show that there would be any detrimental impact to adjacent properties and land uses. O. Adequate provision has been made for the collection and disposal of storm-water runoff, sewage, refuse, solid, and liquid waste. There will be no gaseous waste generated from this project. P. The natural characteristics of the site are such that the proposed use may be introduced without undue disturbance or disruption of important natural features, systems or processes and without risk of pollution to groundwater-and surface waters on and off the site. Notwithstanding anything contained herein, this Lease shall automatically terminate on the closing of title pursuant to the Contract of Sale. 2 SECTION 4 Additional Rent. The Tenant in addition to the base rent , shall pay: (A) Taxes : All the taxes and assessments on the Property and upon the buildings and improvements thereon, which are assessed during the lease term. All taxes assessed prior to but payable in whole or in installments after the effective date of the lease term, and all taxes assessed during the term but payable in whole or in installments after the lease term shall be adjusted and prorated, so that the Landlord shall pay its prorated share for the periods preceding and following the lease terms and the Tenant shall pay its prorated share for the lease term. Taxes as defined herein shall mean all general and special real estate taxes and special assessments and water and sewer charges subject to the following: (i) The amount of real Property taxes against Landlord ' s real Property to be included shall be the amount shown by the tax bills for the lien year in respect of which the Taxes are being determined. There shall be deducted from said Taxes the net amount of any refunds, after reasonable expenses, such refunds to be applied against said Taxes for the same fiscal year to which the taxes apply. (ii) The amount of special taxes or special assessments to be included shall be limited to the amount of the installments of special taxes or special assessments required to be paid during the lien year in respect to which these special taxes or special assessments are to he determined; however, Landlord shall elect the longest period of time allowed by the authority imposing the tax or assessment in which to pay installments of special taxes or special assessments . (iii) If due to a future change in the method of taxation 3 any tax is levied against Landlord in substitution for or in lieu of general real estate taxes and special real estate taxes , then such taxes to such extent shall be deemed to be a real estate tax for the purpose hereof . (iv) State income tax (as presently constituted) or any local income tax (te the-e e n lieu of real es-tate taxec) payable by Landlord shall not be included in Taxes, but shall be the sole responsibility of the Landlord. (v) There shall be excluded from Taxes all federal income taxes , federal excess profits taxes , franchise, capital stock, and federal or state inheritance or estate taxes . (vi) In no event shall Tenant be responsible for the payment of any real estate taxes for any period prior to the commencement of this Lease . SECTION 5 USE : Tenant agrees and covenants that it shall use the Premises solely for uses permitted by the Town of Southold, and any other public authority having land use jurisdiction . Tenant will not permit any part thereof to be used in any manner which would in any way ( I) violate any laws or requirements of all governmental authorities and the Fire Rating Organization and Board of Fire Underwriters, and any similar bodies having jurisdiction thereof , ( ii) make void or voidable any fire or liability insurance policy then in force with respect to the Premises, (iii) constitute a public or private nuisance, (iv) cause Tenant to default in any of its other obligations under this lease, or (v) violate any zoning or occupancy conditions imposed by any municipality or governmental regulations to be applicable to the Premises . SECTION 6 REPAIRS AND MAINTENANCE: (A) Landlord represents that the electrical , plumbing 4 and mechanical systems will be in operating condition at the inception of the Lease term, and the roof free from leaks . Thereafter, Tenant shall , at Tenant ' s expense, keep and maintain the Premises in good order, including but not limited to, all electrical , HVAC, plumbing and mechanical systems, and structural components of the improvement to the Premises, and shall repair and replace, when necessary, all parts thereof . (B) Tenant shall make all repairs necessary to preserve and maintain the exterior and structure of the Premises including the foundation, down spouts and gutters, if any and roof of the entire structure of the Premises and including all repairs and maintenance of water and sewer pipes serving the Premises . Landlord shall either reimburse Tenant or credit Tenant against the next successive rent payments due hereunder for the amount by which any single structural repair exceeds the sum of $3000 . 00 . SECTION 8 INTENTIONALLY OMITTED 5 SECTION 9 CONDEMNATION: (A) Total or Substantial Partial Condemnation : If the whole of the Premises shall be taken for any public or any quasi-public use by any statute or by right of eminent domain, or by private purchase in lieu thereof (collectively the "Proceeding" ) , then this lease shall automatically terminate as of the date that title shall be taken. If any part of the Premises shall be so taken as to render the remainder thereof unusable for the purposes for which the Premises were leased, then Landlord and Tenant shall each have the right to terminate this lease on thirty days notice to the other given within twenty days after the date of such taking . In the event that this lease shall terminate or be terminated, the rental (s) shall, if and as necessary, be equitably adjusted. (B) Partial Taking Where Lease Unaffected: If any part of the Premises shall be so taken and this lease shall not terminate or be terminated under the provisions of paragraph A hereof , then the rental shall be equitably apportioned according to the space so taken, and Landlord shall , at its own cost and expense, restore the remaining portion of the Premises to the extent necessary to render same reasonably suitable for the purposes for which the Premises were leased and shall make all repairs to the building in which the Premises are located to the extent necessary to constitute the remaining portion of the building a complete architectural unit, provided that the cost thereof shall not exceed the proceeds of its condemnation award. (C) Disposition of Proceeds : All compensation awarded or paid upon such a total or partial taking of the Premises shall belong to and be the Property of the Landlord; provided, however, that nothing contained herein shall be construed to 6 preclude Tenant from prosecuting any claim directly against the condemning authority in such condemnation proceeding for loss of business , and/or depreciation to, damage to, and/or cost of removal of , and/or for the value of stock and/or trade fixtures, furniture, and other personal Property belonging to Tenant . In the event that Tenant purchases the Premises in accordance with the provisions of the Contract of Sale of the Premises which has been executed by the parties , all compensation awarded or paid upon a total or partial taking of the Premises shall belong to and be the Property of the Tenant . SECTION 10 SUMS EXPENDED BY LANDLORD TO BE ADDITIONAL RENT: In the event that the Landlord shall pay any sum of money, or do any act which shall require the expenditure of any sums by reason of the failure of the Tenant to perform any of the covenants, terms or conditions herein contained, the Tenant covenants to repay immediately such sums to the Landlord upon demand, and in default thereof the sums so paid by the Landlord, together with interest thereon may be added as additional rent to the fixed rent becoming due upon the next rent day, or any subsequent rent day and shall be payable as such . Notwithstanding the foregoing, and except for emergencies, Landlord shall not expend any sum for which Tenant may be responsible under this Section, unless Landlord gives Tenant fifteen (15) days notice of Landlord' s intent to expend sums by reason of Tenant ' s failure of performance . SECTION 11 INTENTIONALLY OMITTED SECTION 12 ENTIRE AGREEMENT: No oral statement or prior written matter shall have any force or effect . No waiver of any provision of this agreement shall be effective unless in writing, signed by 7 the waiving party. Tenant agrees that it is not relying on any representations or agreements other than those contained in this lease . This agreement shall not be modified except by writing subscribed by all parties, nor may this lease be canceled by Tenant except with the written consent of the Landlord, unless otherwise specifically provided herein. SECTION 13 LANDLORD' S RIGHT TO CURE TENANT' S BREACH: If Tenant breaches any covenant or condition of this lease, Landlord may, on reasonable notice to Tenant (except that no notice need be given in case of emergency) , cure such breach at the expense of Tenant and the reasonable amount of all expenses, including attorney' s fees, incurred by Landlord in doing so (whether paid by Landlord or not) shall be deemed additional rent payable on demand. SECTION 14 MECHANIC' S LIEN: Tenant shall within sixty (60) days after notice from Landlord discharge any mechanic ' s lien for materials or labor claimed to have been furnished to the Premises on Tenant ' s behalf , and Tenant shall hold harmless and indemnify Landlord against any expense incurred by Landlord in discharging mechanic ' s liens imposed for labor or materials furnished upon the authorization of , or for the benefit of Tenant . SECTION 15 LANDLORD' S RIGHT TO INSPECT AND REPAIR: Landlord may, but shall not be obligated to, enter the Premises at any reasonable time, on reasonable notice, (given at least 24 hours in advance, during normal business hours) , to Tenant (except that no notice need be given in case of emergency) for the purposes of inspection or the making of such repairs, replacements, and additions in, to, on and about the Premises, as Landlord deems necessary. Tenant shall nave no claim or cause of action against Landlord by reason 8 thereof . In exercising the rights reserved to him hereunder, Landlord shall not interfere with Tenant ' s right to quiet enjoyment . SECTION 16 ESTOPPEL CERTIFICATES: Tenant shall, without charge, at any time and from time, within ten days after requested by Landlord, certify by written instrument , duly executed, acknowledged and delivered, to Landlord, or any other person, firm or corporation specified by Landlord: (A) that this lease is unmodified and in full force and effect , or, if there have been any modifications, that the same is in full force and effect as modified and stating the modifications; (B) whether or not there are then existing any set- offs or defenses against the enforcement of any of the agreements , terms, covenants or conditions hereof and any modification hereof upon the part of Tenant to be performed or complied with, and, if so, specifying the same; (C) the dates, if any, to which the base rent and additional rent and other charges hereunder have been paid in advance; (D) the date of expiration of the current term; (E) and the base rent then payable under this lease . SECTION 17 SURRENDER OF PREMISES: On the last day or sooner termination of the demised term, Tenant shall quit and surrender the Premises broom-clean, in good condition and repair (reasonable wear and tear excepted) . Tenant shall be permitted to remove all alterations, additions and improvements which may have been made in, on or to the Premises, and movable furniture or unattached 9 movable trade fixtures put in at the sole expense of Tenant . Tenant shall , on or before the end of the demised term, remove from the Premises all its Property together with any unauthorized alterations, additions and improvements, the removal of which is requested by Landlord, and any or all of such Property not so removed shall, at Landlord' s option, become the exclusive Property of Landlord or be disposed of by the Landlord, at Tenant ' s cost and expense, without further notice to or demand upon Tenant . If the Premises be not surrendered as and when aforesaid, Tenant shall indemnify Landlord against loss or liability resulting from the delay by Tenant in so surrendering the Premises including, without limitation, any claims made by any succeeding occupant founded on such delay. Tenant ' s obligations under this section shall survive the expiration or sooner termination of the demised term. SECTION 18 TENANT' S INSURANCE POLICIES: Immediately upon commencement , and throughout the term of this Lease, Tenant shall maintain in force and effect the following insurance coverage : (a) Fire and standard extended coverage insurance, insuring the leased Premises for the benefit of Landlord and Tenant, in an aggregate amount which is not less than one hundred (100%) percent of the full replacement value thereof . (b) a Policy or policies of comprehensive liability insurance, including public liability and Property damage, that will insure Tenant and Landlord against liability for claims of damage because of injury to persons or Property and for death of any person or persons occurring in or about the Premises, with a combined single limit coverage of not less than One Million Dollars . PAYMENT AND OTHER TERMS. Tenant shall bear all costs of obtaining and maintaining the insurance described in this Section. 10 The " full replacement value" of the Building and other improvements to be insured under subparagraph (a) hereof shall be determined by the company issuing the insurance policy. All insurance required by this Article shall be written by one or more responsible insurance companies licensed to do business in the State of New York and shall provide that it shall not be subject to cancellation or change except after at least thirty (30) days ' prior written notice to Landlord. The policy or policies, or duly executed certificates for them, shall be deposited with Landlord on or before the date when the Lease term commences and, upon renewal of such policies , not less than thirty (30) days ' prior to the expiration of the term of the coverage . If Tenant fails to obtain the insurance for which Tenant is obligated hereunder, or if Tenant fails to present Landlord with evidence thereof , Landlord shall have the right to obtain the required insurance and be reimbursed for all costs thereof within thirty (30) days after presentment Tenant with a bill therefor. The insurance required by this Section shall be primary insurance and the insurer shall be liable for the full amount of the loss up to and including the total limit of liability as set forth in the declaration, without the right of contribution for any other insurance coverage held by Landlord. Both parties shall be named as coinsureds under the policies . INDEMNIFICATION. Except for damages arising from the intentional or negligent acts of Landlord, Landlord shall not be liable to Tenant or to any other person, for damage to goods, wares, or merchandise in, upon, or about the Premises from any cause arising at any time during the term of this Lease, including any damage arising from Tenant ' s use of the Premises or from any acts or neglect of the public . 11 • SECTION 19 CONSENTS : Whenever the terms of this Lease require the consent or approval of Landlord, Landlord agrees that such consent or approval will not be unreasonably withheld or unduly delayed. SECTION 20 INDEMNIFICATION/HOLD HARMLESS : Nothing in this Lease will be construed as imposing liability on Tenant for, or construed as an indemnification of Landlord from, any claims , suits, actions , damages, or causes of action arising from any reason other than Tenants ' s use and occupancy of the demised Premises, or from any such claims caused by any act, omission, or negligence of Landlord, or any of the Landlord' s agents, servants, employees or invitees . SECTION 21 (A) FULL RISK OF LOSS UPON TENANT: No destruction or damage to any building or improvement on the Premises by fire, windstorm, or any other casualty shall entitle Tenant to surrender possession of the Premises, terminate this Lease (except as set forth in subsection 21 (B) (ii) hereof) , violate any of its provisions, or cause any rebate or abatement in rent then due or thereafter becoming due under the terms hereof . (B) TENANT TO REPAIR - LANDLORD TO APPLY AND TURN OVER INSURANCE PROCEEDS : (i) Damage and restoration: If the Premises is damaged or destroyed by fire or other casualty, Tenant , utilizing the avails of the insurance policy required to be maintained under Section 18 (a) shall promptly restore the Premises as nearly as possible to its prior condition. All insurance Proceeds received by Landlord under the provisions of this Lease, less any cost of such recovery, shall be held in trust by Landlord' s Attorney, and disbursed to Tenant or Tenants contractors during the course of restoration and repair. 12 (ii) Termination: If at any time before the end of the term of the Lease, the Premises is completely destroyed or so damaged by fire or other casualty, regardless of whether covered by insurance, so as to render it unfit for its intended use, and repair or restoration is not economically feasible, either party may terminate this Lease by giving at least ten days, but not more than 30 days ' notice . Such notice must be given within ten (10) days after the date of such damage or destruction. If the Lease is so terminated, all basic and additional rent shall be apportioned to the date of termination, and all insurance proceeds shall belong to Landlord, unless Tenant purchases the Premises, in which event all insurance proceeds shall be assigned to Tenant . (iii) Deficiency: INTENTIONALLY OMITTED SECTION 22 NON-MONETARY DEFAULT: Notwithstanding anything contained in this Lease to the contrary, it is expressly agreed that Landlord shall not exercise any of its remedies against the Tenant by reason of any default , except for Tenant ' s failure to pay rent or additional rent, under this Lease unless and until Landlord shall have given to Tenant written notice of such default and unless /thirty Tenant shall have failed to remedy such default within €if-tccn 30 (.1- -) days or, if the nature of the default is such that it cannot /thirty 30 reasonably be cured or remedied within fifteen (.&) days, within such time as is reasonably necessary to remedy such default after receipt of such notice . SECTION 23 ASSIGNMENT: Nothing will be construed as prohibiting Tenant the right to assign this Lease or to sublet all or a portion of the Premises to a subsidiary, parent or affiliated company. Any other assignment or subletting may be made only with the consent /unduly of Landlord which shall not be unreasonably withheld or delayed. 13 SECTION 24 SIGNS: Tenant herein shall be granted the right to place identification and other signs upon the Premises, provided that Tenant acquires, at Tenant ' s sole cost and expense, all necessary municipal approvals . SECTION 25 NOTICES : All notices under this Lease shall be sent by registered or certified mail, return receipt requested, or delivered in person. (A) Notices to Landlord shall be sent in duplicate, one addressed to Landlord at the address set forth on the first page of this Lease, and one addressed to Landlord c/o Anthony T. Conforti, 140 Fell Court, Hauppauge, New York 11788 . (B) Notices to Tenant shall be sent in duplicate, one addressed to Tenant at the demised Premises, and one addressed to Tenant at the address set forth on the first page of this Lease, with a copy sent to Lamb & Barnosky, LLP, Attention: Michael J . Heller, Esq. , 534 Broad Hollow Road, Melville, NY 11747-0904 (C) Either party hereto, or its attorney, may change the address for notices by a writing forwarded to the other party and its attorney in the manner described in this section . SECTION 26 MUTUAL WAIVER OF SUBROGATION: Landlord and Tenant mutually agree to endeavor to obtain from their respective insurers permission to waive subrogation. In the event an insurer refuses to grant such permission, the insured will arrange to add the other party (Landlord or Tenant as the case may be) as an Additional Insured. If any additional premium is incurred as a result of this addition, it will be reflected as an adjustment to the rent . 14 SECTION 27 UTILITIES AND SERVICES: (A) During the term of this Lease and extensions or renewals, the Tenant agrees to be solely responsible for, all utilities and services, including, without limitation, hot and cold running water, air-conditioning, heat, landscaping, parking lot lighting, and maintenance including ice and snow removal necessary to provide Tenant comfortable occupancy. (B) Tenant shall arrange with the applicable providers of the respective utilities and services to have Tenant billed directly for all charges, and Tenant agrees to save Landlord harmless from the cost and expense of all utilities and services consumed by Tenant . SECTION 28 QUIET ENJOYMENT: Landlord covenants that if and so long as Tenant pays the rent and additional rent and performs the covenants hereof , Tenant shall peaceably and quietly have, hold and enjoy the Premises for the term or renewal term herein mentioned, subject to the provisions of this Lease . SECTION 29 EXPENSES OF PROCEEDINGS: In the event that Landlord shall have to initiate any action or proceeding against Tenant for the recovery of money damages or possession of the Premises or other injunctive or declaratory relief by reason of nonpayment of rent or additional rent or by nonperformance by Tenant of the terms and conditions of the lease herein by Tenant, Tenant shall provide direct reimbursement to Landlord' s Attorney for all reasonable costs and expenses, including reasonable legal fees . In the event Landlord should advance any such fees and expenses to Attorney, these are recoverable from Tenant by Landlord subsequently or in the same action, as additional rent . 15 SECTION 30 INTENTIONALLY OMITTED SECTION 31 INTENTIONALLY OMITTED SECTION 32 OPTION TO PURCHASE IN THE EVENT OF CASUALTY OR CONDEMNATION: In the event that the Building which is an improvement to the Premises is destroyed by fire or other casualty, or taken in a condemnation proceeding, or so much thereof is damaged, or taken in a condemnation proceeding as makes it impossible . for the Tenant to conduct its business upon the Premises, then Tenant shall have the option to purchase the Premises and acquire by assignment all of the Landlord' s interest in any casualty insurance policy or entitlement to an award in condemnation, for the price and on the terms SET FORTH IN THE Contract of Sale . SECTION 33 MISCELLANEOUS A. LIMITATION ON LANDLORDS ' S PERSONAL LIABILITY: It is understood and agreed that Tenant shall look solely to the estate and Property of Landlord in the Premises for the satisfaction of Tenant ' s remedies for the collection of a judgment (or other judicial process) requiring payment of money by Landlord in the event of any default or breach by Landlord with respect to any of the terms , covenants and conditions of the Lease to be observed or performed by the Landlord, and any other obligation of Landlord created by or under this Lease, and no other Property or assets of Landlord or of its partners, beneficiaries, co-tenants, shareholders, or principals (as the case may be) shall be subject to levy, execution or other enforcement procedures for the satisfaction of Tenant ' s remedies . 16 B. FORCE MAJEURE: The period of time during which either party is prevented or delayed in any performance or the making of any improvements or repairs or fulfilling any obligation under his Lease, other than the payment of Rent and Additional Rent, due to unavoidable delays caused by fire, catastrophe, strikes or labor trouble, civil commotion, Acts of God, the public enemy, governmental prohibitions or regulations or inability to obtain materials by reason thereof, or any other causes beyond such party' s reasonable control, shall be added to such party' s time for performance, and such party shall have no liability by reason of such delay. C. SURVIVAL OF TENANT' S OBLIGATIONS: Any sums due Landlord from Tenant that by the terms herein would be payable, or are incapable of calculation until after the expiration or earlier termination of this Lease, shall survive and remain a continuing obligation for a period of one year after expiration or termination of this Lease . D. EFFECT OF CAPTIONS: The captions or legends in this Lease are inserted only for convenient reference or identification of the particular paragraphs . They are in no way intended to describe, interpret, define or limit the scope, extent or interest of this Lease, or any paragraph or provision thereof . E. EXECUTION IN COUNTERPARTS: This Lease may be executed in one or more counterparts, any one or all of which shall constitute but one agreement . F. EXECUTION OF LEASE BY LANDLORD: The submission of this document for examination and negotiation does not constitute an offer to lease or a reservation of, or option for, the Premises , and this document shall be effective and binding only upon the execution and delivery thereof by both Landlord and Tenant . G. ENVIRONMENTAL COMPLIANCE: (I) Tenant represents 17 that it shall not release, discharge or deposit any Hazardous Substance as defined by. .either Section 9601 (14) of Title 42 of the United States Code or any successor or similar section, or any environmentally related statute enacted by the State of New York. Parcel: 1850 Main Bayview Road, Southold 1000-75-4-28 Zone District: R-80 Residential Date of Public Hearing: October 19, 2000 FINDINGS OF FACT PROPERTY FACTS/DESCRIPTION: Applicant-L.I. Head Start Child Development Services, Inc., is the proposed tenant of a building formerly occupied by The Church of the Open Door with school facility. The property contains five acres with access off the westerly side of Main Baview Road in Southold and is referred to as Lot 3 on the Minor Subdivision Map of Salvatore Catapano. The building and existing parking areas received approvals on April 14, 1986 from the Town for the former church facility and related uses. APPLICANT'S REQUEST/BASIS OF APPLICATION: The Applicant is requesting a Special Exception under Article III, Section 100-31, subsection B(4) of the Southold Town Zoning Code for a nursery school. The proposed Nursery School is proposed for 45 students on the lower level of the existing building, with the applicant returning to the Board for consideration of occupancy of the first floor. Details of the layout of the site, as exists, are more particularly shown on the Sheet A-1 of Plan dated April 12, 1989 prepared by Richard A. Keillor, R.A. All parking and screening will be determined by the Southold Town Planning Board as provided under the Zoning Code site plan regulations and/or approved site plan of record. STANDARDS/REASONS FOR BOARD ACTION: After review of the requirements set forth • pursuant to Chapter 100, Article III, Section 100-31-B, governing a Nursery School Use by Special Exception review, and on the basis of testimony presented and personal inspection, the Board finds: 1. Nursery schools are permitted in this R8O Residential Zone District under Section 100-31B(T) of the Town Zoning Code, subject to special exception authorization of the Zoning Board of Appeals. In this review the Board determines that the proposed Nursery School Use is in harmony with the zoning ordinance and will not adversely affect the neighborhood if such requirements are met. 2. The proposed Nursery School complies with the lot size provisions of the Zoning Code. This building and facility will be located on five acres of land. C) The safety, health, welfare, comfort, convenience, and the order of the town will not be adversely affected by the proposed use and its location. The proposed expansion will allow the Nursery School to provide enhanced services that will benefit all of the community. D) The use will be in harmony with and will promote the general purposes and intent of the code. E) The use is compatible with its surroundings and with the character of the neighborhood and of the community in general, particularly with regarding to visibility, scale and overall appearance. F) The structures, equipment and material will be accessible for emergency protection. In making this determination, the Board has also reviewed other matters under Section 100-264, and finds that no adverse conditions will result from this authorization: A. There will be no adverse change in the character of the existing and probable development of uses in the district and the peculiar suitability of such district for the location of such permitted uses. B. Property values will be conserved. A Nursery School use is encouraged and allowed by Special Exception approval from the Board of Appeals. C. The location of the proposed Nursery School will not cause traffic congestion on public streets, highways and sidewalks. D. There is availability of adequate and proper public or private water supply and facilities for the treatment, removal or discharge of sewage, refuse or other effluent (whether liquid, solid, gaseous or otherwise) as a result of this use.
