This letter is to inform you of the Southold Town Planning Board's decision as to how to
proceed with processing the above referenced project for subdivision.
Upon reviewing the application and conferring with the Southold Town Attorney, the
Planning Board has determined that the best way to proceed would be for this application
to be processed as a Standard Subdivision., This would include following the three-step
process (Sketch, Preliminary and Final Approval) as outlined in the' Southold Town Code
§240-1 — 25.
Accordingly, please submit an application for Sketch Approval at your earliest
convenience.

authorization signed and acknowledged by the Davidsons appointing me as their agent for
the subdivision process and four additional prints of the Standard Subdivision Plan of
Property of Norton A. Davidson and Wesley C. Davidson, dated August 5, 2008, prepared
by CME Engineering, Land Surveying & Architecture, PLLC.

DECLARATION
DECLARATION, made the day of April, 2008, by THE HENRY L.
FERGUSON MUSEUM, INC., a charitable corporation organized and existing under and
by virtue of the laws of the State of New York, with its principal office at (no #) Equestrian
Avenue, Fishers Island, New York 06390 (the "Declarant")
WITNESSETH:
WHEREAS, Declarant is a public charity whose purposes include the
conservation and protection of environmental systems and areas; and
WHEREAS, Declarant is the owner in fee simple of a certain parcel of real
estate situate at Fishers Island, Town of Southold, County of Suffolk and State of New
York, as more particularly described on Schedule A hereto (the "Parcel"); and
WHEREAS, the Parcel in its present and proposed state contain a significant
natural habitat in which fish, wildlife or plant communities or similar ecosystems normally
live and which Declarant desires and commits itself to conserve and protect;
NOW, THEREFORE, Declarant does hereby declare that the Parcel shall be
held in perpetuity subject to the following covenants and restrictions:
1. Declarant covenants and agrees that it shall maintain the Parcel for
conservation purposes and shall not itself or permit others to use the Parcel for any
purposes whatsoever which would be inconsistent with the preservation and protection of
their natural habitat. The following activities shall be deemed to be inconsistent with such
conservation purposes:

(a) Erection of any buildings, billboards, commercial signs or other
structures or improvements (except as set forth in this Declaration);
(b) Filling, excavating, removing soil or sand or gravel or rocks or
minerals, constructing site improvements or changing the topography of the Parcel in any
manner which would be detrimental to or which could adversely affect the conservation
purposes of this Declaration;
(c) Toleration of vehicular traffic over the land other than over
roads and paths necessary for access to adjoining properties, or to maintain nature trails,
including, but not limited to, the use of snowmobiles, motorcycles, all -terrain or other off-
road vehicles; and
(d) Any other action, practice or use which could be detrimental to
or which could adversely affect the preservation and protection of the natural habitat of the
Parcel.
The maintenance, repair or relocation of any existing nature trails or
construction of a recreational path not greater than ten feet in width for use by pedestrians
and operators of non -motorized vehicles over a portion of the Parcel, or the construction
and maintenance of a drive or roadway in the Parcel and the maintenance or relocation
of existing drives or roadways, or the continuation or the granting of access for water,
electrical, telephone and other utilities necessary for service to adjoining properties shall
not in and of themselves be deemed to be inconsistent with the conservation purpose of
this Declaration.
2. This Declaration is not intended to permit or in anyway give the public

the right to enter upon or use the Parcel for any purpose whatsoever.
3. This Declaration shall run with the land in perpetuity and the terms
hereof and the covenants and agreements herein contained shall apply to and be forever
binding upon the successors and assigns of Declarant.
Declarant agrees that reference to this Declaration and the date and the liber
and page of recording shall be made in any subsequent deed or other legal instrument by
which it conveys any interest in the Parcel.

Dear Board Members:
I represent Norton A. Davidson and Wesley C. Davidson, the owners
of a 11.85 +/- acre parcel at Wilderness Point on Fishers Island. The parcel, which
bears the referenced tax map number, is currently improved with one single-family
dwelling.
I have this day submitted an application to your staff for Final Plat
Approval for the subdivision of my clients' parcel into two lots.
Application for subdivision approval is being made in order to permit
the owners to donate the approximately 6.98 +/- acre northerly portion of the
property (Lot 2 on the submitted Standard Subdivision Plan), which contains
extensive wetlands, to The Henry L. Ferguson Museum. The Museum will then
encumber Lot 2 with its standard Declaration imposing its usual covenants and
restrictions prohibiting development. The owners will continue to hold the
remaining 4.87 +/- acre southerly portion of the property (Lot 1) which contains their
dwelling. Accordingly, although the two portions will be separated, what is now a
single building site will continue to be a single building site following subdivision
approval.
Based on the fact that the application for subdivision is being made
merely to permit the legal separation and ultimate donation of Lot 2 and not to

create any additional building sites, I respectfully request that you waive the
following requirements that would ordinarily apply to a standard subdivision: (i)total
lot yield for buildable lands; (ii)Sketch Approval; (iii) Preliminary Plat Approval; and
(iv) delivery of legal notices and holding of a public hearing. In consideration of
your waiver, my clients would be amenable to the imposition of any reasonable
covenants consistent with the foregoing in addition to those imposed by the
Museum in its standard Declaration.

Dear Ms. Lanza:
In a phone conversation a couple of montFis ago, I mentioned that I had a
client who desired to give a portion of his nearly 12 -acre property on Fishers Island to the
Henry L. Ferguson Museum which is the primary donee and holder of open space on the
Island. The problem we discussed briefly was that the necessary division of the property
did not fit neatly into any of the categories under the new subdivision regulations. You
suggested that I send you a preliminary plan so that we could consider how best to
proceed.
In that connection, I have enclosed a print of a survey prepared by CME
Associates Engineering, Land Surveying & Architecture, PLLC for Norton A. Davidson &
Wesley C. Davidson and The Henry L. Ferguson Museum, Inc. under date of May 20, 2008.
The survey shows a proposed division line that would create a 4.87 -acre parcel to be
retained by the Davidsons and a 6.98 -acre parcel to be donated to the Museum.
Unfortunately, with the 6.98 -acre parcel being comprised entirely of wetlands, there are
insufficient "buildable lands" for a subdivision and, with the Museum not owning any
adjoining property, the proposal would not seem to qualify as a lot line change or "re-
subdivision".
Please consider this preliminary plan in light of the Town's subdivision
regulations and then give me a call to discuss how you believe we should proceed.

1. All applicants for permits* including Town of Southold agencies, shall complete this CCAF for
proposed actions that are subject to the Town of Southold Waterfront Consistency Review Law. This
assessment is intended to supplement other information used by a Town of Southold agency in
making a determination of consistency. *Except minor exempt actions including Building Permits
and other ministerial permits not located within the Coastal Erosion Hazard Area.
