As you know, on behalf of the Town, we applied to NYSDEC for approval of soil that is being
made available from the above referenced source by Terry Contracting & Materials, Inc. As
indicated on the enclosed letter, NYSDEC has approved the soil for use as general fill/contour
grading material in connection with closure of the landfill.
Therefore, we are recommending that the Town proceed with making arrangements with Terry
Contracting for delivery of the soil to the landfill.
If you have any questions regarding this matter or require additional assistance or information,
please do not hesitate to contact me.

Dear Supervisor Cochran:
In a letter dated February 8, 1999 Dvirka and Bartilucci requested the New 'York State Department
of Environmental Conservation (Department) approve use of soils, -broken toreretc and asphalt, resulting
from excavation work during construction of an Edwards Supermarket on Route 25 inn Sriuthtown, as grade
material and general fill in connection with the capping of the Southold Landfill.
The Department has reviewed the information provided and approves use of this material with the
following restrictions:
a). The material must be used beneath the liner of the landfill.
b). The larger pieces must be reduced to a size comparable to other'
material being used- for fill or grade and placed so as to i nsdte any
remaining sharp edges do not damage the liner.

letter and have. a couple of comments to make. Miring the (flay I did speak to Grcg; set he
knows what is going un.
1. Since TcrTy Contracting will be staking many trips to the land till. it is important to
make sure that they have $1,000,000 of auto and general liability insurance. They should
also be carrying a umbrella► policy for $1,000,00(.1. 1 would also like tat make sure that
their employees hive workers eotttpetisatiori insuranCe. To confirm the above, the 'rown
Should receive a certificate ol'insurance. from their A -rated carrier.
2. 1 would also like to see that the Town of Southold is added on to the alcove auto and
general liability policies as an additional insi.u'ed,
3. As you stated, it scents that D & B has done soil samples and have OK'd its Contents. I
feel than this iti a issue wbiCh could be brought up many years front. now. Is there any-
way to get some approval from the DEC: or from someone else, that if this soil proves to
be contaminated, the Town cal' Southold can go altar them liar Cleanup'? .I know that it is
asking slot, but why doesn't the "Town of Stnithtown want this soil'? I think we should
find these aitswcrs out.

Dear Mr. Terry:
I am writing in response to your offer to deliver fill to the Town of Southold for use as grading
material at the Cutchogue Landfill.
As you discussed with our engineering consultants Dvirka and Bartilucci, and with Jim
Bunchuck of my staff, your offer is to deliver approximately 8,000 cubic yards of fill at a fee of
$8 per cubic yard, to be paid by Terry Contracting and Materials, Inc., to the Town. The Town
is prepared to accept the fill on this basis.
Should this be acceptable to both parties, the Town and Terry Contracting & Materials, Inc. also
agree to the following:
1) The source of the fill delivered to the Town under this agreement shall be exclusively the
property at Suffolk County Tax Map # 0800-7602, Lot 21, Sections 22.1 and 22.2, located'in
Smithtown, NY.
2) The fill delivered to the Town under this agreement shall posses the same chemical and
physical/geotechnical characteristics as that described in the representative sample analyses
performed by Dvirka and Bartilucci in February 1999 (see Attachment A).
3) Material exceeding 6" in any dimension shall be delivered separately.
4) Terry Contracting and Materials, Inc. shall provide to the Town results of geotechnical
analyses (grain size distribution — ASTM D422 and Standard Proctor ASTM D698)
representative of each 5,000 cubic yards to be delivered to the landfill. Terry Contracting and
Materials, Inc. shall certify to the accuracy of each test report with respect to material to be
delivered to the landfill. The results of the geotechnical analyses shall be provided prior to
the delivery of the material, which they represent.

5) Employees at the Town landfill will visually inspect each load delivered for cleanliness and other
physical makeup. Based on these inspections, the Town reserves the right to reject any load for
apparent non-compliance, in which case the load will not be dumped, but will be removed from the
landfill by Terry Contracting and Materials, Inc., at no cost to the Town. At the Town's sole option,
any fill delivered and unloaded at the Cutchogue landfill under this agreement that is later judged by
the Town, based on visual inspection, to be in apparent non-compliance shall be subject either to
removal by Terry Contracting at no cost to the Town, or subsequent chemical and/or geotechnical
testing as described in paragraphs (2) and (4) above, also at no cost to the Town. Any fill delivered
under this agreement that is found, through testing, to be unacceptable due to non-compliance with
the chemical and/or geotechnical standards set forth in paragraphs (2) and (4) above shall be
removed by Terry Contracting at no cost to the Town.
6) If requested by the Town, Terry contracting will agree to provide the Town with 24 hours
advance notice of the time, date, and quantity of each delivery.
7) Prior to the delivery of any fill to the Town under this agreement, Terry Contracting agrees to
provide the Town with a list of trucks and/or trailers to be used for delivering the fill along with
the volumetric capacities of each vehicle. The information shall include the license plate #, water
level capacity in terms of cubic yards, and amount of fill expected to be hauled in each vehicle
should it be either greater or less than the water level capacity for any reason. The information
shall be provided to the Solid Waste Coordinator. Terry Contracting agrees to provide the same
information for any additional vehicles it may use under the contract that are not on the original
list, such information to be.provided before said vehicle delivers its first load. The Town reserves
the right to check the capacity of any truck and/or trailer used by Terry Contracting under this
agreement, either through taking measurements of volume or through calculating vehicle weights
(loaded and/or tare) using the Town's truck scales located at the Cutchogue landfill.
8) Terry Contracting & Materials, Inc. will comply with all applicable federal, state, and local .
laws and regulations concerning transportation of clean fill.
9) Either party may terminate this agreement, for any reason, with at least 24 hours notice to the
other party. Such termination will not absolve either party of their responsibilities under this
agreement while the agreement was in effect.
A signed copy of this letter will constitute a contract between Terry Contracting &Materials, Inc. and the
Town of Southold. Please sign below if the above terms are acceptable, and return a copy to me. Upon
my receipt of the signed contract, deliveries of fill to the landfill may begin at any time. You should
contact Mr. Bunchuck at (516) 734-7685 to coordinate delivery schedules.

I am writing in response to your offer.to deliver the non -hazardous, non -industrial excavated soil
from your facility to the Town of Southold for use as grading material at the Cutchogue landfill.
As you discussed with Southold Solid Waste Coordinator Jim Bunchuck, your offer is to up to
100,000 cubic yards of the soil [INSERT PER TON/YARD FEE HERE]. The Town is prepared to
accept the soil on this basis. Should this be acceptable, Waste Management will also agree to
the following:
1) The source of the non -hazardous, non -industrial soil (hereinafter referred to simply as
`soil') delivered to the Town shall be exclusively Waste Management's Woodside, NY
facility.
2) The soil delivered to the Town shall possess chemical and physical/geotechnical
characteristics approvable by the DEC for use as contour grading material under a landfill
cap (specifically, a sieve analysis showing 99% of the sand at 3/8" or less in size, and a
chemical analysis by Accredited Laboratories, Case No. 6064).
3) The soil must meet the guidelines for characteristics as specified in the New York
State Department of Transportation (DOT) Engineering Bulletin (EB 94-039).
4) Waste Management shall provide to the Town results of geotechnical analyses (grain size
distribution — ASTM D422 and Standard Proctor ASTM D698) representative of each
5,000 cubic yards to be delivered to the landfill. Waste Management shall certify the
accuracy of each test report with respect to material to be delivered to the landfill. The
results of the geotechnical analyses shall be provided prior to delivery of the material,
which they represent.
5) Employees at the Town landfill will inspect each load delivered for compliance with the
requirements. The Town reserves the right to reject any load for non-compliance, in
which case the load will not be dumped, but will be removed from the landfill by Waste
Management at no cost to the Town.

2) The soil delivered to the Town shall possess chemical and physical/geotechnical
characteristics approvable by the DEC for use as contour grading material under a landfill
cap (specifically, a sieve analysis showing 99% of the sand at 3/8" or less in size, and a
chemical analysis by Accredited Laboratories, Case No. 6064).
3) The soil must meet the guidelines for characteristics as specified in the New York
State Department of Transportation (D07) Engineering Bulletin (EB 94-039).
4) Waste Management shall provide to the Town results of geotechnical analyses (grain size
distribution — ASTM D422 and Standard Proctor ASTM D698) representative of each
5,000 cubic yards to be delivered to the landfill. Waste Management shall certify the
accuracy of each test report with respect to material to be delivered to the landfill. The
results of the geotechnical analyses shall be provided prior to delivery of the material,
which they represent.
5) Employees at the Town landfill will inspect each load delivered for compliance with the
requirements. The Town reserves the right to reject any load for non-compliance, in
which case the load will not be dumped, but will be removed from the landfill by Waste
Management at no cost to the Town.

6) Waste Management agrees to indemnify the Town of Southold for any damages,
environmental or monetary, arising as a result of chemical contaminants contained in one
or more loads of soil delivered to the Cutchogue landfill, including payment of any fines,
damages to third parties, and remediation of environmental damages.
7) If requested by the Town, Waste Management will agree to provide the Town with 24
hours advance notice of the time, date, and quantity of each delivery.
8) Waste Management will comply.with all applicable federal, state, and local laws and
regulations concerning transportation of excavated soil.
9) Either party may terminate this agreement, for any reason, with at least 24 hours
notice to the other party. Such termination will not absolve either party of their
responsibilities under this agreement while the agreement was in effect.
A signed copy this letter will constitute a contract between Waste Management and the Town of
Southold. Please sign below if the above terms are acceptable, and return a copy to me. Upon
my receipt of the signed contract, deliveries of soil to the landfill may begin at any time. You

I am writing in response to your offer to deliver clean fill to the Town of Southold for use as
grading material at the Cutchogue Landfill.
As you discussed with our engineering consultants Dvirka and Bartilucci, and with Jim
Bunchuck of my staff, your offer is to deliver approximately 8,000 cubic yards of fill at a fee of
$8 per cubic yard, to be paid by Terry Contracting and Materials, Inc., to the Town. The Town
is prepared to accept the fill on this basis.
Should this be acceptable to both parties, the Town and Terry Contracting & Materials, Inc. also
agree to the following:
1) The source of the fill delivered to the Town under this agreement shall be

physical makeup. Based on these inspections, the Town reserves the right to, reject any load for
apparent non-compliance, in which case the load will not be dumped, but will be removed from the
landfill by Terry Contracting and Materials, Inc.; at no cost to the Town. At the Town's sole option,
any fill delivered and unloaded at the Cutchogue landfill under this agreement that is later judged by
the Town, based on visual inspection, to be in apparent non-compliance shall be subject either to
removal by Terry Contracting at no cost to the Town, or subsequent chemical and/or geotechnical
testing as described in paragraphs (2) and (4) above, also at no cost to the Town. Any fill delivered
under this agreement that is found, through testing, to be unacceptable due to non-compliance with
the chemical and/or geotechnical standards set forth in paragraphs (2) and (4) above shall be
removed by Terry Contracting at no cost to the Town.
6) Terry Contracting agrees to indemnify the Town of Southold for any damages, environmental
or monetary, arising as a result of chemical contaminants contained in one or more loads of.fill
delivered to.the Cutchogue landfill under this agreement, including payment of any fines,

level capacity in terms of cubic yards, and amount of fill expected to be hauled in each vehicle
should it be either greater or less than the water level capacity for any reason. The. information
shall be provided to the Solid Waste Coordinator. Terry Contracting agrees to proide the same
information for any additional vehicles it may use under the contract that are not on the original
list, such information to be provided before said vehicle delivers its first load. The Town reserves
the right to check the capacity of any truck and/or trailer used by Terry Contracting under this
agreement, either through taking measurements of volume or through calculating vehicle wieghts
(loaded and/or tare) using the Town's truck scales located at the Cutchogue landfill.
9) Terry Contracting & Materials, Inc. will comply with all applicable federal, state, and local
laws and regulations 'concerning transportation of clean fill.
10) Either party may terminate this agreement, for any reason, with at least 24 hours notice to the
other party. Such termination will not absolve either party of their responsibilities under this
agreement while the agreement was in effect.

Dear Mr. Cava:
On behalf of the Town of Southold we are writing to seek your formal approval of soil which is
being made available to the Town from the referenced source. The soil will be accepted by the
Town for use as general fill/contour grading material in connection with closure of the landfill.
In support of this request, enclosed please find the following:
— Letter from Terry Contracting & Materials, Inc. documenting the source of the soil,
• Results of a grain size distribution analysis (It should be noted that since the soil was_
excavated from beneath a former parking lot, it also contains broken asphalt and
concrete which in some instances is greater than 6 inches. This material will be
reduced at the landfill by the Town prior to use as fill.), and
•v Results of chemical analyses.
Your immediate attention to this matter is greatly appreciated.

Dear Mr. Terry:
I am writing in response to your offer to deliver fill to the Town of Southold for use as grading
material at the Cutchogue Landfill.
As you discussed with our engineering consultants Dvirka and Bartilucci, and with Jim
Bunchuck of my staff your offer is to deliver approximately 8,000 cubic yards of fill at a fee of
$8 per cubic yard, to be paid by Terry Contracting and Materials, Inc., to the Town. The Town
is prepared to accept the fill on this basis.
Should this be acceptable to both parties, the Town and Terry Contracting & Materials, Inc. also
agree to the following:
1) The source of the fill delivered to the Town under this agreement shall be exclusively the
property at Suffolk County Tax Map # 0800-7602, Lot 21, Sections 22.1 and 22.2, located in
Smithtown, NY.
2) The fill delivered to the Town under this agreement shall posses the same chemical and
physical/geotechnical characteristics as that described in the representative sample analyses
sent by you to Dvirka and Bartilucci in February 1999 (see Attachment A).
3) Material exceeding 6" in any dimension shall be delivered separately.
4) Terry Contracting and Materials, Inc. shall provide to the Town results of geotechnical
analyses (grain size distribution — ASTM D422 and Standard Proctor ASTM D698)
representative of each 5,000 cubic yards to be delivered to the landfill. Terry Contracting and
Materials, Inc. shall certify to the accuracy of each test report with respect to material to be
delivered to the landfill. The results of the geotechnical analyses shall be provided prior to
the delivery of the material, which they represent.

5) Employees at the Town landfill will visually inspect each load delivered for cleanliness and other
physical makeup. Based on these inspections, the Town reserves the right to reject any load for
apparent non-compliance, in which case the load will not be dumped, but will be removed from the
landfill by Terry Contracting and Materials, Inc., at no cost to the Town. At the Town's sole option,
any fill delivered and unloaded at the Cutchogue landfill under this agreement that is later judged by
the Town, based on visual inspection, to be in apparent non-compliance shall be subject either to
removal by Terry Contracting at no cost to the Town, or subsequent chemical and/or geotechnical
testing as described in paragraphs (2) and (4) above, also at no cost to the Town. Any fill delivered
under this agreement that is found, through testing, to be unacceptable due to non-compliance with
the chemical and/or geotechnical standards set forth in paragraphs (2) and (4) above shall be
removed by Terry Contracting at no cost to the Town.
6) If requested by the Town, Terry contracting will agree to provide the Town with 24 hours
advance notice of the time, date, and quantity of each delivery.
7) Prior to the delivery of any fill to the Town under this agreement, Terry Contracting agrees to
provide the Town with a list of trucks and/or trailers to be used for delivering the fill along with
the volumetric capacities of each vehicle. The information shall include the license plate #, water
level capacity in terms of cubic yards, and amount of fill expected to be hauled in each vehicle
should it be either greater or less than the water level capacity for any reason. The information
shall be provided to the Solid Waste Coordinator. Terry Contracting agrees to provide the same
information for any additional vehicles it may use under the contract that are not on the original
list, such information to be provided before said vehicle delivers its first load. The Town reserves
the right to check the capacity of any truck and/or trailer used by Terry Contracting under this
agreement, either through taking measurements of volume or through calculating vehicle weights
(loaded and/or tare) using the Town's truck scales located at the Cutchogue landfill.
8) Terry Contracting & Materials, Inc. will comply with all applicable federal, state, and local
laws and regulations concerning transportation of clean fill.
9) Either party may terminate this agreement, for any reason, with at least 24 hours notice to the
other party. Such termination will not absolve either party of their responsibilities under this
agreement while the agreement was in effect.
A signed copy of this letter will constitute a contract between Terry Contracting & Materials, Inc. and the
Town of Southold. Please sign below if the above terms are acceptable, and return a copy to me. Upon
my receipt of the signed contract, deliveries of fill to the landfill may begin at any time. You should
contact Mr. Bunchuck at (516) 734-7685 to coordinate delivery schedules.

5) Employees at the Town landfill will visually inspect each load delivered for cleanliness. and other
physical makeup. Based on these inspections, the Town reserves the right to reject any oad for
apparent non-compliance, in which case the load will not be dumped, but will be removed from the
landfill h• .furry* Contracting and Materials, Dw., at no Cost to *0 Town. At the Town's sole option,
any fil l dowered end unloaded at the Cutchogue landfill under ft agreement that is later judged by

advance notice of the time, date, and quantity of each delivery.

the volumetric capacities of each vehicle. The information shall include the license plate #, water
level capacity in tamof cubic yards, and amount of fill expected to be hauled in each vehicle .

shall hu provided to the Solid Waste Coordinator. Terry Conh'ac twg agrees to provide the same
information for any additional vehicles it may use wader the contract that are not on the original

the right to check the capacity Of any truck and/or trailer used by Terry Contracting under thio
agreement . either through taking measurements of volume or through calculating vehicle wieghts
(loaded and/or tare) using the TOM'S truck scales located at the Cutchogae landfill,
9) Tern 'Contracting & Materials, Inc- will comply with a1l applicable federal; state. and local
laws :ind regulations concerning tramportation ofcleaa fill -
10) Eithcr party may terminate this agreement, fvr any reason, with at least 74 hours notice to the
other pan y. Such termination will not absolve either party of their responsibilities under this
agreement while dw agreement was in effect.
