THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION WAS ADOPTED BY THE
SOUTHOLD TOWN BOARD AT A REGULAR MEETING HELD ON JULY 28, 1987:
RESOLVED that the Town Board of the Town of Southold hereby engages
the services of Fairweather-Brown/Architects, in an amount not to exceed
$4,500.00, as well as reimbursable expenses, for all phases provided for in
their proposal dated July 28, 1987, for the construction of the Justice Court
Annex and Walkways at the Southold Town Hall, Main Road, Southold, New
York.

FAIRWEATHER-BROWN/ARCHITECTS proposes to perform the
services described herein for THE TOWN OF SOUTHOLD TOWN BOARD
for the following project:
JUSTICE COURT ANNEX AND WALKWAYS
TOWN HALL
MAIN ROAD
SOUTHOLD, NEW YORK
I. SCHEMATIC DESIGN:
The Architect shall review and evaluate the program and
design parameters as established by the Town Board.
The Architect shall prepare, for the approval of the
Town Board, schematic design drawings and specifications.
II. CONSTRUCTION DOCUMENTS:
Based upon approved design development documents, the
Architect shall prepare, for approval of the Town Board,
construction documents describing in detail the
requirements for construction of the project.
These documents shall include, but are not limited to:
o Site Plans.
o Foundation Plans.
o Floor Plans.
o Roof Plans.
o Elevations.
o Sections.
o Details.
o Materials Schedules.
o Structural, Mechanical, and Electrical Drawings.

The Architect shall assist the Town Board in preparation
of information and necessary forms for bidding and for
approvals of authorities having jurisdiction over the
project.
III. BIDDING AND NEGOTIATING:
The Architect shall assist the Town Board in obtaining
bids or negotiating proposals by means of interpreting
and clarifying information either at meetings or in
written form.
IV. CONSTRUCTION PHASE:
The Architect shall visit the site at intervals
appropriate to the state of construction to become
generally familiar with the progress and quality of the
work, and to determine in general if the work is
proceeding in accordance with the Contract Documents.
On the basis of these on-site observations, the
Architect shall endeavor to guard the Town Board against
defects and deficiencies in the work of the Contractor(s).
The Architect shall advise the Town Board as to progress
and quality of the work.
The Architect shall review and approve shop drawings,
samples, and other submissions of the Contractor only
for conformance with the design concept of the project
and for compliance with the information given in the
Contract Documents.
The Architect shall conduct inspections to determine
the dates of substantial completion and final
completion, shall receive and review written guarantees
and related documents assembled by the Contractor, and
shall issue a final Certificate for Payment.
The Architect shall provide clarifications of working
drawings in a timely manner.
The Architect cannot and does not warrant or represent
that bids or negotiated prices will not vary from the
project budget as proposed, established, or approved by
the Town Board.

V. REIMBURSABLE EXPENSES:
Reimbursable expenses are in addition to the
compensation for services as described herein, and
include actual expenses incurred by the Architect and
the Architect's Consultants in the interest of the
project as listed below:
1. Expense of transportation outside the area of
Eastern Long Island.
2. Expense of reproductions, postage and handling of
drawings, specifications and other documents
excluding reproductions for office use by the
Architect and the Architect's Consultants.
3. Expense of renderings or models requested by the
Town Board.
The Town Board shall be responsible for fees for
securing approvals of authorities having jurisdiction
over the project, as required.
Records of reimbursable expenses shall be kept on a
basis of generally accepted accounting principles and
shall be available to the Town Board.
VI. OWNERSHIP AND USE OF DOCUMENTS:
Drawings and specifications as instruments of service
are, and shall remain, the property of the Architect.
The Town Board shall be permitted to retain copies,
including reproducible copies, of drawings and
specifications for information and reference in
connection with the Town Board's use and occupancy of
the project.
VII. ARBITRATION:
All claims, disputes and other matters in question
arising out of, or relating to this Agreement or the
breach thereof, shall be decided in arbitration in
accordance with the Construction Industry Arbitration
Rules of the American Arbitration Association.

Notice of the demand for arbitration shall be filed in
writing with the other party to the Agreement with the
American Arbitration Association. The demand shall be
made within a reasonable time after the claim, dispute
or other matter in question has arisen. In no event
shall the demand for arbitration be made after the date
when institution of legal or equitable proceedings
based on such claim, dispute, or other matter in question
would be barred by the applicable statute of limitations.
VIII. TERMINATION:
This Agreement may be terminated by either party upon
seven (7) days notice in writing should the other party
fail substantially to perform in accordance with its
terms through no fault of the party initiating the termination.
This Agreement may be terminated by the Town Board upon
at least seven (7) days notice, in writing, in the event
the project is abandoned.
In the event of termination not the fault of the
Architect, the Architect shall be compensated for all
services performed to the termination date, together
with reimbursable expenses then due.
IX. PAYMENT AND BASIS OF COMPENSATION:
The fee shall be four thousand five hundred dollars
($4,500.00) payable as follows:
o $3,750.00 upon completion of drawings and bid documents.
o $ 750.00 upon completion of construction.
