life estate; and SEEORIENT, LLC, with offices at 2820 Shipyard Lane, East Marion, NY 11939, as to a
remainder interest
party of the second part,
WITNESSETH, that the party of the first part, in consideration of TEN and no/100ths ($10.00) dollars paid by
the party of the second part, does hereby grant and release unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever,

The intent of this deed is to convey a life estate interest only in and to the described premises to the grantee,

BEING AND INTENDED TO BE the same premises conveyed to the party of the first part by deed made by
Alphonsib. Marissael and Christiane Marissael, his wife, by deed dated May 21, 1999 and recorded in the
Suffolk County Clerk's Office on June 8, 1999 in Liber 11967 Page 890.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.

AGREEMENT
WHEREAS, SEEORIENT, LLC, c/o Nora Conant, 2820 Shipyard Lane, East Marion,
NY, is the owner of certain premises commonly known as 3955 Park View Lane, Hamlet of
Orient, Town of Southold, County of Suffolk and State of New York, which bears Suffolk County
Tax Map No. 1000-015.00-01.00-033.000 (hereinafter referred to as "the subject premises); and
WHEREAS, SEEORIENT, LLC shall transfer a life estate in and to the subject
premises to SARINA SCIALABBA, residing at 3955 Park View Lane, Orient, NY 11957; and
WHEREAS, the parties hereto wish to formalize the rights and responsibilities of the
parties pursuant to the aforesaid life estate;
NOW, THEREFORE, in consideration of the purchase price of $230,000.00 paid by
Sarina Scialabba to SEEORIENT, LLC and the mutual promises and covenants contained herein,
the parties hereto agree as follows:
1 During the entire period of the life estate, the life tenant, SARINA SCIALABBA shall be solely
responsible to: a) maintain the subject premises (reasonable wear and tear excepted), including all structures
and the grounds; b) to pay all real estate taxes applicable to the subject premises; c) to pay all utilities and
other assessments against the subject premises (including, but not limited to the annual homeowners
association dues to Petty's Bight Association, Inc.); d) to maintain adequate property and liability insurance
covering the subject premises listing SEEORIENT, LLC as an insured and to provide copies thereof to Nora
Conant; e) to make all necessary capital improvements to the subject premises; and f) to not commit waste.
2 Anything to the contrary herein contained or contained in the life estate to be deeded into SARINA
SCIALABBA, the life tenant shall have the sole use and occupancy of the subject premises for her own use
only but may occupy the premises with another person. The life tenant specifically agrees that she shall not
have the right to lease, sublease or otherwise transfer any interest in or to all or any part of the subject
premises;
3 The life tenant shall have the right, upon the prior written approval from the remainder man,
SEEORIENT, LLC, which shall not be unreasonably withheld, to make capital improvements to the subject
premises. Upon the death of SARINA SCIALABBA, or upon the mutually agreed upon sale by all parties in
interest during the life tenant's lifetime, SARINA SCIALABBA (or her estate, as the case may be) shall be
entitled to be reimbursed for one-half of the value of any verifiable capital improvements provided the total
cost of each includable, separate improvement is in excess of Ten Thousand ($10,000) Dollars, which shall
survive the termination of this agreement.
4. During the lifetime of Sarina Scialabba, Seeorient, LLC, its successors or assigns, shall not
initiate or prosecute a partition action, or similar action or proceeding, and hereby irrevocably waives
its right to do so. Sarina Scialabba reserves the right to initiate or prosecute a partition action, or
similar proceeding.
5. Each party hereto agrees that they shall not mortgage or otherwise hypothecate or encumber
the premises, or any part thereof, without the written consent of all parties in interest nor hypothecate
or encumber any membership interest in SEEORIENT, LLC, its successors or assigns.
6. Sarina Scialabba shall not convey, transfer or assign her life tenancy except upon the written
consent of SEEORIENT, LLC, its successors or assigns.
7. SEEORIENT, LLC shall not convey, transfer or assign its remainder interest to any other
person or entity without the written consent of the life tenant, which shall not be unreasonably
withheld.
8. This agreement shall be binding upon the assigns, successors in interest, heirs, distributes,
executors, administrator assigns or successors in interest of each party hereto including Nora Conant
as sole member of SEEORIENT, LLC.
9. This agreement shall terminate upon the mutual sale of the property by the parties in interest,
or upon the death of Sarina Scialabba, except for those matters stated to survive.
10. The above rider shall be included in the deed and shall be duly recorded.
