BARGAIN AND SALE DEED
THIS INDENTURE, made as of January '5, 2015, between GILMORE LLC having
an address at 503 Front Street, Greenport, New York 11944 ("Grantor") and 503 FRONT
STREET CORP., having an address at 59095 Main Road, Southold, New York 11971
respectively ("Grantee").
WITNESSETH, that Grantors, in consideration of Ten ($10.00) Dollars, the receipt and
sufficiency of which hereby are acknowledged, do hereby grant and release unto Grantees and
the heirs, executors, administrators, legal representatives, successors and assigns of Grantees
forever,
ALL that certain plot, piece or parcel of land, together with the buildings and
improvements thereon erected, situate, lying and being in the Incorporated Village
of Greenport, in the Town of Southold, County of Suffolk and State of New York,
bounded and described more particularly in Schedule "A" attached hereto and
made a part hereof,
SAID PREMISES BEING AND INTENDED TO BE the same premises described in a
certain deed from O'Donoghue Enterprises, LLC to Gilmore LLC, dated July 9, 2003 and
subsequently recorded on August 12, 2003, in Liber 12266 Page 41 L.
PREMISES MORE COMMONLY KNOWN AS: 503 Front Street, Greenport, New
York.
TOGETHER with all right, title and interest, if any, of Grantor in and to any
streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of Grantor in
and to said premises,
TO HAVE AND TO HOLD the premises herein granted unto Grantees and the heirs,
executors, administrators, legal representatives, successors and assigns of Grantee forever.
Grantor is the owner of said premises. Grantor covenants that Grantor has not done or
suffered anything whereby said premises have been encumbered in any way whatever, except as
set forth herein. Grantors, in compliance with Section 13 of the Lien Law, covenants that Grantor
will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the
improvement before using any part of the total of the same for any other purpose. The word
"party" shall be construed as if it read "parties" whenever the sense of this indenture so requires.
