HomeMy WebLinkAboutDowns Farm PreserveRESOLUTION 2015-117 DOC ID: 10494 THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2015-117 WAS ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON JANUARY 20,2015: RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs Supervisor Scott A. Russell to execute an Agreement with the Group for the East End in connection environmental and stewardship programs at the Downs Farm Preserve and other appropriate sites or preserves in the amount of $20,000 for the term January 1, 2015 through December 31, 2015, all in accordance with the approval of the Town Attorney. Evans, Justice SECONDER: Robert Ghosio, Councilman AYES: Ghosio, Ruland, Doherty, Evans, Russell ABSENT: James Dinizio Jr ORIGINAL THIS IS A CONTRACT BETWEEN THE GROUP FOR THE EAST END AND THE TOWN OF SOUTHOLD THE GROUP FOR THE EAST END ACTING AS AN INDEPENDENT CONTRACTOR (HEREAFTER "CONTRACTOR"). Name of Contractor: GROUP FOR THE EAST END Address: P.O. Box 1792, 54895 Main Road Southold, NY 11971 THE TOWN OF SOUTHOLD, with an address at 53095 Main Road, P.O. Box 1179, Southold, New York 11971-0959, AND THE CONTRACTOR (collectively, the "Parties" and each a "Party") AGREE AS FOLLOWS: The Group for the East End will conduct and perform, on a satisfactory and proper manner the services described in Exhibit A attached hereto and made a part of the Contract. The Contractor represents that all personnel engaged in the work shall be fully qualified by reason of training and experience to perform such services set forth herein. None of the work or services covered by this contract shall be subcontracted without prior written approval of the Town. 1. PAYMENTS. A. Compensation. For all of the services described above and all goods and materials supplied by the Contractor, the Town of Southold shall pay the Contractor a fixed price of $20,000.00. B. Terms of Payment. The payment shall be made upon receipt by the Town of Southold of a properly completed voucher form supplied by the Town. It is expressly understood and agreed that in no event will the total compensation and reimbursement paid hereunder exceed the maximum sum of $20,000 for all of the services required. Southold Town shall pay the Contractor within thirty (30) days after the Town receives an invoice and accepts the services performed under the Contract 2. TERM OF CONTRACT. This Contract shall begin on January 1, 2015 ("Commencement Date") and shall remain in effect until December 31, 2015 ("Expiration Date"). 3. PERFORMANCE OF WORK. The Contractor is qualified and willing to perform the services described above as an independent contractor in accordance with the highest standards of the Contractor's profession or craft and to the satisfaction of the Town of Southold. Monthly activity reports, including attendance records, will be submitted along with a monthly voucher for reimbursement of approved expenditures. 4. LIABILITY/INSURANCE. The work to be performed under this Contract shall be performed entirely at the Contractor's risk. The Contractor agrees to indemnify and hold the Town harmless for any and all liability or loss arising in any way out of the performance of this Contract. The Contractor shall carry appropriate workers' compensation, hazard and liability insurance coverage written on an occurrence basis during the term of this Contract. -1- 5. TERMINATION AND REMEDIES. The Town may cancel this Contract at any time upon two weeks written notice. Should this occur, payment for work satisfactorily completed shall be adjusted accordingly. 6. INDEPENDENT CONTRACTOR. The Parties intend that an independent Contractor -client relationship will be created by this Contract. The conduct and control of the work will lie solely within the purview of the Contractor. The Contractor is not to be considered an agent or employee of the Town for any purpose, and no joint venture or principal -agent relationship exists. COMPLIANCE WITH LAWS. Contractor agrees that Contractor is responsible for ensuring that all work is carried out in compliance with any pertinent regulations and laws of any governmental body or agency. Russell, Supervisor Date: o? 1 17]/ S -2- EXHIBIT A Group for the East End will conduct and perform approximately 60 environmental and/or stewardship educational programs at Downs Farm Preserve or other appropriate off -premise sites during 2015. Educational programs will likely focus on wildlife -themed events, indoor nature craft or science activities, Native American history, story time events for young families, environment -themed indoor programs, trail maintenance, invasive species removal, community bird feeder programs, nature walks, and a large Earth Day Celebration. Additionally, Group for the East End will be responsible for overseeing any Eagle Scout projects and internships occurring at Downs Farm Preserve. -3-
