THIS INDENTURE, made the 8th day of October, in the year 2014.
BETWEEN
THE ROMAN CATHOLIC DIOCESE OF BROOKLYN, a New York Religious
Corporations Law corporation having offices at 310 Prospect Park West, Brooklyn, New York
11215;
party of the first part, and
ARTHUR PICCHIONE and GINA M. PICCHIONE, as husband and wife, residing at 17
Burrwood Ct., East Northport, New York 11731;
party of the second part,
WITNESSETH, that the party of the first part, in consideration of Ten and 00/100 ($10.00)
Dollar and other valuable consideration paid by the party of the second part, does hereby grant
and release unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever,
ALL that certain plot, piece or parcel of land, lying and being in the Town of Southold, at Fleet's
Neck, County of Suffolk and State of New York, and more fully described as set forth on
Schedule A,annexed hereto and made a part hereof(the "Premises").
These Premises are being conveyed pursuant to that certain Order, issued by Justice Dawn
Jimenez-Salta of the Supreme Court of the State of Nw York, held in and for the County of
Kings, filed under Index No. 10393/2014. (Slee. �� i "
Being and intended to be the same Premises conveyed to Walter C. Murphy by deed recorded in
Liber 5907, page 374.
The Premises shall be conveyed subject to the following restrictions and covenants:
(i) The party of the second part recognizes that the party of the first part is a
religious corporation operated under the auspices of the Roman Catholic Church. The party of
the second part accordingly recognizes and agrees that any violation of any of the covenants in
clauses (ii) and (iii) below would be seriously damaging and harmful to the reputation and
standing of the party of the first part as such a religious corporation.
(ii) The party of the second part covenants that it shall not permit or conduct
any obscene performances in violation of Article 235.00 of the New York Penal Law on the
premises hereby conveyed or permit them to be used for any obscene or pornographic purposes
or activities including, without limitation, the sale, or distribution of any obscene or
pornographic material. The terms "obscene", "material"and"performances" shall be defined for
purposes of this covenant as they are defined in Section 235.00 of the New York Penal Law.
(iii) The party of the second part further covenants that it shall not use, permit
or suffer the premises hereby conveyed to be used or occupied for the purpose of performing any
abortions or euthanasia proceedings or providing any counseling or advice relating to abortions,
birth control or euthanasia or place any signs or advertising on or about said premises that relate
to abortions,birth control or euthanasia.
(iv) The covenants in (ii) and (iii) shall run with the land and shall bind the
party of the second part and its successors and assigns, and any violation of any of the covenants
shall entitle the party of the first part and its successors and assigns to seek an injunction in any
court of competent jurisdiction in the State of New York enforcing said covenant or covenants,
which shall be the sole right and remedy of the party of the first part in the case of any such
violation and, for the avoidance of doubt, Seller shall have no right of reversion of title in the
case of any such violation.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any
streets and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and all the estate and rights of the party of the first part in
and to said premises, including developmental rights, if any and air rights, if any, relating to said
premises; TO HAVE AND TO HOLD the premises herein granted unto the party of the second
part,the heirs or successors and assigns of the party of the second part forever.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that
the party of the first part will receive the consideration for this conveyance and will hold the
right to receive such consideration as a trust fund to be applied first for the purpose of paying the
cost of the improvement and will apply the same first to the payment of the cost of the
improvement before using any part of the total of the same for any other purpose. The word
"party" shall be construed as if it read"parties" whenever the sense of this indenture so requires.

Petitioner will be promoted by the making of an order of
the Court granting the prayer of 'Ske Petitioner;
NOW, on motion of COLLEEN J. LEFFERTS, ESQ. OF
ROCKLYN ASSET CORP. , attorney for 411(e Petitioner, it is
ORDERED, that the said Petitioner be and it
hereby is authorized and directed to convey the real
property in said Petition and hereinafter described to GINA
PICCHIONE AND ARTHUR PICCHIONE, or their assigns, for the
consideration of THREE HUNDRED SEVENTY FIVE THOUSAND FIVE
HUNDRED AND 00/100ths ($375, 500- 00) DOLLARS,
The property to be conveyed is described in
Section l (a) of the Purchase and Sale Agreement, with an
Effective Date of July 8, 2014, attached hereto as Exhibit
"A", and also as decribed in the Petition, as follows:
(1) Land. Subject to all Permitted Exceptions, fee
title to that certain real property with a one family
dwelling and land, known as 830 Eastwood Drive, Cutchogue, ,
New York (the "Land") , located on the Tax Map at District
1000, Section 110, Block 3. 00, Lot 10.
(2) Appurtenances. All rights, privileges and
easements appurtenant to the Land, all development rights
and air rights relating to the Land and any and all
easements, rights of way and other appurtenances used in
connection with the beneficial use and enjoyment of the
Land, including all of the right, title and interest, if

any, of Seller in and to the land in the bed of ani' public
street, road or avenue, in front of or adjoining the Land,
to the center line thereof, and all water, water rights and
water stock and minerals and mineral rights of every kind
(including without limitation, oil, gas and other
hydrocarbon substances) on or under the Land owned by
Petitioner and not previously conveyed or reserved of
record, all of the foregoing, only to the extent that such
rights and privileges can be conveyed.
(3) Awards. All right, title and interest to any
unpaid awards for damages to the Land and/or Improvements
resulting from any casualty, taking in eminent domain or by
reason of change of grade of any street accruing after the
Closing Date to the extent not credited in reduction of the
Purchase Price or otherwise assigned to Purchaser. All such
awards accruing prior to the Closing Date shall remain the
property of Petitioner, subject to the provisions of Section
11 of the Purchase and Sale Agreement .
(4) Personalty. All fixtures and articles of personal
property now attached or appurtenant to the Premises, unless
specifically excluded, it being agreed that such Personalty
is subject to normal wear and tear while this Purchase and
Sale Agremeent is in effect.
