SiZkworth, Director AFS/j Z Enc. 6 222 MIDDLE COUNTRY ROAD • SMITHTOWN.N.Y.1 1767 ■ 516-360-4630 AGREEMENT THIS AGREEMENT made on the 18th day of December 1980 by and between SUFFOLK COUNTY, hereinafter referred to as the "COUNTY", a municipality having its principal office at the Suffolk County Center, Riverhead, New York 11901 , and THE TOWN OF SOUTHOLD , a municipality/not for profit corporation located at 53095 MAIN ROAD SOUTHOLD, NEW YORK 11971 hereinafter referred to as the "Contractor". WITNESSETH: • WHEREAS, the parties hereto desire to make available to the elderly of Suffolk County a project as set forth in Section 541 Community Services for the Elderly, in accordance with the rules and regulations of the Executive Law of New York State Article 19-J -- Office for the Aging; and WHEREAS, the County desires to contract with the Contractor for the furnishing of such services, as set forth in Exhibit "A" and the Contractor has agreed to render and furnish such service to the residents of the County of Suffolk to the extent indicated herein, and as set forth under the terms and conditions hereinafter provided; now, therefore, IT IS MUTUALLY AGREED BETWEEN THE PARTIES as follows: 1 . CONTRACTOR'S RESPONSIBILITY The contractor agrees to establish a service program for the elderly in a competent, skillful manner, to the best of its ability, under =1- the general supervision and direction of the Suffolk County Office for the Aging. Such program is outlines in Exhibit "A" attached hereto and made a part hereof. The Contractor agrees to comply fully with the rules, regulations, criteria, guidelines or expenditure controls heretofore adopted or to be adopted by the County and the State of New York pursuant to law. 2. EFFECTIVE DATES This agreement shall commence on 12/18/80 and shall terminate 3/31/81 . If, through any cause, except as outlined in paragraph 3 below, the Contractor fails to fulfill in timely and proper manner its obligations herewith, or if the county shall deem it in its best interest to terminate this agreement, or its obligations with respect to any identifiable part of this program, it shall have the right to do so by giving thirty (30) days prior written notice by registered or certified mail to the contractor of such cancellation. 3. BUDGET The contractor represents and agrees that the budget for the term of this agreement, attached hereto and made a part hereof, designated as Exhibit B, lists all costs of services to be rendered by the Contractor under this agreement, and shall not exceed a total cost of $11,000. Any changes of the budget, including total amount or its component line items, shall require a written modification to this agreement approved by the parties hereto. The contractor agrees that its expenditure shall conform .to applicable provisions of law and customary prevailing governmental practice a dstandards. If the funds provided underthis agreement are subject t reimbursement in whole, or in part, by state agencies, the r -2- F t 0 county will not reimburse the contractor for any expenditures that are not allowed reimbursement to the county by New York State agencies. The amount to be paid by the county, as set forth herein, shall constitute the full obligation of the county in connection with this agreement -and any matter 4rising therefrom. If the program of the contractor which is the subject of this agreement is funded in whole, or in part by contracts with other governmental agencies, it is agreed that the funds of the county under this agreement shall be refunded to the county to the extent that the local funding from all such sources exceeds the total ex- penditures of the contractor. 4. PAYMENT SCHEDULE The county agrees to pay the contractor for actual costs incurred pur- suant to this agreement upon receipt of claims, in such form as prescribed by the r county, subject to any adjustment an audit by authorized personnel -of the county - or the New York State government may show. 5. BOOKS AND RECORDS OF ACCOUNTING The contractor agrees that it shall keep and maintain separate books of account and records concerning all costs incurred by the contractor in the performance of this agreement and all income relating to the program funded under this agreement and that it hereby consents to audit and inspection by the county and New York State government of all facilities, books and other financial and statistical data, whether related to this agreement or otherwise. Such books of account and records shall be maintained for a period of six (6) years from the date of termination or expiration of this agreement. 6. REPORTS The contractor shall make copies and submit reports as reasonably requested by the county. Such reports shall include, but not be.limited to, activities, progress and accomplishments regarding the program. -3- 0 t ' 7. INSPECTIONS - The contractor shall permit, and hereby consents to any and all on-site inspections by representatives of the county and state government as may reasonably be requested. 8. FINANCIAL SOLVENCY The contractor warrants that it is not in arrears to the county upon debt or contract and is not a defaulter as surety, contractor or otherwise on any obligation to the county. 9. NON-ASSIGNABILITY The contractor is prohibited from assigning, transferring, con- veying, subletting or otherwise disposing of this agreement, or of his right, title or interest herein, or his power to execute t�'is agreement, to any other person or corporation without the previous consent in writing of the County Executive. 10. INDEPENDENT CONTRACTOR It is expressly agreed that the contractor's status hereunder is that of an independent contractor. Neither the contractor nor any person hired by the contractor shall be considered employees of the county for any purpose. 11 . COMMUNICATIONS Any communication, notice, claim for payment, report or other submission necessary or otherwise required to be made by the contractor . to the county shall be deemed to have been duly made upon receipt by the county at the address specified, Suffolk County Office for the Aging, 222 Middle Country Road, Smithtown, New York 11787. Any communication to -4- be made by the county to the contractor shall have been duly made upon mailing by the county to the contractor at the address specified in this agreement. 12. INSURANCE AND INDEMNIFICATION , The contractor shall indemnify and hold harmless the county from any and all claims, costs, judgments, damages or injury to persons or property of whatsoever kind or nature arising directly, or indirectly, out of the making of this agreement. In addition, the contractor agrees to maintain insurance as set forth in Exhibit C annexed hereto and made a part hereof. It is expressly agreed that lapse, termination or modifica- tion of any of the insurance requirements of this contract, without the prior written consent of the county, shall constitute a material breach hereof. 13. COORDINATION AMONG THE PARTIES The contractor shall make every effort possible to coordinate the work performed under this agreement with the Suffolk County Office for the Aging. 14. MERGER CLAUSE It is understood that this instrument, including all attached exhibits, represents the entire agreement of the parties thereto; and all previous understandings are merged herein; and that no modifications hereof shall be valid unless written evidence thereof shall be executed by all parties to this agreement. 15. USE OF COUNTY EQUIPMENT All equipment furnished by the county under this or previous agreements is to be used only for senior citizens purposes during the -5- _ l normal operating hours of the senior citizen program unless prior written consent is obtained from the county. Any violation of this provision shall be grounds for the county at its option to immediately terminate this agree- ment. ment. The County shall retain a proprietary interest in all furniture, equipment and vehicles furnished under this contract and upon discontinuance of funding of this Agency by .the County of Suffolk, all said personal property shall be returned to the County. The Agency shall maintain appropriate records of all such property. 16. PROGRAM DEPENDENT UPON STATE FUNDING The funds to be furnished by the county under this agreement are principally State funds. If, at any time, the State Government shall reduce support of this program the county may terminate this contract by giving such notice to the contractor as is given to the county by the State Government. 17. The town/village/agency receiving the vehicle is responsible for providing the maintenance, driver, insurance, fuel , other operating expenses and the administration costs necessary to operate the vehicle. Essential service vehicles will be used to transport Senior Citizens to community based services ie. , medical appointments, Social Security office, shopping on a pre-arranged schedule. It is the responsibility of the contractor to have the following identifying logo on any printed material and on v hicles purchased with Community Services for the Elderly funds: Funding provided by the Suffolk County Office for the Aging and the New York State Office for the Aging i EXHIBIT "B" BUDGET Town of Southold 12/18/80 to 3/31/81 Equipment $11 ,000 Passenger Van 11 ,000 Total Grant Award $11 ,000 AS PER PROPOSAL SUBMITTED TO SUFFOLK COUNTY OFFICE FOR THE AGING EXHIBIT C INSURANCE, INDEMNIFICATION AND UNDERTAKING 1. WORKMEN'S COMPENSATION This Agreement shall be void and of 'no effect unless the Contractor shall secure compensation for the benefit of, and keep insured during the life of this Agreement, any and all employees reggired to be insured under the provisions of the New York State Workmen's Compensation Law: 2. LIABILITY INSURANCE The Contractor agrees that on or before the execution of this Agreement, copies of the following liability insurance policies, in which the County is designated'as an additional insured and which require notification of the County in the event of termination or cancellation, shall be filed with the County Office for the Aging, County Executive's Office, 65 Jetson Lane, Hauppauge, New York 11787 and remain in force until the termination of this contract: (a) Policies for liability insurance with minimum limits of ' 250.000 _personal injury and ;n nno property damage, providing protection against liability arising out of or in connection with tasks performed under this Agreement; and (b) If any vehicles are to be used in performing tasks under this Agreement, a standard New York State Automobile liability insurance policy with minimum limits of 100,000;300.000 bodily injury, and sn nnn property damage, or in the alternative, a statement that no vehicles shall be used .in performing tasks under this Agreement. . (c) The Contractor warrants that it will maintain Professional Liability Insurance, with a limit of liability of not less than loo.nnn _during the term of this Agreement. This provision shall apply to all occurrences that are incurred during the term of this Agreement but shall survive the termination of this Agreement. 3. "non-discrimination clauses") . PRIOR APPROVAL TO PURCHASE FURNITURE, FIXTURES, EQUIPMENT Prior to placing any order to purchase, rent or lease •'furniture, fixtures, or equipment, vAlued in excess of five ;hundred ($500.00) per unit in the budget attached to the Agreement, . the Agency shall submit to the County a written request for 4approval to make such a proposed purchase, rental or lease, with ,:a list showing the quantity and description of each iten, its !;intended location and use, estimated unit price or cost, extended .1price or cost and estimated total cost of the proposed order. Written approval of the County is required before the Agency may ;.proceed with the proposed purchase, rental or lease of furniture, '.fixtures, or equipment. All items purchased will be new unless :specifically described otherwise in the budget. No sales or ;;Federal excise taxes are to be paid, as the County is exempt from such taxes. The Agency shall obtaiO itg own tax .exemption certificates. B. FURNITIME, FIXTURES, EQUIPMENT, MATERIALS, SUPPLIES 1. PURCHASE PRACTICES The Agency agrees to follow all of the general practices that are designed to obtain furniture, fixtures, i; equipment, materials or supplies at the most reasonable price or cost possible. The County reserves the right to purchase or !`obtain for the Agency furniture, fixtures, equipment, materials or supplies which shall be in accordance with progra=atic needs of ; this Agreement. If the County exercises this right, the amount budgeted for the items so purchased or obtained by the County for the Agency shall not be available to the Agency for any purpose Il whatsoever. . Z. INTEREST OF COUNTY The 'ounty shall retain a proprietary interest in all , tifurniture, removable fixtures, equipment, materials or supplies 4purchased or obtained by the Agency and paid for or reimbursed to ithe Agency by or from County Funds pursuant to the terms of this Agreement or any prior agreements. Upon the termination of this •Agreement, or any renewal thereof, the discontinuance of the business of the Agency, the failure of the Agency -to comply with Lthe terms of this Agreement, the bankruptcy of the Agency, its • iIT3E f giving an assignment for the benefit of creditors, or the failure 3/11/77 iiof the Agency to satisfy any judgment against it within thirty i1 111 (30) days of filing' the County shall have the right to take i� title to and possession of all such furniture, removable fixtures, equipment, ixtures, equipment, materials and supplies, and the same shall thereupon obecome the property of the County without any claim for i, reiurbursement on the part of the Agency. As directed by the Coun- ty, the Agency shall attach identifying labels on said property indicating the interest of the County. N 3. INVENTORY, RECORDS, CONTROLS AND REPORTS f! The Agency shall maintain proper and accurate inventory records and controls for all such furniture, removable fixtures and equipment, and three (3) months before the termination date of this Agreement shall make a physical count of t all items of furniture, removable fixtures and equipment in its custody, checking then, against records maintained therefor. A if report setting forth the results of such physical count shall be prepared by the Agency on a form or forms designated by the County, certified and signed by an authorized official of the Agency, and one (1) copy thereof shall be delivered to the County within five (5) days after t:�e date set for the aforesaid physical count. Within five (5) days after the terminaticn date of this Agreement 7 the Agency shall submit to the County six (6) copies of the same , I report up-dated to the termination date of this Agreement, certi- fied and signed by an authorized official of the Agency, based on : a physical count of all items of furniture, removable fixtures and equipment on the aforesaid termination date, and revised, if inecessary, to include any inventory changes during the last quarter of this Agreement period. 4. PROTECTION OF ASSETS IN AGCY'S CUSTDDY The Agency shall maintain vigilance and take all • reasonable precautions to protect the furniture, fixtures, equip- • trent, materials or supplies in its custody against damage or loss by fire, burglary, theft, vandalism or misuse. in the event of burglary, theft, vandalism or unexplained disappearance of any item of furniture, fixtures, equipment, materials or supplies,; the Agency shall i:.mediately notify the police and make a. record ; thereof, including a record of the results of any investigation which may be made thereon. In the event of loss of or irreparable, damage to any item of furniture, fixtures, equipment, materials or supplies from any cause, the Agency in-,mediately shall send the ; County a detailed, written report thereon., ' "•, Page 2 of 3 3/ 1/77 ;; " 5. DISPOSITIOt; AT TERMINATION OF hGREE*'`'1ENT- Upon termination of this Agreement, or of any renewal ;hereof, the Agency shall make access available and render all N necessary assistance for physical removal of such furniture, 1j removable fixtures, equipment, materials or supplies by the County, or its designee, in the same condition as it was received by the 1Agency, reasonable wear and tear excepted. PURL I CAT I ONS The Contractor shall not .issue or publish any book, Iarticle, announcement, report or other publication relating to j• the tubject program without prior permission from the County. t� Subh publications shall bear a statement acknowledging the cooperation and/or funding by the County of Suffolk. ; 2. COPYRIGnTS !' If the work of the Contractor under this Agreement << should result in the production of original books, mamzals , films, or other materials for which a copyright may be granted, the Contractor may secure copyright protection. however , the County reserves, and the Contractor hereby gives to the County, or to any other municipality or municipal agency or body !j designated by the County, a royalty-free, non-exclusive license to produce, reproduce, publish, translate or otherwise use any ' such materials. 3. PATENTS If the Contractor under this Agreement makes any discovery or invention in the course of or as a result ofwork jh performed under this Agreement, the Contractor shall refer the. ;; discovery or - invention to the County. Resumes shall include, but not be limited to: (a) The' job title of the individual employee and the length of employment under the aforesaid title; ` (b) The specific tasks to be performed by the individual employees during the course of the s projects; and (c) Previous experience and length of pre- vious experience with a task or t4iks similar or equal to the projects.
