I, the undersigned Finance Officer of the Town of Southold (the "Municipal Loan
Recipient"), hereby certify and agree as follows'
1 : This implemental Certificate of petermination is being delivered pursuant to the
CProject R ,irg and Loan A�gxeement(the "-roject Financing an i Loan Agreement") dated as
�C of Jug V, .998 between tEc New York State Environmewl- Facilities Corporation tihe
"Corporation") and the Municipal Loan Recipient and the certificate of determination dated as
of :tem' 18, 1998 and delivered by the Municipal Lome Rec:ptent in connection therewith (the
"Certificate of Determination"). In accordance with the project Financing and Loan Agreement
and the Certificate of Determination, the Certificate of Determination is hereby supplemented.
All capitalized terms used but not defined herein shall have the respective meanings set forth in
the Project Financing and Loan A,greemerit.
2. The certifications made in paragraphs )-, 3, : and S of the Certificate of
Determination are confirmed and remade as of this elate.
3. The Corporation is hereby rc.Qaes+ed tc make an Advance under the Municipal
Lora Ptecipient Note No. RST-1 (the "Note") in the amount of$, ..o:Project-

4. The Municipal Loan Recipiem his determined d at such Project Costs are

5. This is Advance number 25 requested under the Note and this Advance,
if made, together with the prior Advances requested, will not exceed the Maximum Principal
Sum of the Note.
6, The making of the Advance under the Note will not result in a borrowing by the
Municipal Loan Recipient that will violate any State Constitutional, statutory or judicial
limitation on the issuance of debt by the Municipal Loan Recipient.
7. The Municipal Loan Recipient hereby represents and warrants chat it is not in
default under the Project Fmucing and Loan Agreement,that no.event has occurred which, with
the passage of time or the giving of notice or both, would become a default thereunder, that it
has performed all of the covenants and agreements that it is required to perform under the
Project Financing and Loan Agreement, that the making of the Advance requested by this

Certificate has been duly authorized by the Municipal Loan Recipient' and that no change in
circumstances has occurred, or will occur upon the making of tbne Advance hereby requested,
which would preclude continued reliance upon the opinion of bond counsel to the Municipal
Loan Recipient rendered in connection with the Note.
8. Payments aggregating $�.,0 R_���_�s have been incurred by the Municipal
Loan Recipient for Project Costs which, based upon information provided me by the Municipal
Loan Recipient's engineer for this project, constitute au "eligible project" under the State Act
as shown on the Cosh Summary attached hereto as Attachment 1-
9. Based upon information provided me by the Municipal Loan Recipient's engineer
for this project, all amounts requisitioned hereunder are for eligible Project Costs which have
not been included in any previous disbursement from Short-Term Loan proceeds.
lo. (If requesting payment for coasts of construction): As of the date hereof, the
Municipal Loan Recipient holds, and will retain, a legal and valid fee simple title or other estate
or interest in the site(s) of the Project, including all necessary easements and/or rights-of-way,
as are or will be necessary for the Municipal Loan Recipient's continued undisturbed use and
possession of the site(s) of the Project during the construction, operation and maintenance of the
Project.
11. (If requesting payment for costs of consmucdfon): The Municipal Loan
Recipient has obtained all licenses, permits or other approvals required as of the date hereof to
undertake the Project.
12. (If requesting payment for costs of construction): The Advance requested doe
not includde any costs of construction (other than costs of planning and design) associated with
plans and specifications which have not been accepted by DEC or the Corporation.
13. (If requesting payment for casts associated with professional services
agreement):
The Advatice requested does not Jzxclude any costs incurred pursuant to anY professional services
agreements which have not been furnished to the Coiporation.
14. (If requesting payment for coats for engineering services associated with
inspection and services during construction): The Advance requested does not include any
costs incurred pursuant to any professional services agreement pertaining to inspection and
engineering services during constriction of the Project which has not been reviewed and so
accepted by the Corporation.
15. (If requesting payment for costs associated with technical force account work):
The Advance requested does not include any costs of constriction(other than costs of planning
and design) associated with the Technical Force Account Proposal which bas not been approved
by the Corporation.
16. The facsimile of the seal which is impressed or imprinted upon this certificate has
been imprinted or impressed upon the Municipal Loan Recipient Note and is the legally adopted,
proper and only official corporate seal of the Municipal Loan Recipient.

We received a February 6, 1990 agreement fot consulting services between the Town of
Southold and Dvirka and Bartilucci. Also enclosed was Amendment Number 1 and-2 to this
agreement. This material was submitted as part of your application for a loan for the capping of
the land fill and related costs. Our comments considering the eligibility of the costs are as
follows:
1. We have enclosed pages 1 and 2 of our eligibility guidance, Schedule A from
Addendum 1. Schedule A from Addendum 2, and Exhibit B from the original
agreement. The reason that we have enclosed this material is we need your
consulting engineer to again look at the scope of work involved in this work and
arrive at estimates of the portion of costs related to the eligible costs as discussed in
the guidance enclosed. Your attention is directed to Part A, the Landfill Closure
Projects section only of the guidance because this project is a landfill cap. Prorations
are acceptable as long as the methodology behind the proration is explained. We note
that the yard waste composting report and the transfer station work are ineligible.
When this backup information is received and our review completed we will provide
you with further correspondence that discusses any approvals for the basis of
including reimbursement of planning costs in a future loan.
2. The copy of Appendix A of the original agreement that was submitted to us had only
sheets A-2,A-4.A-6,A-8.A-l 0,A-12, and A-14. The intermediate sheets appeared to
be missing. We request a complete copy of Appendix A.
We note in the application that there are also $250,000 in design fees. Please forward
this agreement to us as soon as it is negotiated and signed.

number. What will the contract number be? Is Landfill Cap the official title? The reason we are

for the Clean Water State Revolving Fund (CWSRF) for Water Pollution Control
Projects. This amendment describes a change in the use of federal and state CWSRF
funds as shown on page 10 of the 1997 IUP dated October 1996.
The New York State Environmental Facilities Corporation (EFC) made 16
leveraged CWSRF Loans in 1990 as part of three separate bond financings (Series

Draft Amendment to the 1997 Intended Use Plan

The 1997 Intended Use Plan (IUP) for the Clean Water State Revolving Fund (CWSRF)
for Water Pollution Control Projects, dated October 1996, is being amended to address
a change in the use of federal and state CWSRF funds as shown on page 10 of the
IUP.
The New York State Environmental Facilities Corporation (EFC) made 16 leveraged
CWSRF Loans in 1990 as part of three separate bond financings (Series 1990A, 1990B
and 1990C). These loans currently have the highest interest rates of CWSRF loans
made by EFC due to the level of interest rates in 1990. EFC has from time to t1me,
reviewed these loans to determine if a refinancing was available which would provide
financial benefits to these borrowers. Such reviews determined that it was impractical
to refinance these loans.
Although prior reviews indicated that refinancings were impractical, EFC has now
determined that it can provide interest savings to each of the 16 municipal borrowers. In
order to accomplish this, EFC will draw an additional $151 million in federal and state
match moneys and pledge this money to each Series 1990A, 1990B and 1990C,
respectively. The earnings on the reinvestment of the newly drawn moneys will enable
EFC to provide additional financial assistance to the municipal borrowers by reducing
the effective interest rate that they will pay. The Series 1990A, 1990B and 19900
borrower effective interest rates will be adjusted to reflect current rates.
No interested party (current bondholders, municipal borrowers that will have their
effective interest rates adjusted, other municipalities on the current IUP, or future
borrowers) will be adversely affected. This adjustment will not impose any fees or
expenses on any municipal borrower.
Based upon the existing IUP and projected demand for projects, this adjustment will not
interfere with the availability of CWSRF financing for any other project.
Comments on this draft IUP amendment will be accepted until March 20, 1997.

STATE REVOLVING FUND (SRF) FOR WATER POLLUTION CONTROL
INTRODUCTION & PURPOSE
New York's SRF has gained widespread recognition as a program that provides
low interest-rate loans to municipalities to construct water quality protection projects. As
the loans are repaid, the money is available to be used again for new loans - a true
revolving fund. The SRF program, in existence since 1990, expects to make over $4
billion in loans by the year 2000. These loans will save municipal borrowers more than $1
billion in interest costs. And for communities with financial hardship, the interest costs
may be zero for the duration of the loan. Over 200 communities have benefited to date by
receiving financial assistance for the planning, design, and construction of a variety of
projects that protect water quality.
ELIGIBLE PROJECTS
Proposed projects must be publicly owned to be eligible for SRF financing. The
primary purpose of the project to be financed must be water quality protection. In
addition, funding may be provided for the portion of other projects that protects water
quality. An example would be the leachate collection and treatment system at a new
landfill.
General SRF Eligibility - Point Source Projects
Projects involving construction of wastewater facilities that reduce or prevent water
pollution are eligible for SRF loans per Title VI of the Federal Water Quality Act (FWQA)
of 1987, also known as the Clean Water Act. The types of point source treatment works
projects eligible for SRF financing include:
• New, expanded or rehabilitated watewater treatment plants;
• Sludge treatment &disposal facilities including biosolids reuse;
• Collector, trunk and interceptor sewers;
• Sewer rehabilitation and infiltration/inflow correction;
• Municipally-owned sewers and treatment capacity for industrial wastewater
(including storage, recycling or reclamation);
• Combined sewer overflow (CSO) abatement;
• Storm water pollution abatement;
• Water treatment plant filter backwash & sludge treatment;
• Septage handling & marine vessel pump out/treatment facilities; and
• Publicly owned water conservation/reuse devices or systems.

General SRF Eligibility - NonPoint Source Projects
Nonpoint source refers to water pollution from diffuse sources that are not directly
related to a piped discharge. The following types of nonpoint source projects are eligible
to be financed through New York's SRF:
• Capping and closure of municipal solid waste landfills, landfill reclamation, and
landfill leachate collection, storage and treatment;
• Remediation of contamination from leaking petroleum storage tanks, underground
injection wells and inactive municipal hazardous waste sites;
• Upgrade/rehabilitation or removal of existing petroleum/chemical storage tanks for
pollution prevention;
• Highway deicing materials storage;
• Collection and treatment of runoff from municipal airports which has been
contaminated by aircraft deicers or other pollutants;
• Stormwater management facilities, such as street sweepers and catch basin
vacuum vehicles, sediment traps and basins, constructed wetlands and biofilters;
• Waterbody restoration including stream bank stabilization and drainage erosion and
sediment control;
• Restoration of riparian vegetation, wetlands and other water bodies;
• Land purchase or conservation easements for water quality protection such as for
wellheads or watersheds; and
• Certain estuary restoration projects at USEPA designated estuaries.
TYPES OF LOANS
Short-Term Financing:
SRF interest-free short-term loans allow municipalities to design and initiate
construction on their water quality projects, without the interest expense associated with
bond anticipation notes, etc. These loans are generally available for one year, with up to
two years allowed for projects costing less than $4 million. Short-term loans also can be
used to prefinance costs that will be reimbursed from proceeds of grants and loans from
other sources.
There is an administrative fee equal to 1.1% of the amount of the note issued by
the municipality to EFC. This fee will be credited against the program administrative fee
associated with the SRF long-term loan used to retire the short-term loan. The short-term
loan fee is waived for financial hardship communities.
Long-Term Financing:
EFC makes two types of long-term loans, "leveraged" loans (from SRF bond
proceeds) and "direct" loans (made available from SRF resources). EFC issues bonds to
"leverage" available State and federal capitalization dollars, allowing EFC to triple the
amount of money that it can lend under the SRF program. Leveraged loans are made to
municipalities at two-thirds of the interest rate on EFC's tax-exempt AAA-rated bonds.
The interest earned on the capitalization funds is provided to the communities as an
interest rate subsidy on their loans. Elements and fees associated with long-term loans
are summarized as follows:
• 20-year maximum loan term;
• Interest rate charged most communities is two-thirds of the interest rate at which
EFC's bonds are sold;
• Municipalities provide EFC with general obligation bonds to secure their SRF loan;
• Fees included in the long-term loans are 1.5% bond sale direct expenses, 1.10%
program administration fee, and state bond issuance charge of 0.07% to 0.35%
based on principal amount; and an annual administrative charge of 0.11% based on
the loan balance;
• Reduced interest rates, down to 0%, are available to communities with
demonstrated financial hardship;
• Somewhat different guidelines apply to "direct loans" versus "leveraged loans".

GENERAL REQUIREMENTS FOR OBTAINING AN SRF LOAN
The SRF loan application process involves two major steps: first, getting listed in
the Intended Use Plan (IUP); and second, submitting a complete loan application. The
IUP contains a prioritized list of projects from communities expected to apply for a loan in
the next year. The IUP is prepared annually by EFC in conjunction with the Department
of Environmental Conservation (DEC). In prior years sufficient funds have been available
for all listed projects. It is possible, however, that the total amount of requests for SRF
loans during an IUP period may be greater than the amount of loan dollars available. To
get listed in the next IUP, the community must provide a project description, estimated
project cost, estimated construction start date, and certain additional information to
enable EFC to evaluate and rank the water quality merits of the project.
The municipality must then submit a complete loan application at the appropriate
time in the funding process. The basic components of the loan application include a loan
application form with municipal filing resolution, evidence of environmental review, State
Comptroller approval (if special district formation is needed), municipal bond resolution, a
certificate as to title to project site, affirmative action documents, agreements for
professional services, engineering report, construction bid documents, and construction
permits.
ENVIRONMENTAL FACILITIES CORPORATION
The New York State Environmental Facilities Corporation (EFC) administers the
SRF. It is a public benefit corporation, created in 1970, whose mission is to promote
environmental quality by providing low-cost financing and technical assistance to
municipalities, businesses, and state agencies for environmental projects. EFC is not a ,
regulatory agency. Its goal is to help governmental entities and businesses comply with
environmental requirements in a cost-effective manner.
The SRF program merges a team of financial and technical professionals with loan
servicing staff. Within the SRF program is a Self-Help group that provides more direct
assistance to small communities eligible for SRF financing.
EFC also operates two other programs. The Industrial Finance Program, provides
loans to businesses for environmental projects. The Technical Advisory Services
Program, provides a variety of environmental advisory and construction administration
services to municipalities, state agencies, and industrial clients on a fee-for-service basis.
Also, small businesses may obtain help from EFC's Small Business Assistance Program,
set up to help small businesses (at no charge) understand and comply with air emission
requirements.

PART 360 VARIANCE APPLICATION
Scone of Work
Preparation of a Part 360 Variance Application for Closure of the Cutchogue Landfill in
accordance with NYSDEC Guidance on Landfill Closure Regulatory Relief for the following:
1. A geomembrane barrier with a barrier protection layer of 12" of soil.
2. A 12" gas venting layer that has a maximum of ten (10%) percent by weight passing
through the#200 sieve after placement.
3. A minimum final 6" layer composed of any material that can be shown to be able to
continually support plant life.
4. Upon implementation of complete baseline parameter monitoring one (1) year from the
date of initial baseline monitoring in performance of the approved hydrogeologic work
plan, and upon implementation of quarterly routine monitoring for two (2) years from
the date of initial baseline monitoring, ground water will be monitored semi-annually for
routine parameters and every three (3) years for baseline parameters, unless monitoring
reveals a contravention of applicable groundwater standards deemed required by the
DEC.

CONTROL (CWSRF)
SHORT-TERM FINANCING PROGRAM
Purpose
This document is intended to provide municipalities with information and guidance
regarding EFC's Short-Term Financing Program (STFP). It summarizes, in general terms,
policies and requirements governing the STFP. Please note that this document is intended
for guidance purposes only. This guidance is effective for short-term loans closed after
April 1, 1997 and will remain in effect as long as adequate program funds are available.
Description
The STFP provides limited-term, interest-free loans to municipalities to finance costs of
eligible water quality protection projects (such as planning, design, construction and
associated costs). The STFP may also be used to prefinance CWSRF-eligible costs of
projects expected to be partially or fully covered by grants or loans from non-CWSRF
funding sources. The STFP complements the CWSRF Long-Term Financing Program by
providing interim financing for projects that have completed planning, but are not ready for
long-term financing. Please note that CWSRF financing is not available prior to completion
of planning and associated environmental reviews although municipalities can later be
reimbursed for eligible costs incurred during planning. Short-term loans are available for
projects listed in the Multi-Year Project Priority List of the annual Intended Use Plan (IUP)
that meet the requirements listed below. The amount reserved for this program is stated in
the IUP. Applications for short-term loans will be reviewed on a first-come, first-served
basis.
Potential Benefits
The STFP:
1. Provides interim, interest-free financing during design and construction. Through
the use of the STFP, the borrower can achieve more efficient sizing of long-term
financing. Municipalities borrow only what they need during the term of the short-
term loan, up to a stated maximum amount. As a result:
• the risk of overissuance of debt is reduced, and
• the need for additional borrowing and its associated costs is reduced.

2. Can reduce project financing costs by reducing or eliminating interest costs '
associated with interim financing during design and construction.
3. Offers "one-stop shopping" for short-term and long-term CWSRF financing, thus
improving opportunities for communication and coordination between EFC and a
municipality during the project development and construction phases.
4. May be used to prefinance pending grants and loans from other funding sources.
This allows municipalities to proceed with their projects prior to receiving these
grants and loans. For example, EFC could prefinance grants and loans from the
USDA Rural Development Program, the Clean Water/Clean Air Bond Act, or the
Landfill Closure State Assistance Program administered by the NYS Department of
Environmental Conservation(NYSDEC).
5. Provides a 1,000 point bonus on the project score once the Public Authorities
Control Board (PACB) approves a short-term loan for that project. This helps
ensure the availability of long-term financing monies from the CWSRF. This bonus
may only be applied to the project's score in future IUPs or IUP amendments.
Requirements
The following basic requirements must be met prior to the receipt of a short-term loan.
(Please refer to the CWSRF application package for a complete list of items needed.)
1. The project must be an "eligible project" as defined in the SRF statute
(Environmental Conservation Law §17-1909.1(d)). Please refer to the IUP for a list
of categories of projects which are eligible for SRF financing.
2. The project must be listed in the IUP's Multi-Year Project Priority List. It must also
receive a project priority score high enough to place it above the funding line, if any,
on the IUP's Annual Project Priority List for long-term projects in its respective
project category.
3. The project must be designated as an "environmentally significant project" by the
NYSDEC. In making such,a designation, the NYSDEC will take into account all
relevant factors, including an assessment of public health and safety, protection of
environmental resources, population affected, attainment of state water quality goals
and standards, and compliance with state and federal law, rules and regulations.
4. Project planning must be complete and the municipality must submit a technical
planning report acceptable to EFC.
5. The environmental review process for CWSRF projects must be complete.
6. A complete CWSRF application, signed by the authorized municipal representative,
must be submitted to EFC.

1 7. A municipal bond resolution acceptable to EFC must be submitted. This bond
resolution must conform to the requirements of the Local Finance Law and, among
other things, authorize the undertaking of the project, give a specific description and
purpose of the project, and authorize a dollar amount of expenditure sufficient to
cover the total cost of the project.
8. If applicable, a special improvement district must have been formed.
9. Minority and Women's Business Enterprise - Equal Employment Opportunity
(M/WBE-EEO) Program: Both short-term and long-term CWSRF loans are subject
to MNVBE-EEO requirements. A municipality applying for CWSRF financing must
implement an M/WBE-EEO program for its project. The potential borrower should
call EFC's toll-free number (800-882-9721) for guidance on preparing an M/WBE-
EEO program prior to applying for a CWSRF loan.
10. Certificate as to Title to Project Site: Generally, a certificate is required prior to the
closing of a CWSRF loan stating that the municipality has title or other interests in
the site(s) necessary for its undisturbed use and possession during construction and
for the estimated operational life of the project. Under certain limited circumstances,
however, a CWSRF loan can be closed without such a certificate. For example,
where a short-term loan will be used to finance the ongoing design of a project, the
project site may not yet be identified. In such a case, the short-term loan may be
closed before the borrower has acquired the necessary property interest(s) in the
project site, and executed the title certificate. In all cases, however, the title
certificate must be received and approved by EFC before loan proceeds can be
disbursed to pay construction and construction-related engineering costs. The
required form of title certificate, entitled "Certificate as to Title to Project Site," is
included in the CWSRF application package.
Loan Sizing/Structuring
1. A municipality may apply for short-term financing, long-term financing, or both.
While short-term loan recipients are not required to utilize long-term CWSRF
financing, a long-term financing plan is required to be submitted with the application
for short-term financing. A short-term borrower must submit updated financial and
project cost information at the time of long-term CWSRF financing.
2. Each short-term borrower will issue a"grid note"to EFC to evidence its obligation to
repay its short-term loan. Also known as a "statutory installment note," a "grid note"
allows the municipality to borrow only what it needs during the term of the short-term
loan, up to a stated maximum principal amount. Debt is incurred by the borrower as
"advances" are made under the "grid note," without the need to close a new loan
each time loan proceeds are advanced.

3. Short-Tenn Loans Which Do Not Include Prefinancing of a Third-Party Funding
Source:
In general, the short-term loan will be sized to cover the borrower's estimated cash
flow needs during the anticipated period of the short-term loan (see Loan Term,
below).
4. Short-Term Loans Which Include Prefinancing of a Third-Party Funding
Source:
Where third-party funding sources are involved (such as grants and loans from the
USDA Rural Development program, the Clean Water/Clean Air Bond Act, or the
Landfill Closure State Assistance Program administered by the NYSDEC), EFC may
offer short-term prefinancing of such third-party funding. In general, this type of
short-term loan will be sized based on the borrower's request, not to exceed the total
CWSRF-eligible project cost. EFC may also offer long-term financing for any eligible
costs not covered by other funding sources. The conversion to.long-term financing,
as appropriate, would take place as described in the Loan Tenn section below. A
municipality is encouraged to contact EFC to discuss the details of its project during
the planning phase if third-party funding is contemplated.
5. Financial Hardship Projects: Municipalities with high cost wastewater treatment
works projects serving residential areas may qualify for long-term reduced interest
rate or interest-free financing through the CWSRF. Please refer to the IUP for a
description of the financial hardship criteria. Short-term financing may be available
in advance of such loans. For projects that qualify for Reduced Interest Rate Loans,
EFC will discuss various financing alternatives with the municipality to determine
which alternative best meets its needs.
6. Short-term loans can be used to refinance notes, the proceeds of which have been
spent on documented CWSRF-eligible costs. Only current refinancings will be
allowed (e.g., notes that are callable or have a maturity date less than three months
from the loan closing). The STFP cannot be used for advanced refundings (those
notes that do not meet the criteria above) or if construction is complete.
Loan Term
1. Short-Term Loans Which Do Not Include Prefinancing of a Third-Party Funding
Source:
For a project with total costs of$4 million or less, the term of the short-term loan will
generally be two years. For a project with total costs of more than $4 million, the
term of the short-term loan will generally be one year. Extensions may be granted
on a case-by-case basis to allow participation in a pooled CWSRF financing for a
long-term loan. However, the term of a short-term loan cannot exceed three
years under any circumstances. If a project is completed prior to the short-term
loan maturity date, the loan must be converted to long-term financing at the earliest
opportunity.

2. Short-Tenn Loans Which Include Prefinancing of a Third-Party Funding
Source:
Where EFC is prefinancing third-party funding sources, the short-term loan will be
structured with a term of three years. These loans cannot be extended beyond
three years under any circumstances. Such short-term loans often consist of two
components: a portion which prefinances a third-party grant or loan (called the
"prefinancing" share); and a share which does not involve any third-party funding
(called the"local"share). These two components are treated differently.
Although short-term loans which include prefinancing of third-party funding sources
have a maximum term of three years, the prefinancing share must be repaid, on a
dollar-for-dollar basis, within five business days of the borrower's receipt of any
proceeds of the third-party grant or loan prefinanced by the short-term loan.
The length of time that the local share may be financed with a short-term loan
depends on the type of long-term financing for which the borrower is eligible. The
local share of these short-term loans will become due and payable as follows:
A. Lona-Term Leveraged Loan Candidates With a Written Commitment From a
Third-Party Funding Source: The local share will be available until the
earlier of (i) three years; or (ii) the closing of the first pooled financing after
the borrower receives all third-party grant and/or loan funds prefinanced by
the short-term loan. If the receipt of all third-party funds occurs after the
deadline for submitting an application for pooled CWSRF financing, the
short-term loan may remain available until the next pooled financing,
provided the short-term loan does not exceed three years.
B. Long-Term Leveraged Loan Candidates That Anticipate Third-Party Funding
for Which a Written Commitment Has Not Been Issued: The local share
and the anticipated prefinancing share will be available until the earlier of
(i) three years; or (ii) the closing of the first pooled financing after project
completion. If project completion occurs after the deadline for submitting an
application for pooled CWSRF financing, the short-term loan may remain
available until the next pooled financing, provided the short-term loan does
not exceed three years.
C. Long-Term Direct Loan Candidates: The local share will be available until
the earlier of (i) three years; or (ii) 120 days after the borrower receives all
third-party grant and/or loan funds prefinanced by the short-term loan.
3. In all cases, a short-term loan will become due and payable, upon 60 days notice, if
the project is abandoned.

Fees
1. The 0.11% CWSRF annual administration fee does not apply to short-term loans.
2. A 1.1% program administration fee will apply to all short-term loans except those
wastewater treatment works projects that qualify for a long-term Reduced Interest
Rate Loan due to financial hardship. To obtain such a waiver, a municipality must
receive a determination of financial hardship prior to the closing of the short-term
loan.
3. The program administration fee will be 1.1% of maximum project costs to be
financed, regardless of the amount actually advanced under the"grid note." No fees
will be refunded.
4. The 1.1% program administration fee paid when a short-term loan closes will be
credited against the 1.1% program administration fee due if the short-term loan is
converted to a long-term CWSRF loan.

Based on our updated model we are currently projecting that the Town share of the ''/<%sales tax for
landfill capping for 1998 will be$50,482. This figure takes into account the double payment that was made in
1997.
I would like to request that by February 15th you send me a copy of your report on how you used prior
year landfill funding, and tell me what you anticipate using the 1998 funding to cover. I also need a Town Board
Resolution authorizing the 1998 plan and expenditure.
In addition,I need any updates to the list of property you want the County to acquire with the Town Y4%
money, and a copy of a Town Board Resolution authorizing the acquisition. An additional$151,446 is being
added to your land account in 1998.
After I receive this material the County Executive will schedule a meeting of the Environmental Trust
Fund Review Board for May, 1998 to accept the reports and authorize the funding.

David Geisinger of our office concerning the above projects. We
provide the following data that may assist the Town in making a
decision on seeking SRF financing for the Fisher Island Metal Dump
Closure project. The enclosed two graphs compare the project cost
savings for a SRF funded project to a municipality funding a project
without SRF funding. These graphs compare the project cost savings

1 got a call from David Ceisinger at the New York Environmental Facilities
Corporation. He wants to help us in getting their short term and long term
loans, but when it comes to the financial end, both Jim Bunchuck and I are out
of our depths. We're filing information to get on the list of loan applicants;
but when it comes to actually applying for the loans, we'll need your advice.
Regarding the Fishers Island closure loan, Mr. Ceisinger agreed that a long
term loan is the way to go. He said that we should have an application in by
the end of February to get a loan in late spring. We are awaiting DEC approval
of our plans to go out to bid to have the Fishers Island Metal Dump excavated.
If the approval comes through in a timely manner, we want to go out to bid in
April or May. The Board wants to see what the bids are before they bond for
the cost, so the bonding would be in April or May. Ceisinger says that we can
make our final application for a loan based on an estimate. He'll be sending me
an information packet. We'll talk more about this after I get it.
Jim and 1 would also appreciate your advice on using these state loans for the
Cutchogue landfill closure. At what point do the landfill closure costs justify
applying for the state loan? Ceisinger said that previous engineering costs
could be included in the loans. I understand that the Town spent a lot of
money on certain hydrogeologic studies that we're using to close the landfill.
Could we benefit from getting a loan for that? Ceisinger gave me the name of
Sheryl Traiger at 518-485-8929 who is a financial expert at the NYEFC. Maybe
she can help us. Any advice you can give would be appreciated.

Closure of Cutchogue Landfill
Dear Mr. Nepal :
The Town of Southold hereby requests that the Closure of the
Cutchogue Landfill be listed in the Intended Use Plan for the New
York State Water Pollution Control Revolving Fund.
The project is the planning, design, and implementation of the
closure and capping of the landfill site, under terms of the
stipulated agreement between the Town and DEC of October 4, 1994
(copy enclosed) .
The project will protect the groundwater by eliminating landfill
leachate and controlling runoff from the site.
An SRF Project Schedule and Project Cost Estimate for this
project are enclosed. The Town is developing a Closure
Investigation Workplan, which will be forwarded to you upon
completion. The Workplan will lay the basis for the Closure
Investigation Report and the subsequent development of
specifications for the design and implementation of closure
activities.
With this letter the Town of Southold hereby requests funds under
the State Revolving Fund for Water Pollution Control for this
work. We will forward documentation of later phases of this
closure project as it is developed.

The Nov York State Environmental Facilities Corporation (EFC) and
the Department of Environmental Conservation (DEC) are proposing to
amend the Intended Use Plan (IUP) for the New York State Water
Pollution Control Revolving Fund (SRF) . The IUP financing period will
be extended from June 30, 1995 to September 30, 1995. Additional
funds will be available from a recent federal appropriation to provide
low interest SRF loans to municipalities which are interested in
financing their eligible projects by September 30, 1995.
If you are interested in low interest financing for a water
quality protection project and your project is not currently listed
in the IUP, you. should submit the appropriate project listing
information to 8FC before January 1, 1995. The IUP listing
requirements are provided with this notice.
Complete applications for Spring 1995 long term loans will be
required no later than Yebruary 13, 1995. Your project must be on the
IUP to qualify for a Spring 1995 loan.
If you wish to receive by September 30, 1995, a short term loan
to finance design and construction start-up costs of a project on
either the one year or multi-year IUP lists, you must submit a
complete application by June i, 1999. Short term loans are available
on a first come/first served basis, up to the amount reserved for
these loans (currently $70 million) .

Dear Ms. Agriss:
This is to request that the Cutchogue Landfill and the Fishers Island Metal
Dump, owned by the Town of Southold, be included as separate projects on the
State Revolving Fund for Water Pollution Control Project priority list.
Briefly, the projects will entail landfill closure of the Cutchogue and Fishers
Island Metal Dump landfills pursuant to 6 N.Y.C.R.R. Part 360 regulations and
the Stipulation of Settlement (Index No. 91-19050) between the New York State
Department of Environmental Conservation and the Town of Southold. As agreed
in the enclosed Stipulation of Settlement, the Town of Southold- will perform
periodic sampling of existing groundwater monitoring wells at the Cutchogue
Landfill, investigate the necessity for methane monitoring wells at that site
and, as final closure alternatives, either cap the landfill or perform landfill
reclamation to remove the waste mass. The Fishers Island Metal Dump will be
subject to reclamation by complete removal of the waste mass.
The purpose of the projects is to comply with New York State law requiring
that all landfills on Long Island be either capped or reclaimed so that
precipitation does not infiltrate through the waste mass down to the water
table and potentially impact the quality of groundwater beneath the landfills.
If capping is the alternative chosen, precipitation will no longer infiltrate
the waste mass. If landfill reclamation is chosen, the landfill will either be
reduced in size prior to capping (by partial reclamation) or the waste mass
will be removed entirely so that water will not come into contact with the
waste. The present water quality data are presented in the Part 360 and Phase
II Hydrogeologic Investigation Report dated October 1991, Groundwater Quality
Assessment Report July 1992 Sampling Event, December 1992 and Groundwater
Quality Assessment Report January 1993 Sampling Event dated March 1993, filed
with the DEC on October 18, 1994.

We have enclosed for your reference and review the Stipulation of Settlement
entered into between the New York State Department of Environmental
Conservation and the Town of Southold on October 4, 1994 requiring the
projects to be completed as described above.
The Town's consultants on the Cutchogue Landfill, Dvirka and Bartilucci, have
estimated the project cost of the Cutchogue Landfill capping to be
approximately $5,000,000. The estimated cost for reclamation is

Groundwater monitoring costs over the 30-year monitoring period are e000ma ed
to be approximately $1,700,000 assuming a 6% per year escalation.
The Town's consultants on the Fisher's Island Metal Dump, Fagan Engineers,
have estimated the project cost of the reclamation at approximately $250,000.
Based on prior commitments by DEC representatives, groundwater monitoring
costs are not anticipated at this time.
The Town of Southold expects to complete the Closure Investigation Workplan
for the Cutchogue Landfill within the next two months. Depending on the
response from the DEC, the Closure Investigation Report will be complete by
June 1995. Upon completion of the CIR, the Town would ask that the
eligibility of the Cutchogue Landfill for short-term finance program from the
State Revolving Loan fund be considered complete. The Town of Southold fully
expects to make application for the long-term financing program upon completion
Of its Closure Plan.
The Town of Southold expects to submit approvable specifications for total
waste removal from the Fishers Island Metal Dump to the DEC within the next
two months. Upon approval of the specifications the Town will be prepared to
go to bid for remediation to begin in the spring of 1995, with work to be
completed within 60 days of commencement. We believe that this project is
eligible for this funding, and there is an immediate need. Please advise me of
any additional materials you need to respond to this application.

Dear Supervisor Wickham:
As a follow-up to your discussions with Tom Maher, we have investigated the status of State
closure assistance and loan to municipalities with a population of less than 3,500.
The New York State Department of Environmental Conservation recently issued draft revised Part
360-9 dealing with municipal landfill closure assistance to municipalities. Hearings on these draft
revised regulations were held in July 1994 and the comment period is over. In the meantime,
the State is reviewing comments and preparing its final version of 360-9. While we do not know
the specifics of the final version of the regulations, for your information below is a summary of
the key elements of the draft:
1. State assistance would be available to eligible municipalities for either 50% or 75% of
approved project cost or $2,000,000 whichever is less.
2. The 75% is for municipalities which, based on the 1990 census, have a population less
than 3,500.
3. Municipalities of less than 3,500 may also be eligible for no-interest loans for the
remaining 25%.

4. Costs associated with the municipal landfill closure project include:
• engineering and architectural services
• plans and specifications
• consultant and legal services
• other direct capital expenses related to the closure project
5. A "municipality" is defined as a local public authority or public benefit corporation, a
county, city, town, village [school district, supervisory district, district corporation,
improvement district within a county, city, town or village]. Therefore, the Fisher's
Island Landfill appears to be eligible.
6. In order to be considered,. a municipality must submit an application to the State.
7. Among the requirements that must be met are:
• Landfill site cannot be classified as a Classification 1 or 2 in the Registry.
• For a Classification 2a landfill, the municipality must have submitted a complete
reclassification report to the State.
• To be eligible, the landfill must be Classification 3,4,5 or delisted.
8. The municipality is obligated to close the landfill by a specific date and the obligation
must be in the form of an administrative order, a court order, or a permit condition.
9. A closure investigation report must be completed.
10. Phased landfill closure is allowed for construction purposes.
11. If the State's available funds are insufficient to fund certain closure projects, the State
would fund projects in the order that the approvable applications are received.
12. The State will review applications using a point system that addresses aquifer, surface
water, wetlands, gas migration, leachate, groundwater/surface water contamination, and
population (the smaller the population, the higher the points)

neighbors and structures to the landfill that could be affected by the migration off-site of
landfill gases. This is important to the design of the gas venting system to be constructed
for the landfill cap, and is addressed in the recently completed closure plan currently
being reviewed by the DEC.

SUBJECT: Status of Financing for Landfill Capping/Closure
As you suggested,I have called Joseph Tuttle of the New York State Environmental Facilities Corporation
(EFC)to find out where we stand with regard to financing for capping and closing of the Cutchogue
Landfill.
As you may know,we have been included in the EFC's intended use plan (IUP)for 1997 for a long-term
loan of up to$9.5 million to pay for capping and closure costs. These funds can be drawn by the Town
beginning in July of this year to cover eligible expenses. That date was picked last year as the estimated start
date for construction of the cap. Since it is now virtually certain that construction will not begin in July, Mr.
Tuttle recommends that the Town amend its application to push back the anticipated start date,and apply for
a zero-interest short-term loan to cover expenses it will incur prior to construction. Mr.Tuttle is sending
me the necessary application forms.
Expenses eligible for loan monies can include consultant fees paid for closure investigation activities,
including groundwater and methane monitoring,as well as for engineering design work. Loans can also be
acquired to pay for expenses already incurred BUT ONLY IF THOSE EXPENSES WERE COVERED
THROUGH BORROWING(usually Bond Anticipation Notes,or BANs). In such cases,the EFC loan
would be used to re-pay a BAN or other note. Expenses that have already been paid in cash out of operating
budgets are NOT eligible for loan monies.
To receive loan monies from the short-term program this year,applications must be filed by June 2.
Balances remaining on short-term loans can be converted to long-term loans when the Town is ready to
finance the engineering design and construction phases. No loan monies will be disbursed until the DEC
approves a closure plan.
I will try to compile a list of all expenses incurred to date in relation to the landfill closure and determine if
they can be included in a short-term loan application.
I will keep you posted on any further developments. Please let me know if you have any questions.

There are two possible sources of financing for closing costs for the Cutchogue
Landfill:
1 - EFC subsidization/loan
2 - DEC grant up to $2 million
I spoke today to David Ceisinger re the EFC money. The Town is on a
preliminary list of applicants for the loan, but has not perfected its loan
request. David indicated that if we planned to spend more than $200,000 on
engineering and studies prior to capping and closing, we should apply now for
a short-term loan. However, if our costs will be less than that amount, we
o- should wait until we have the Closure Investigation Report ready and are about
5 months away from actual capping and closure. Do any of you know how much
we'll be paying for engineering in the next 12 months, and whether we should
apply for a short term loan? Are we talking about 1996 or 1997 for actual
capping and closing?
Re the DEC grant, I had called the loan office last week and they indicated
that we shouldn't apply for the grant until we had the Closure Investigation
Report completed. However, Tom Maher strongly urges us to apply now, on the
grounds that we've done the hydro-geo study and all sorts of tests and
practically have a closure investigation report.
Jim, you have the application forms for the grant, so you should start filling
them out. The forms ask for some numbers about capping and closing costs, so
you may need Tom Maher's help in coming up with the information needed to fill
out the form. The advantages of trying are (1) the money is handed out on a
first-come, first-served basis, and (2) we'll have to apply sooner or later
anyhow.
Jim will handle the grant application. Please advise me if any of you want to
apply for a short term loan from EFC.

1 got a call from David Geisinger at the New York Environmental Facilities
Corporation. He wants to know whether the Town wants to file applications for
the loans at this time. In our past discussions, you indicated that in order
to qualify for a low-interest loan from this source, we would have to go to the
expense of preparing an Official Statement, and that the cost of preparing this
documentation would equal any savings we would get from a loan for the
Fishers Island Metal Dump. Mr. Geisinger said that this was not his
understanding and suggested we check with their financial officers, Sheryl
Traiger (518-485-8929) or James Gebhardt (518-457-4100). If you have not
already done so, would you check with them about this issue? I'd like to give
the Town Board a report on this at the next meeting.
Mr. Geisinger also asked whether we wanted to apply for a short-term loan for
the Cutchogue Landfill. It is my impression that in this calendar year we are
planning on incurring roughly $50,000 in engineering expenses and little else
in other expenses. If so, it scarcely seems worth it to apply for a loan.
However, in light of the recent letter from the DEC calling for water testing,
1 may be wrong. Jim, what is your estimate of the expenses we can anticipate
this year? Is it worth applying for the short-term loan to cover them. I'd
also like to report on this at the next board meeting, so I'd appreciate some
comments in writing.

Pursuant to my conversation with Sheryl Traiger from the New
York State Environmental Facilities Corporation, it appears that
preparation of what amounts to an Official Statement (OS) is dependant
upon the size of the loan or if NYSEFC decides to disclose on the
r2-inic, al, y. Based on the criteria Sheryl outlined, it is unlikely we
would be required to prepare an OS or retain outside help to collect
any OS information until after our borrowing through NYSEFC reaches
about $7 million. We should be able to collect any information needed
before the $7 million threshold is reached through various Town
agencies with assistance from NYSEFC.
In view of the above, it appears that we should continue to
pursue loans through NYSEFC for both the Fishers Island Metal Dump
and the Cutchogue Landfill regardless of the size of the loan.

Technical Force Account Proposal
Description of Work to be Done
The Town of Southold intends to charge employee labor and fringe costs under this technical
force account proposal. Equipment related costs are either(1) chargeable separately (rented
equipment) or(2) not chargeable (Town owned equipment). Administrative costs are not
included under this force account proposal.
Select employees of the Town of Southold Solid Waste Management District will be taking on
the following construction-related closure tasks. Rented equipment or Town owned equipment
will be operated by Construction Equipment Operators and Labor Crew Leaders and will be
used to complete each task. In addition, the Auto Mechanic II may occasionally be used to
operate a dump truck. Supervision of the work will be conducted by Labor Crew Leaders.
1. Filling the former scavenger waste lagoons. This task involves bringing up to grade an
excavated area in the northwest comer of the property that had been used to store
scavenger waste until the mid-to late 1970s. Work on this task commenced in the fall of
1998 and is expected to be completed by the fall of 1999.
2. Cox Lane Construction Access. This task involves clearing the right of way to Cox Lane
and filling in a sump on the eastern end of that area to allow access to the landfill for
construction vehicles during construction of the project. Work on this task is expected to
begin in the fall of 1999 and is expected to take approximately three months to complete.
3. Demolition of Building and Removal of Underground Storage Tank. This task involves
demolition of a block building situated near the southwestem comer of the property and
removal of a 10,000 gallon water storage tank located underground and next to the
building. Work on this task is expected to begin in the fall of 1999 and is expected to take
approximately two weeks to complete.
4. Construction of Recharge Basin#1. This task involves construction of a large re-charge
basin in the southwestern comer of the property to collect run-off from the western half of
the capped landfill. Work will include excavation of approximately 30,000 cubic yards of
sand. Work on this task is expected to begin in the spring of 2000 and is expected to take
approximately three months to complete.
5. Excavation of Waste. This task involves removal and disposal of 500 to 1,000 cubic
yards of waste buried south of the projected southern boundary of the landfill cap. Work
on this task is expected to begin later this summer(1999) and is expected to take
approximately one month to complete.

The Town of Southold ir{tends to charge employee labor and fringe costs under this technical
force account propnsal 'Equipment related costs are aither(1)chargeable separately(tented
equipment) or (2) not chisrgeable(Town owned equipment}. Administrative costs are not
Included under this +orc4 account proposal.

Select employees of thel Town of Southold Solid Waste Management District will be todno on
the following con stn ic ioh-►elated closure tasks. Rented equipment or Town owned equipment
will be operated by ::onitruedon Equipment Operators and Labor Crew Leaden and will be
used to complete Qach tusk. In addition, the Auto Mechanic II may occasionally be used to
operate a dump#- ; k Slupervision of the work will be conducted by Labor Crew Leaders.
I- Filling die fQrmer epees waste lagoons. This task involves bringing up to grade an
excavated area :n the northwest corner of the property that had been used to*lora
scavenger waste until the mid-to late 1970s. Work on this task commenced In the fall of
1998 and is exnectsl to be completed by the fall of 1M.
2. Cox Lane Qon1truction Access. This task involves clearing the right of way to Cox Lane
and filling in a c;imp!on the eastern and of that area to allow access to the landfill for
construction vehicle during construction of the project. Work on this task is expected to
begin in the Fal' a# 1999 and is expected to take approximately there months to complete.
3. Dernolftlon_of 8uildi and Re sural of undN round 8'lo a Tank. This task Involves
demolition of a block building situated near the southwestern comer of the property aid
removal of a 10 000;gallon water storage tank located underground and next to the
building. Work an tAis task Is expected to begin in the fall of 1999 and is expected to take
approximately two Isom to Complelo.
4. Construction of sin 91. This task involves constructIon of a large re-cherge
basin in the sovthwistern comer of the property to collect rusk-off from the wastem half of
the capped landfill. Work will include excavation of approximately 30,000 cubic yards of
sand. Work or, this Usk is expected to begin in the spring of 2000 and is expected to take
approximately three,months to complete.
5. Excay4ftigg
9_f.Wa This task involves removal and disposal of 500 to 1.000 cubic
yards of waste bur; d south of the projected southern boundary of the landfill top. Work
on this task is ex to begin later this summer(1999)and Is expected to take
approximately one to complete.

The New York State Environmental Facilities Corporation(EFC)has reviewed for loan
eligibility per the Clean Water State Revolving Fund(CWSRF)regulations 6NYCRR 649.70)the
following vouchers submitted to EFC on February 17,2004 by the Town of Southold for the above
referenced non-point source water pollution control project.
A. Eligible Items
1. Gluck Multimedia Inc: Invoice number 92 for$1,561.81 has been found to be eligible under
the CWSRF regulations.
2. Engineering Costs: Engineering Costs associated with the following invoices have been
found to be eligible under the CWSRF regulations. The following invoices have been found
to be partially eligible:
A. invoice number D&B 1314(86)for$15,161.58;
B. invoice number D&B 1314 (87)for$2,610.42 and,
C. invoice number D&B 1314(88)for$2,885.67
D. invoice number D&B 1314(9 1)for$5,085.64

to easements for the above referenced project have been determined to be ineligible under the
CWSRF program. Additionally, Invoice no 66928-OOM#11 from Smith,Finkelstein, et. al,
for$497.98 has also been determined to be ineligible.
2. Engineering Costs: Engineering Costs associated with the following invoices have been
found to be partially ineligible:

The total ineligible costs under the CWSRF program submitted to EFC February 2004—April 2004 is

for which CWSRF loan assistance can be provided.

An updated project budget is enclosed.
• A schedule confirming the DEC grant amounts is enclosed. Outstanding contract retainage
amounts had been requested from DEC on March 17, 2004 (copies of cover letters enclosed).
Copies of invoices for additional expenses not previously submitted are enclosed. A schedule
listing additional anticipated costs is also enclosed. Please advise if additional information is

These documents have been found to be eligible for funding per the CWSRF regulations. Please)
be advised that this eligibility is subject to the following conditions:
1. THAT this lettFr be kept on file by the Owner.
2. THAT the facilities should be fully constructed and completed in compliance with the
engineering report,plans and specifications and amendments thereto.
3. THAT the construction of the facilities shall be under the direction of a person or firm
licensed to practice professional engineering in the State of New York under the Education
Law of the State of New York,who shall be responsible to inspect work necessary for the
construction of the project and determine whether such work has been performed in
accordance with the plans and specifications.
4. THAT within thirty(30)days of the date Substantial Completion/Initiation of Operation has
occurred,the Owner shall submit two(2)copies of a letter documenting the actual date of
such Substantial Completion/initiation of Operation.
5. THAT within thirty(30)days following completion of construction of the project,the
Owner shall submit two(2)copies of a Certification provided by its Consulting Engineer
stating that construction is in accordance with the plans and specifications and amendments
thereto.

6. THAT the plans and specifications,along with all addenda,be available at the project site at
all times.
The EFC does not assume responsibility for the design of your non-point source water pollution
control project. That responsibility remains with your Professional Engineering Consultant
(reference: CWSRF regulations 6NYCRR 649.70)).
During the review of the plans and specifications,the following work and associated costs were
identified as being ineligible for CWSRF financing:

will be deducted and shown as ineligible project costs.
The balance of the contract documents were found to be eligible as being in compliance with
applicable CWSRF regulations. The total contract successful bid is $5,216,366.50. The CWSRF
eligible amount is$5,103,786.50.
i If any revisions are made to these documents, formal written notification must be furnished to the
EFC including a detailed description of all changes. Changes will be reviewed and an eligibility
determination made by this office for inclusion in costs covered under CWSRF financing.

The New York State Environmental Facilities Corporation has reviewed for loan eligibility per
the Clean Water State Revolving Fund(CWSRF)regulations 6NYCRR 649.70)the following Change
Orders for the above referenced non-point source water pollution control project:
Contract No.2000: General Construction, Southold Landfill Closure, prepared by Dvirka and
Bartilucci Consulting Engineers, September 2000. The original Contract price was$5,216,366.50,
with an original time to final completion of 300 days.
Change Order No. 1, for an increase of 125 days in both the time for Substantial Completion and the
time for Final Completion due to the issuance of the Notice to Proceed extending the original
construction period into t11e winter months.
Change Order No.2,for a change in the construction of Gas Migration Control Trenches,with no
increase or decrease in the total eligible contract price of$5,216,366.50.
Change Order No.3,for the addition of a new bid item, Item no 33 (compaction of C&D material
accepted after completion of baseline topographic survey). This resulted in an increase in the contract
price of$75,000 and raised the total to$5,291,399.50.
Change Order No.4, for an increase of 30 days in both the time for Substantial Completion and the
time for Final Completion due to the need to remove waste beyond the design limits of the cap.
Change Order No.5,for the deletion of Bid Item No. 7(Geotextile), which in this Change Order was
identified as a working credit and not shown to alter the change in contract price. This will also be
addressed in Change Order no 13. As such,this change order showed no increase or decrease in the
total eligible contract price of$5,291,366.50.
Change Order No.6,for an increase in the quantity of bid Item No. 10(installation of 10 additional
gas vents). This resulted in a cost increase of$11,840 which was not reflected in the contract price but

rather deducted from the credit identified in Change Order No 5. This will also be addressed in
Change Order no 13. As such,this change order showed no increase or decrease in the total eligible
contract price of$5,291,366.50.
Change Order No.7,for changes in construction to the maintenance road. The total net change in
costs for these changes is a decrease of$1,700. This will be addressed in Change Order no 13. As
such,this change order showed no increase or decrease in the total eligible contract price of
$5,291,366.50.
Change Order No.8, for Adding Bid Item No 34, Screening of 17-acre Material to produce stone for
the gas migration control. The cost for this item resulted in an increase of$40,000,which was applied
to the existing credit. This will also be addressed in Change Order no 13. As such,this change order
showed no increase or decrease in the total eligible contract price of$5,291,366.50.
Change Order No.9, for the addition of Bid Item No 35, Spreading of Greenport pond material(from
excavation of storm water retention pond). The cost for this item resulted in an increase in the contract
price of$21,000 and raised the total to $5,313,366.50.
Change Order No. 10, for the addition of Bid Item No 36, Southeastern Drainage Diversion System.
The'cost for this item resulted in an increase in the contract price'of$218,354 and raised the total to
$5,530,720.50.
Change Order No. 11, for an increase of 121 days in both the time for Substantial Completion and the
time for Final Completion due to changes made to the landfill closure project and construction of the
Yard Waste Compost Facility. As such,this change order showed no increase or decrease in the total
eligible contract price of$5,530,720.50.
i Change Order No. 12,for the installation of an asphalt curb along the road to the composting facility.
The cost for this item resulted in an increase in the contract price of$3,575 and raised the total to
$5,534,295.50.
Change Order No. 13 identified additional Change Orders resulting in overages and underages not
previously identified, and accounted for the bookkeeping of credits and debits identified in various
Change Orders where these items were not yet reflected in the eligible contract price. This final
Change Order resulted in a decrease in the total eligible contract price of$389,804.87. Therefore,the
final total eligible contract price is $5,144,500.63. The final Contract Price,with all approved change
orders, is$71,865.87 below the original contract price.
These Change Orders have been found to be eligible under the CWSRF regulations. As-such,the
revisions/modifications to the project identified in the Change Orders have been determined to be
eligible for CWSRF financing unless identified otherwise.
The review of the above Change Orders was not a detailed analysis of the costs presented but has
been conducted to ensure that the proposed changes do not include ineligible items for which CWSRF
loan assistance cannot be provided.

amount of your CWSRF loan, additional financing will not be available until a supplemental loan has

following Engineering Agreements for the above referenced non-point source water pollution control
project:
1. Dated October 13, 1994 between Dvirka and Bartilucci Consulting Engineers and the Town
of Southold for technical engineering assistance to the Town's legal counsel in the amount of
$6,000.
2. Dated November 15, 1994 between Dvirka and Bartilucci Consulting Engineers and the
Town of Southold for Amendment#1 to the October 13, 1994 agreement. This amendment
is for the preparation of the Closure Investigation Work Plan in the amount of$6,000.
3. Dated February 10, 1995 between Dvirka and Bartilucci Consulting Engineers and the Town
of Southold for Amendment 42 to the October 13, 1994 agreement. This amendment is to
amend the work for the Closure Investigation Work Plan in the amount of$2,500.
4. Dated December 22, 1999 between Dvirka and Bartilucci Consulting Engineers and the
Town of Southold for the following services: relocation of power lines,fill evaluation,
evaluation of existing soil cover for odor control during re-grading, storm water
management, preliminary design of landfill compost pad, specifications for borrow pit
mining, and borrow pit material testing in the amount of$74,600.
5. Dated March 1, 2002 between Dvirka and Bartilucci Consulting Engineers and the Town of
Southold for an increase in time(155 days)for engineering services and oversight due
approved project completion extension in the amount of$179,977.
6. Dated June 26,2000 between Dvirka and Bartilucci Consulting Engineers and the Town of
Southold for additional QA/QC during the interim town force account work in the amount of
$21,500.

7. Dated June 20, 2002 between Dvirka and Bartilucci Consulting Engineers and the Town of
Southold for an additional increase in time(121 days)for engineering services and oversight
for the final approved project completion extension in the amount of$128,400
During our review,the following engineering services were found to be associated with
ineligible categories for which CWSRF financing cannot be provided:
1. The Engineering Contract, dated December 22, 1999, for preliminary
design of the relocation of the fire department siren and well for$6,400,
and for the testing of stockpiled golf course material for$17,900.
2. The Engineering Contract, dated December 31,2001, for the design of the
well for the fire department for$12,882.
If costs for these services have been included in your loan applications or any disbursement
requests,they will be deducted and shown as ineligible project costs.
The balances of the engineering services were found to be eligible as being in compliance with
applicable CWSRF regulations. Costs associated with providing these services have also been found to
be eligible for CWSRF financing. Please be advised that our review was of the eligibility of the scope
of services for a CWSRF loan only and did not include a review of the reasonableness of costs nor
contract language. The total eligible amount for engineering serviced identified in this letter is
$418,977. EFC has previously determined the eligibility of a March 2, 1999 agreement between
Dvirka and Bartilucci Consulting Engineers and the Town of Southold for$593,868,therefore,the
total eligible engineering costs for the Southold Landfill Closure is$1,012,845.00.

Dear Supervisor Wickham:
The cost for Dvirka and Bartilucci Consulting Engineers (D&B) to prepare a laboratory
specification on behalf of the Town for analysis of samples collected at the Town of Southold
Landfill has been estimated to be a maximum of$1,000.
The original specification dated November 1990 requires modifications as follows:
• The 6NYCRR Part 360 regulations have been updated (10/93) to include more
parameters under the Routine and Baseline Parameter lists.
• All Quality Assurance references need to be updated due to updates to the regulations
(i.e. NYSDEC Analytical Services Protocol 12/91)
• The monitoring parameters summary requires updating based on the Closure
Investigation Work Plan, dated March 1995. Also the Routine Parameters are not
covered under the Closure Plan and need to be incorporated into specification.
• Additional specifications will be included to ensure quality of data and to protect the
Town regarding the need to recollect, reanalyze and re-validate the data. Also a
penalty clause against the laboratory will be added to ensure timely delivery of the data
packages.
The above referenced cost also includes time to analyze the laboratory bids, prepare a spreadsheet
summarizing the bids and provide a recommendation to the Town regarding laboratory selection.

Dear Mr. Bunchuck:
Enclosed please find two price quotations for the removal of bottom material and redevelopment of
monitoring well.MW-6S at the Southold Landfill. Removal of bottom material will be accomplished
by air-lifting the approximately 3 feet of sand and bentonite out of the well via air compressor and
air line. Subsequent to the removal of this material, the well will be redeveloped via the pump and
surge method using a submersible pump. We recommend that a geologist be present to provide
oversight for this work and to collect groundwater quality measurements during redevelopment. We
recommend the above work be performed to ensure the collection of representative groundwater
samples as part of the landfill Closure Investigation and any subsequent monitoring.
The first price quotation from R&L Well Drilling for this work was sent to your office on May 14,
1995, however, we feel that the second price quote from Delta Well & Pump Co., Inc. (Delta)
provides the quality controls which should be maintained to perform the subject work. Therefore,
our recommendation is to use Delta for this work based on their price quote dated May 15, 1995.
Please note that approximately three NYS Department of Transportation approved 55-gallon drums
will be needed for containment of the air-lifted material and groundwater from MW-6S. Based on
previous telephone conversations with the Town, we understand the drums will be supplied and
accessible on-site.

As discussed now that our assignment to provide technical engineering assistance to the Tovkm's legal
counsel regaiding negotiation of a Stipulation of Settlement with the New York State Department of
EnvironmeniW Conservation has been completed, we are very interested in continuing to provide
engineering omsulting services to the Town of Southold regarding the Cutchogue Landfill.
Under the terns of the Stipulation of Settlement, the first task to be undertaken by the Town regarding the
landfill clomv requirements is to provide NYSDEC with existing reports and data relative to landfill gas
and hydrogeo logic conditions at the site. These reports/data comprise the following:
1. Part 360 and Phase II Hydrogeologic Investigation Report, October 1991

It is planned tc provide these documents to NYSDEC,through the Town,in mid October.
Subsequent to review of these documents by NYSDEC, DEC will provide comments/recommendations for
the Closure irivestigation Field Program. Based on the assumption (and hope) that no additional
groundwater onitoring wells will be required,the following field program is anticipated.

Based on the assumed NYSDEC continents and field program, the following budgets are estimated for
Dvirka and B utiluooi Consulting Engineers(labor and expenses).
Task 1 -Closure Investigation Workplan,including provision of existing documentation to
DEC($6,000)
Task 2-Closure Investigation Field Program($19,000)
Task 3-Closure Investigation Report($14,000)
Since the Closure Variance Request Application is dependent in part of the findings of the Closure
Investigation, and the Closure Plan is dependent upon the Variance Requests and approval by NYSDEC,
estimates for Tasks 4 and 6 cannot be provided at this time. Also,since our roll in preparation of the Grant
Application j s not known at this time,an estimate cannot be provided for Task 5.
Our salary ulc and overheaded feetmultiplier will be the same as previously submitted to the Town
(attached).
For the Cl re Investigation Field Program (Task 2), in addition to our costs (labor and expenses for
sampling eq 'pment and supplies), costs will be incurred for groundwater sample analysis. In order to
solicit a ratory to provide these services to the Town, we suggest that a bid specification be prepared
and three p ice quotations be obtained by the Town in accordance with procurement procedures. It is
estimated t the cost for analysis of groundwater samples, plus quality assurance samples as required by
NYSDEC u ider the Part 360 Regulations,will be$10,000.

Closure of Cutchogue Landfill
Dear Mr. Nepal :
The Town of Southold hereby requests that the Closure of the
Cutchogue Landfill be listed in the Intended Use Plan for the New
York State Water Pollution Control Revolving Fund.
The project is the planning, design, and implementation of the
closure and capping of the landfill site, under terms of the
stipulated agreement between the Town and DEC of October 4, 1994
(copy enclosed) .
The project will protect the groundwater by eliminating landfill
leachate and controlling runoff from the site.
An SRF Project Schedule and Project Cost Estimate for this
project are enclosed. The Town is developing a Closure
Investigation Workplan, which will be forwarded to you upon
completion. The Workplan will lay the basis for the Closure
Investigation Report and the subsequent development of
specifications for the design and implementation of closure
activities.
With this letter the Town of Southold hereby requests funds under
the State Revolving Fund for Water Pollution Control for this
work. We will forward documentation of later phases of this
closure project as it is developed.

This letter is to confirm our discussion yesterday regarding State funding for closure of the Southold
Landfill.
It is our understanding that if the Town of Southold receives revenue for the acceptance of Alternative
Cover Material (ACM), the revenue received will not impact the receipt of$2 million in closure grant
monies unless the revenues reduce the net cost of closure, that is, the cost to the Town, to less than $4
million. Net cost to the Town under$4 million will be reimbursed by NYSDEC at 50%.
For example, if the closure construction cost is $6 million and the Town receives $1 million for
acceptance of ACM,the Town still will receive$2 million in grant money, since the net cost to the Town
will be $5 million. However, if the Town receives $3 million for acceptance of ACM,which results in a
net cost to the Town of$3 million,the Town would receive 50%of the amount,or$1.5 million.
If our understanding of this matter is not correct, please inform us as soon as possible.

1. We have asked Thomas Maher of Dvirka and Bartillucci to submit directly to you an apportionment
and the methodology used in the apportionment of engineering costs to date relating to capping and
closure of our Cutchogue landfill. I am hopeful that you will receive this information shortly.
2. A copy of the Town's agreement with Dvirka and Bartilluci, including Appendix A, is enclosed.
3. An agreement for design fees has not yet been negotiated. Once that is done and an agreement is
signed,we will forward a copy to your attention.
4. We do not know how many construction contracts will be let for this project at the present time.
However,we will endeavor to number all construction contracts with a series of numbers beginning
with a prefix of H15 (H15-1, H15-2,etc.).
5. The official name of the project is "Cutchogue Landfill Capping and Closure."

4. The Recipient shall require a Builder's Risk Policy until the project is
completed and accepted in the amount of the total project cost.
5. An Owner's Protective Liability Policy in the name of the Recipient and the
State of New York.
6. Professional consultants retained by the Recipient in connection with the
project shall show evidence of professional liability insurance with limits no less
than $1,000,000.
L. The Recipient shall, where appropriate, identify documents, reports, and maps
produced in whole or in part under this Agreement by endorsing on said
documents, reports, and maps the following:

Department of State with funds provided under Title 11 of the Environmental
Protection Fund."
M. Article 15-A of the New York State Executive Law - The Department of State
administers a Minority and Women-owned Business Enterprises (MWBE)
Program as mandated by Article 15-A of the New York State Executive Law.
This law supersedes any other provision in state law authorizing or requiring an
equal employment opportunity program or a program for securing participation
by minority and women-owned business enterprises. Under this law, all state
agencies must, subject to certain exceptions, establish goals for minority and
women-owned business participation in certain state contracts and grants. Where
MWBE goals are required, even in circumstances where this goal is zero, a
Quarterly Grantee Report is required to be submitted to the Affirmative Action
Office of the Department on forms provided by the Department.
Article 15-A requires that rules and regulations be established for contracts
entered into by the Department. In accordance with Article 15-A, goals must be
set for contracts entered into by the Department in excess of$25,000 for labor,
services, supplies, equipment, and materials, or any combination of the foregoing,
and for contracts entered into by the Department in excess of $100,000 for
acquisition, construction, demolition, replacement, major repair, renovation or
improvement of real property. In applying these rules and regulations, the
Department must consider the availability of certified minority and women-owned
businesses in the region in which the state contract will be performed, the total
dollar value of the contract, the scope of work to be performed, and the project
size and term.
The contractor will, when required as a part of the bid or proposal, submit a
Staffing Plan on the form provided by the Department. This Plan will detail the

work force anticipated in the performance of the state contract broken down by
ethnic background, gender, and Federal Occupational Categories.
After a bid opening and prior to the award of a state contract, the contractor will
submit an Equal Employment Opportunity (EEO) Policy Statement to the
Department within the time frame established by the Department. The law
requires that, as a precondition to entering into a valid and binding state contract,
the contractor shall agree to the following stipulations and will include them in
the EEO Policy Statement:
• The contractor will not discriminate against any employee or applicant
for employment because of race, creed, color, national origin, sex, age,
disability or marital status.
• The contractor will undertake or continue existing programs of
affirmative action to ensure that minority group members and women are
afforded equal employment opportunities without discrimination because
of race, creed, color, national origin, sex, age, disability or marital status.
For these purposes, affirmative action applies in areas of recruitment,
employment, job assignment, promotion, upgrading, demotion, transfer,
layoff, or termination and rates of pay or other forms of compensation.
• The contractor will make active and conscientious efforts to employ and
to utilize minority group members and women at all levels and in all
segments of its work force on state contracts, and the contractor will
document these efforts.
• The contractor will state in all solicitations and advertisements for
employees that, in the performance of the state contract, all qualified
applicants will be afforded equal employment opportunities without
discrimination because of race, creed, color, national origin, sex, age,
disability or marital status.
0 The contractor will, at the request of the Department, request each
employment agency, labor union, or authorized representative of workers
with which it has a collective bargaining or other agreement or
understanding, to furnish a written statement that such employment
agency, labor union, or representative will not discriminate because of
race, creed, color, national origin, sex, age, disability or marital status,
and that such union or representative will affirmatively cooperate in the
implementation of the contractor's obligations herein.
• The contractor will include the provisions regarding the EEO Policy
Statement and' the Staffing Plan enumerated above in each and every

subcontract of a state contract in such a manner that the subcontractor is
bound by these requirements.
• Failure to provide an EEO Policy Statement and a Staffing Plan without
reasonable written justification or commitment to provide these
requirements by a specified date will result in rejection of the contractor's
bid or proposal.
• After the award of a state contract, the contractor will submit to the
Department a Workforce Employment Utilization Report, on the form
supplied by the Department, detailing the work force actually utilized on
the state contract, by ethnic background, gender and Federal Occupational
Categories, as specified on the form. This Report will be submitted to the
Department on a quarterly basis throughout the life of the contract.
• The contractor, and any of its subcontractors, may be required to
submit compliance reports relating to their operations and implementation
of their affirmative action or equal employment opportunity program in
effect as of the date the state contract is executed.

Certified Minority and Women-owned Business Enterprises is made available for
inspection at the Department of State Affirmative Action Office, 162 Washington

respect to the availability or capability of any business listed in the Directory.
II. PAYMENT AND RECORDS RETENTION
A. The Department shall make interim payments for eligible costs incurred up to an
amount not to exceed 90% of the State Funds Requested. The final payment will be
made upon satisfactory completion of the project. Payments shall be made in accordance
with D. below.
B. Notwithstanding the above requirements, upon written notification by the
Department, the Recipient may be required to submit source documentation and
additional verification of allowable expenditures.
C. Interest income earned on funds received pursuant to this Agreement shall be used
to further the purpose of this Project or shall be deducted from total eligible costs to
determine the net eligible costs to be reimbursed by the Department.

Applicants for loans from the Clean Water/Clean Air Bond Act of 1996 are
required to implement a comprehensive Affirmative Action Program and to submit an
approvable Affirmative Action Workplan.
This Affirmative Action Workplan must include the following three elements:
a policy statement; the designation of an Affirmative Action Representative; and a
project description. The Affirmative Action Workplan, together with all other
supporting documentation, should be submitted along with other required
documents at the time of, or prior to, formal application to the program.
A brief description of the three elements are:
Policy Statement
A statement which commits the loan recipient to carry out the intent of
New York State Executive Law, Article 15-A on activities financed by the loan.
This statement should acknowledge the obligations of the loan recipient to
develop a comprehensive M/WBE-EEO program which assures the meaningful
participation of minority and women's business enterprises in contracting, and
the meaningful participation of minorities and women in the workforce(s)
associated with the project(s) to be financed.

This brief policy statement should be developed by the program applicant and
approved by the appropriate governing body.
Affirmative Action Representative
The local government official responsible for administering the approved
comprehensive Affirmative Action Program must be identified.
This information is requested on page one of the Affirmative Action Workplan

The program applicant must identify the nature of the work involved in the
project to be financed. A brief description of the component parts of the
project to be financed will satisfy this element of the Affirmative Action
Workplan. This information is requested on page one of the Affirmative
Action Workplan form. Additional information regarding the nature of the
project should be indicated on supplemental document (page two).

asphalt compost pad over approximately 11 acres of the landfill and a soil and
