THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2014-516 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
JUNE 3,2014:
RESOLVED the Town Board of the Town of Southold hereby authorizes and directs Supervisor
Scott Russell to execute a special services agreement with Coast Environmental Services Inc. for
the provision of pump-out boat services to Fishers Island in an amount not to exceed $10609.00,
subject to the approval of the Town Attorney.

AGREEMENT
This professional services agreement between Coastal Environmental Services (hereinafter
"CES"), a not-for-profit company located at 800 Flanders Road, Mystic, Connecticut 06355, and
the Town of Southold, (hereinafter"Town") a municipality located at 54375 Route 25, P.O. Box
1179,Southold,New York, 11971-0959.
1. The parties herein agree that CES will provide pump-out services to Fishers island on a
reservation basis by deploying a vessel located in the southern region of the Thames
River.
2. CES's current and augmented operating schedule will include service to Fishers Island
beginning June 6, 2014 and ending September 30, 2014. Service will be provided on an
as-need basis on Fridays through Mondays and Wednesdays during the season (June 14
through September 30), between the hours of 9:00am and 7:00pm.
3. CES will utilize the www.Pumpout.me reservation system to schedule pump-outs.
Documentation of services provided including the number of pump-outs performed,
name of employee providing service and vessel used will be submitted to the Town prior
to payment for services.
4. CES will provide additional vessels as necessary to provide the pump-out services
outlined herein.
5. CES will meet with marina management personnel to provide information concerning
their services to boaters in the area. This will include information on how to register for
the pump-out services and the reservation system.This will be provided by CES at no
additional cost.
6. All CES personnel operating the pump-out vessel(s) are currently licensed by the State of
Connecticut in boating safety and have been trained by CES in providing the
aforementioned services.
7. All CES vessels are duly registered,sea-worthy, and equipped to industry standards for
the purpose of providing pump-out services. The vessel that will be primarily used to
service Fishers Island is a 24 foot aluminum boat depicted in the attached photo.

8. Prior to performing the services under this agreement,CES will obtain general liability
coverage and provide the Town a certificate of insurance listing the Town as an
additional insured with limits of$1,000,000 and$2,000,000 aggregate liability for
personal injury and property damage. CES will obtain Protection and indemnity Services
coverage in the minimum amount of$1,000,000,and provide Worker's Compensation
coverage.
9. The Town accepts "Option 2"as detailed in the attached "Fishers Island Statement of
Services" submitted to the Town by CES which reads as follows:
The total cost for deploying a southern Thames boat on a reservation basis with CES
manning of 1.25, which includes labor, dock-walking information personnel,fuel,
overhead and any other cost is:
Total 2014 program cost=$28,700
The 25%match the Town of Southold agrees to pay is an amount not to exceed $7,175.
10. The Town agrees to make payment upon proof of services submitted by CES. The total
cost the Town agrees to pay CES for services described herein will not exceed$7,175.
11. in the event of a default under this agreement,the Town agrees to pay CES a pro-rated
amount for services provided up to the date of default. This agreement shall be
governed by the laws of the State of New York and any litigation arising out of this
agreement shall be brought in the County of Suffolk,State of New York.
12.This is a complete statement of the terms of this agreement. No representative or
employee of the Town has authority to bind the Town to any term other than those
specifically included in this written agreement.

Executive Summary
This document represents Statement of Services for Coastal Environmental Services Inc (CES), a 501(c)
3 nonprofit, to execute operation of the Fishers Island Pumpout Program. CES's aim is to provide a
service on the island that is professional, continual and sustainable. CES is an excellent candidate to
provide pumpout service to the area because of Fishers Island's close proximity to our operating area.
CES believes this arrangement can truly be a win-win-win situation for Fishers Island Sound.
CES has a long history of working with the State of Connecticut DEEP under the Clean Vessel Act Grant.
The DEEP is very receptive to assisting to facilitate this service happening and is in the process of
defining our operating area which is described as "Mystic and Thames Rivers"to include Fishers Island
Sound. This would enable CT DEEP to fund 75% of all expenses associated with the program expansion
into Fishers Island.
This Statement of Services is based on CES proposal of Option #2 which involves extending CES's
operating area of our Southern Thames vessel to include Fishers Island on a reservation basis.
Qualifications and Experience
The following are key individuals who will be involved in various capacities and reflect CES's
qualifications:

• Keith Vandal
Constantine Macris
Constantine has been operating pumpout boats since 2000 for the City of Groton, and was selected as the
Coordinator for the 2002 season. That summer Constantine entered the US Merchant Marine Academy as
a Marine Engineering Systems Design with a minor in Environmental Engineering. Constantine graduated
in 2006 and in 2007 he founded Coastal Environmental Services, Inc a 501 C3 Public Charity such that
CES could contract directly with the State of Connecticut DEP to operate the pumpout boats. Constantine
has worked 7 years as a Marine Engineer with the New York City Department of Environmental
Protection. CES has been operating the program since then and expanded its service area to include the
Thames River and Branford. Constantine established the foundation of policy and protocols to ensure
CES conforms to the various maritime and environmental requirements. Constantine holds a USCG Chief
Engineer of 5000 HP Near Coastal and an Unlimited HP Oceans 3rd Engineering License. Constantine is
a trained US Navy Operational Planner and a Combat Veteran from Operation Enduring Freedom.
Athos Macris
Athos is a co-founder of CES and employs his extensive experience in management consulting and
business processes that augments Constantine's expertise. Athos performs an oversight role from
several perspectives ensuring resources are appropriately utilized and budgets are adhered to.
Keith Vandal
Keith Vandal Keith is a Mystic native and an avid outdoorsman. He holds a BA degree from Boston
University in psychology, and is currently working with counseling the homeless of job skills and entry.
Keith will provide competent training and interface with all staff involved in this project. Keith acts as our
Pumpout Program Manager and has a history of growing programs from nothing into successful
operations.
Leadership, Integrity, Safety
As an example of Constantine's leadership, through his four years at the US Merchant Marine Academy
that included 300 days commercial sea time, he has learned that there are three key values, leadership,
integrity and safety. Leadership as a Pumpout coordinator is important in making sure the service is done
safely and efficiently. This includes managing employees, informing and servicing customers and
interfacing with local marinas. The second core value is integrity, when dealing with a service in the public
eye it is important to have integrity. By doing what you say you are going to do and doing so in an
honorable manner is most important to gain the trust and support of the local boaters and taxpayers.
Lastly safety is something of uncompromising importance. Each individual on the boat must understand
safety and is responsible for operating in a safe manner. CES provides advanced boat handling training to
make every operator ensuring they are prepared for all situations in boat handling.
Scope of Services
CES will deploy to Fishers Island based on a pumpout reservation bases so our trips to the island can be
coordinated and best utilize our time while there.
CES can deploy an existing vessel used in the southern region of the Thames River and extend the
service onto Fishers Island. This is the most cost efficient option which would involve additional fuel cost
associated with running the vessel back and forth depending on need, expanding the hours of operation to
assure the CES current service area receive the same level of service as the service area is increased to
include Fishers Island.
The dates the boat would be available for servicing the island coincide with CES's current and augmented
operating schedule for the Thames River which is:
Friday, Saturday, Sunday, Monday Wednesday 0900 to 1900. CES has augmented the Thames
hours to accommodate Fishers Island service.
CES will utilize the www.Pumpout.me reservation system to schedule pumpouts.
This would enable CES to batch pumpouts together and not need to have a service running on a set
schedule. If the demand is overwhelming CES can always reevaluate and operate another vessel to fill in
the need. This service could run as long as CES operated vessels in the Mystic (Usually year round). This
option would also allow CES to gauge what the demand signal is on the island and adjust the service in
2015 to meet demand.
CES has also instituted a boater information initiative where we send our communication personnel to
marinas to meet the marina management personnel and boaters informing them of the pumpout service
and how to register and use pumpout.me reservation system. That is included as part of our services.
Cost
The cost for deploying a southern Thames boat on a reservation basis with CES manning of 1.25,
including labor, dock-walking informational personnel, fuel and overhead is:
Total 2014 program cost as described above = $28,700
The 25% match which the Town of Southold would commit to = $ 7,175
Conclusion
Coastal Environmental Services, Inc is committed to the preservation and protection of Long Island
Sound. We believe the above options afford the Town of Southold and Fishers Island effective ways
to deploy a pumpout boat program quickly and efficiently. CES has received the contract from the
State of Connecticut to support this initiative, and if this is document is acceptable to the Town of
Southold, it can serve as the contractual vehicle for CES.
