CUSTOMER SIGNATURE TERMS AND CONDITIONS 1. ACCEPTANCE. H.O. Penn Machinery Co., Inc. (Seller) hereby agrees to service Buyer's equipment and supply parts for his machinery as described on the face hereof, but such acceptance is expressly conditional upon acceptance by Buyer of the terms set forth herein. Seller shall not be bound by any terms of Buyer's purchase order which provide conditions additional to or different from the terms hereof. 2. SHIPMENT. Unless otherwise specifically agreed,all prices are for material packed for domestic shipment and for delivery F.O.B.factory or point of shipment.Shipping dates are approximate and based on prompt receipt of all necessary information. All risk of loss shall be upon the Buyer from point of shipment. Buyer shall pay all trans- portation and delivery charges to final destination. 3. PRICES. Prices stated herein are based on present factory costs. Such prices are subject to increase by Sellerat any time prior to delivery in respect of all or any portion of the parts on order to the extent necessary to cover Seller's increased factory costs applicable thereto. Since this estimate is based on visual inspection only, it is subject to a10%variance.We will not exceed this variance without notifying you and securing your consent. The prices quoted are based upon an estimate and the seller will notify the buyer when performing the actual repairs f of any additional services required that will influence the final price.Any changes will be of a mutually agreeable nature and only those modifications that are in writing will be valid. I 4. PAYMENT. The terms of sale herein are subject to credit approval and Seller may at anytime prior to delivery modify the terms of payment originally specified to assure prompt payment for the services rendered. 5. TAXES. The amount of taxes stated on the face hereof, if any, is approximate only. Buyer is liable for the full amount of all taxes applicable to oras a result of this transaction,exclusive of franchise taxes and taxes measured by the net income of Seller. Buyer shall pay the amount of all such taxes as at any time requested by Seller as if � originally added to the price. If Seller pays such taxes, Buyer shall reimburse Seller therefor. 6. DEFAULT. In case of non-payment the Seller retains the right to file a security agreement in connection with E this transaction. In addition an interest rate of 11/2%per month on the unpaid balance will be charged to the buyer and in no way does this constitute acceptance by the seller of the delinquency. In the event Seller shall success- fully bring suit to recover any monies due,and or for possession of the equipment,it will pay,as reasonable attor- ney's fees twenty (20%) percent of the amount owed, in addition to statutory court costs. The Seller shall have any and all of the additional remedies of a secured party under the Uniform Commercial Code. 7. DELAYS. Seller shall not be liable for loss or damage due to delay in delivery ortervice resulting from any cause beyond Seller's reasonable control, including but not limited to, compliance with any regulations, orders, or in- structions of any federal, state or municipal government or any department or agency thereof,acts of God,acts or omissions of the Buyer, acts of civil or military authority,fires, strikes, factory shutdowns or alterations, em- bargoes, war, riot, delays in transportation, or inability due to causes beyond the Seller's reasonable control to obtain necessary labor, manufacturing facilities or materials from the Seller's usual sources; and any delays re- sulting from any such cause shall constitute cause for extending delivery dates and receipt of the goods shall constitute a waiver of all claims for damages in no event shall Buyer or Seller be liable for special or consequential damages. 8. CANCELLATION. Buyer may cancel its order, reduce quantities,revise specifications orextend schedules only by mutual agreement as to reasonable and proper cancellation charges which shall take into account expenses already incurred and commitments made by Seller, and Buyer shall indemnify Seller against any loss resulting therefrom. 9. BUYER ACKNOWLEDGES THAT THERE ARE NO WARRANTIES EXPRESS OR IMPLIED WITH RESPECT TO THE MATERIAL OR SERVICES PERFORMED, OR ANY PART OR PARTS THEREOF, COVERED BY THIS ORDER, INCLUDING WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE WHICH EXTEND BEYOND THE DESCRIPTION ON THE FACE HEREOF. 10. Buyer acknowledges that Seller has instructed Buyer that the within described goods or services should be operated only with equipment prescribed by, and in accordance with the current provisions of the Occupational Safety and Health Act and current applicable national consensus standards and established Federal standards. Buyer hereby releases Seller from and all claims of Buyer by reason of failure of said goods or services to be so operated and agrees to protect,indemnify and save Seller harmless on account of all claims arising from Buyer's failure to operate the same in accordance with applicable laws and regulations. 11. ENTIRE AGREEMENT AND APPLICABLE LAW. The rights and obligations of Seller and Buyer shall be gov- erned by the laws of the state where Buyer's order is accepted by Seller. The provisions hereof are intended by Buyer and Seller as a final expression of their agreement and are intended also as a complete and exclusive state- ment of all the terms applicable to Buyer's order. No waiver, modification or addition to any of the terms thereof shall be binding on Seller unless made in writing. In the event of conflict between Buyer's purchase orderand the terms hereof, the latter shall control. 12. DESCRIPTION: MUST BE NO LESS THAN 24 TRACTION TYPE CAPS & NO LESS THAN 16 CONTOUR CAPS PER WHEEL. THE TRACTION & CONTOUR CAPS MUST NOT EXCEED 6" HEIGHT FROM BASE OF ANCHOR BRACKET AND HAVE A WEIGHT OF NO LESS THAN 20 LBS. EACH FOR TRACTION & 18 LBS. FOR CONTOUR CAPS. SERVICING: BOTH TRACTION & CONTOUR CAPS MUST BE SECURED WITH A THREADLESS PIN AND SPRING TYPE RETAINER. THIS PIN MUST BE NO LESS THAN .075" IN DIAMETER. THE SPRING RETAINER MUST FIT INTO A MACHINED GROOVE MILLED INTO THE PIN AT THE PRECISE LOCKING POSITION TO INSURE THAT THE PIN DOES NOT PERTRUDE ON EITHER END OF THE CAP. THERE MUST BE NO NEED FOR WELDING OF ANY TYPE TO CAPS TO SECURE TO BASE. LOCATION: IF WORK IS TO BE DONE AT BIDDERS FACILITIES, BIDDER WILL BE RESPONSIBLE FOR ALL TRANSPORTATION. TIME: THIS MACHINE MAY NOT BE OUT OF SERVICE FOR LONGER THAN 4 WORKING DAYS, EXCLUDING WEEKEND & HOLIDAYS, WHICH_.WILL ALLOW THE TOWN TO PENALIZE THE BIDDER AT THE RATE OF $400.00 PER DAY.
