THIS AGREEMENT is made this 15th day of November, 1988 by and
between CONNECTICUT TIRE RECYCLING COMPANY (CTR) , a Connecticut
general p'/rVer's'hFiW,DgWSEtf eV%yWti6F SOUTHOLD (Town) .
WITNESSETH:
WHEREAS, the Town in the normal course of its business disposes of
a considerable number of scrap tires annually.
WHEREAS, CTR operates a scrap tire shredding and storage facility (the
"Shredding Facility") in Bloomfield, Connecticut which has the capacity of
shredding and disposing of all of the Town's output of scrap automobile and

truck tires.
WHEREAS, commencing with the date of this Agreement CTR is willing to
1 deliver to the Southold Town Landfill site a trailer to accept all of the Town's
scrap tires, and to deliver the scrap tires to the Shredding Facility maintained
j; by CTR, and CTR is willing to accept all of the Town's scrap tires for the

term and fees set forth below.
j ACCORDINGLY, in consideration of the above and of the mutual agree-
j ments set forth below, the parties agree as follows: j

it1. Provision of Scrap Tires by Town, Acceptance by CTR

(a) CTR will p a trailer, to be filled by employees of the Town,
iiat a secure location at the Southold Town Landfill Site, Cutchogue,
�j New York, on a continuing basis. Price: $1, 100. 00 per trailer load;
$100.00 per month trailer rental.
(b) Title to the scrap tires shall pass from the Town to CTR or
its designees only upon the delivery and unloading of scrap tires
by the Supplier or its agents at the location designated by CTR
on the Shredding Facility premises.
2. Exclusive Dealing. Commencing with the date of this Agreement,
and during its term and any renewal thereof, the Town agrees that neither
the Town nor any of its affiliates or agents shall deliver, sell, assign or
otherwise divert any scrap tires to any individual or entity. other than CTR
except upon CTR's approval. CTR shall have the sole right to dispose of the
scrap tires at any of its affiliate sites.

3. Term of Agreement.
(a) This Agreement shall commence on November 6, 1988, and shall
continue for one (1) year - to November 5, 1989.
(b) Notwithstanding anything herein to the contrary, if CTR in
its sole judgment reasonably concludes that it could be liable for (i)
any liabilities or obligations that exist for the protection of the
environment which would become applicable to CTR as a result of
this Agreement, or (ii) non-compliance by the Town with any
applicable federal, state or local statutes or regulations pertaining

to the conduct of the Town's operations or the performance of its
obligations hereunder, CTR may give the Town notice of such
determination stating that the Agreement is terminated. Upon such
termination, both parties shall be relieved of any further obligation
hereunder arising after the date of such termination.
4. Miscellaneous.
(a) Warranties and Representations Both the Town and CTR
hereby warrant and represent that they are duly authorized to enter
into this Agreement, and that neither the execution nor the perform-
ance of this Agreement conflicts with or constitutes a default under

any agreement or other restriction of any kind binding upon either
party.
(b) Assignment. CTR may assign its rights hereunder to (i) any
person loaning or advancing funds for the construction or permanent
financing of the Shredding Facility, or (ii) Oxford Tire Recycling,
Inc. , a Delaware corporation, or any other entity controlled directly
or indirectly by Oxford Energy, Inc. , a New York corporation.
(c) Force Majeure. Neither party shall be liable for its failure to
perform hereunder due to acts of God, fires, floods, wars, sabotage,
public disturbances, governmental laws, ordinances, rules and
regulations, obstruction of transportation or any other cause or

event not reasonably within the control of the party claiming such
inability and not due to its fault.
The party affected shall give, by certified mail, postage pre-
paid, return receipt requested, prompt written notice to the other
party of the cause and commencement of such contingency, and

likewise when such contingency terminates. The party claiming such
inability shall use its best efforts to remove the cause of the same
with all reasonable promptness, and performance of this Agreement
shall once again be resumed as soon as practicable thereafter.
(e) Notices. All notices and other communications required or
permitted to be given by this Agreement or any provision of
applicable law, shall be in writing and shall be deemed to have been
duly given if delivered personally or by a recognized worldwide
overnight or same say courier service or mailed (by registered or
certified mail, return receipt requested and postage prepaid) as
follows:

standing of the parties and is intended as a final expression of

their agreement and a complete statement of the terms thereof.

(g) Severability. In the event that any provision of this Agreement
is determined by a court of competent jurisdiction to be void and
unenforceable in whole or in part, such determination shall not
affect or impair the enforceability or validity of the remaining
provisions of this Agreement, which shall remain in force and be
implemented so as to give effect to the fullest extent possible to
the parties' original intent.

RESOLVED that the Town Board of the Town of Southold hereby authorizes
and directs the Town Clerk to advertise for bids for the removal of scrap
tires from the Southold Town Landfill Site, Cutchogue, for the period from
November 5, 1988 through November 5, 1989.

Due to the increasing concern to local government, city, and
town offices is the increasing problem of waste tire disposal. It is
a national problem that is getting increased attention from federal,
state and local agencies. Landfills across Long Island are closing
to whole tire disposal and not many shredding devices are available.
As a result we see more of our wooded lots , streets and highways, as
illegal dump sites. Some , town and private property owners are fast
becomming victims finding piles of tires dumped on their property
with no way to dispose of them,
Our tire disposal service can provide service and solutions
to almost anyone concerned with waste tire disposal. We are currently
referred by Islip. Smithtown, and Brookhaven landfills. We also provide
several reputable tire dealers with reliable service. When scheduled
our certified business will provide trucks and labor for on site
pick-up at reasonable rates. Our warehouse is conveniently located
