WITNESSETH,that the party of the first part, Laurie A. Heroy, to whom letters testamentary were issued
by the Surrogate's Court, Suffolk County,New York on November 26, 2002 (File No. ) and
by virtue of the power and authority given in and by said last will and testament and/or by Article 11 of the
Estates, Powers and Trusts Law, and in consideration of THREE HUNDRED EIGHTY THOUSAND
($380,000.00) DOLLARS, paid by the party of the second part, does hereby grant and release unto the
party of the second part, the distributees or successors and assigns of the party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being at East Marion, in the Town of Southold, County of Suffolk and State of New
York, bounded and described as follows:
BEGINNING at the southeasterly comer of land now or formerly of Zebrowski, said point being on the
northwesterly line of a certain 24 foot right of way distant 100.00 feet northeasterly along said right of way
from the comer formed by the intersection of the northwesterly side of Tuthill's Path with the northeasterly
line of Bay Avenue;
RUNNING THENCE from said point of beginning along land now or formerly of Zebrowski, North 34
degrees 12 minutes 40 seconds West, 100.00 feet to a point;
THENCE along land now or formerly of Reilly,North 55 degrees 47 minutes 20 seconds East, 90.00 feet
to a point on the southwesterly line of a 20 ft. right of way;
THENCE along the southwesterly line of said right of way, South 34 degrees 12 minutes 40 seconds East,
100.00 feet to a point on the northwesterly line of a 24 ft. right of way;

now or formerly of Heroy, North 55 degrees 47 minutes 20 seconds East, 190.00 feet to a point;
THENCE still along land now or formerly of Heroy, North 34 degrees 12 minutes 40 seconds West,
100.00 feet to a point;
THENCE along land now or formerly of Reilly and others,the following two (2)courses and distances:
1. North 55 degrees 47 minutes 20 seconds East, 10.00 feet;
2. North 34 degrees 12 minutes 40 seconds West, 100.00 feet to a point;

496 (as to Tax Lot 010.000) and by Laurie A. Heroy, as Executrix of the Last Will and Testament of
Francis A. Heroy, who died a resident of Suffolk County on September 12, 2002, Suffolk County
Surrogate's Court File No. as to a 1/IP interest (as to Tax Lot 022.002).
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and
roads abutting the above described premises to the center line thereof,
TOGETHER with the appurtenances, and also the estate which the said decedent had at the time of
decedent's death in said premises,and also the estate therein,which the party of the first part has or has the
power to convey or dispose of, whether individually,or by virtue of said will or otherwise,
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the distributees
or successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been incumbered in any way whatever,except as aforesaid.
AND the party of the first part,in compliance with Section 13 of the Lien Law,covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of improvement and will
apply same first to the payment of the cost of improvement before using any part of the total of the same
for any other purpose.
The word "party" shall be construed as if it reads "parties" whenever the sense of this indenture so
requires.
