AGREEMENT
THIS AGREEMENT made this 28th day of November, 1989, between the
TOWN OF SOUTHOLD, a municipal corporation of the State of New York,
having its principal office at 53095 Main Road, Southold, Suffolk County,
New York, hereinafter called the "Town", and STANLEY CIERACH, JR.,
residing at 1765 Main Bayview Road, Southold, Suffolk County, New York,
hereinafter called the "Contractor" .
WITNESSETH:
WHEREAS, the Town desires to engage the services of an independent
contractor to perform custodial services for the Town at the Southold Town
Recreation Center, Peconic Lane, Peconic, New York, hereinafter called the
"Building"; and
WHEREAS, THE Contractor has agreed to perform such services for the
Town pursuant to the terms of this agreement.
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
1 . The Town does hereby retain the Contractor to perform the work
hereinafter set forth, and the Contractor does hereby agree to perform the
same all pursuant to the terms and conditions of this agreement.
2. The Contractor agrees to perform the following work for the Town,
to wit:
(a) Beavailable seven (7) days a week, early morning through
late evening, to unlock and lock the building for functions of various
groups.
(b) Set up the Building for Town sponsored activities.
(c) Maintain building security.
(d) Display the American Flag during daylight hours; mow lawn;
remove snow and ice from walkways; paint as needed; sweep, wash,
strip, wax floors as needed; maintain paper supplies in bathrooms,
clean kitchen and appliances, adjust lighting, heat, air-conditioning
according to building use, wash windows, vacuum carpeting, change
light bulbs as needed, supervise hanging of trophies, pictures, posters,
decorations.
(e) Perform other miscellaneous duties required to maintain the
Building in a clean and orderly manner.
3. This Agreement shall commence on January 1, 1990 and terminate
on December 31, 1990.
4. The Town agrees to pay and the Contractor agrees to accept for
the services provided for herein the sum of Twenty-one thousand one hundred
twenty dollars and no cents ($21,120.00), to be paid in twelve (12) monthly
installments of $1 ,760.00 on the first of each month during the term of this
contract.
5. The parties hereto intend that the Contractor shall be deemed an
independent contractor and not an employee, agent, or servant of the Town,
nor shall the Contractor have the right to bind the Town in any manner
whatsoever, nor shall the Contractor be entitled to any benefits provided by
the Town to its officers and employees, including, but not limited to, compen-
sation insurance, unemployment benefits, health insurance benefits, or pension
benefits, it being understood that the Contractor shall be solely responsible
for his acts during the performance of this Contract.
IN WITNESS WHEREOF the parties hereto have hereunto set their hands
and seals the day and year first above written.

DUTIES OF CUSTODIAL CONTRACTOR
FOR THE
SOUTHOLD TOWN RECREATION CENTER, PECONIC LANE, PECONIC, NEW YORK
Available seven (7) days a week, early morning through late evening
to unlock and lock building for functions of various groups.
Set-up building for Town sponsored activities.
Maintain building security.
Display American Flag during daylight hours.
Mow lawn.
Remove snow and ice from walkways.
Paint as needed.
Sweep, wash, strip, wax floors as needed.
Maintain paper supplies in bathrooms.
Clean kitchen and appliances.
Adjust lighting, heat, air-conditioning according to building use.
Wash windows.
Vacuum carpeting.
Change light bulbs as needed.
Supervise hanging of trophies, pictures, posters, decorations.
Other miscellaneous duties required to maintain building in a clean
and orderly manner.
*Paper, cleaning supplies and equipment are to be provided by the
Town of Southold.

described in the invitation for bids, and the contents of this bid have
