EASEMENT AGREEMENT
AGREEMENT,made this 22rd day of August,2012,between
Chloem,LLC,doing business at 1225 Seawood Drive, Southold,New York
11971,and Mill Creek Partners,LLC doing business at 64300 Main Road,
Southold,New York.
WHEREAS Mill Creek Partners,LLC is selling its property located at
64755 Main Road, Southold,New York and further described as SCTM No.
1000-056.00-04.00-022.000 to Chloem,LLC and described at Schedule B;
WHEREAS Mill Creek Partners,LLC is the owner of property
located at 64300 Main Road, Southold,New York and further described as
SCTM No. 1000-056.00-07.00-002.000,and described at Schedule A;
WHEREAS Mill Creek Partners,LLC seeks to use the aforesaid
property it is selling to Chloem,LLC for the purpose of parking vehicles for
its restaurant,and marina,and Chloem,LLC desires to provide parking as
part of the consideration for the purchase of 64755 Main Road, Southold,
New York; and
NOW, THEREFORE, in consideration of the covenants promises set
forth herein,the parties agree as follows:
ONE: As part of the consideration for the sale of the property located
at 64755 Main Road, Southold,New York,Chloem,LLC grants to Mill
Creek Partners,LLC,its successors,and/or assigns an easement for the
exclusive right to use the parking lot located at 64755 Main Road, Southold,
New York to park vehicles or have its customers at the restaurant and marina
located at 64300 Main Road, Southold,New York to park vehicles.
TWO: Mill Creek Partners,LLC shall have the exclusive right to use
the entire parking lot during the period beginning at 6:00 pm and ending at
4:00 am every day for a period of twenty-five(25)years.The Seller shall
further have the right to park twenty(20)vehicles at all other times in
designated parking spaces as reflected on the attached survey. MA

THREE: Mill Creek Partners,LLC has been represented by William
C. Goggins,Esq. of the Law Offices of Goggins I&Palumbo,and Chloem,
LLC has been represented by Richard F.Lark,Esq—of the Law Offices of
Lark&Folts.
FOUR: This easement shall run with the land for the period of
twenty—five(25)years commencing on May 1,2013 and ending on April 30,

SCHEDULE A
ALL that certain plot, piece, or parcel of land, situate, lying and being at
Arshamomogue, Town of Southold, County of Suffolk and State of New
York, bounded and described as follows:
BEGINNING at a point on the southerly side of Main Road said point being
a distance of 451.74 feet measured in a westerly direction along the
southerly side of Main Road from the intersection formed by the westerly
side of Dolphin Drive with the southerly side of Main Road, said point also
being where the northwesterly comer of land now or formerly of Reese
intersects the southerly side of Main Road;
RUNNING THENCE south 13* 15' 00" east along land now or formerly of
Reese 625.0 feet to a point on the shore line of Peconic Bay;
THENCE the following three (3) tie-line courses and distances:
1. South 72* 30' 00" west, 177.0 feet to a point;
2. North 130 00' 00" west, 117.0 feet to a point;
3. North 600 571 10" west, 114.18 feet to a point on the easterly line of land
now or formerly of Goldsmith;
THENCE north 1* 57' 10" West along last mentioned land 468-00 feet to a
point of the southerly line of Main Road;
THENCE the following two (2) courses and distances along the southerly
side of Main Road;
1. South 89* 52' 00" east, 98.42 feet to a point;

Town of Southold, County of Suffolk and State of New York, bounded and
described as follows:
BEGINNING at a point on the northerly line of Main Road 20.17 feet
westerly from an iron pipe set on the southwesterly corner of the land now
or formerly of Edward Van Cura and Charlotte Van Cura said pipe being
located about 950 feet easterly from Mill Creek Bridge along said northerly
line of Main Road and being more particularly located by a tie line running
north 40 degrees 31 minutes 50 seconds east, 257.28 feet from a granite
monument to the said iron pipe, said granite monument being set at the
easterly terminus of north 69 degrees 07 minutes 20 seconds east and the
southwesterly terminus of that course on the southeasterly line of said Main
Road which runs south 51 degrees 27 minutes 20 seconds west said point of
beginning being the southeast corner of the premises;
RUNNING THENCE westerly along the said Main Road on an undivided
300 feet more or less to an iron pipe set at a point which is 300 feet south 59
degrees 07 minutes 20 seconds west from the said point of beginning;
THENCE along said land of Charlotte Van Cura and others north 04 degrees
52 minutes 00 seconds west 200 feet;
THENCE north 53 degrees 26 minutes 00 seconds east, 187.11 feet along
said land of Charlotte Van Cura and others;
THENCE south 38 degrees 22 minutes 40 seconds east, 200 feet along said
land of Charlotte Van Cura and others parallel to and 20.17 feet from the
westerly line of land now of Edward Van Cura and Charlotte Van Cura to
the point of place of BEGINNING.
