WHEREAS, Owners are the owner of a certain parcel of land containing .04 acres, more or less, of land identified by the Suffolk County Tax Map as 1000-135-1-19; located on the northern side of Sound View Avenue in the Hamlet of Southold, Town of Southold, Suffolk County, New York, which includes beach area; and WHEREAS, the Town owns a 66-foot right-of-way, which includes the Town road known as Sound View Avenue, as depicted on the portion of the "Map of Property Owned by Nathan Goldin,"filed in the Office of the Clerk of the County of Suffolk on November 22, 1932, as Map No. 1106, attached hereto as Schedule A; and WHEREAS, Owners recognize that the beach area adjacent to Sound View Avenue was subject to erosion and degradation as a result of a major storm in the Winter of 2010-11, which has undermined and threatened the safety and integrity of Sound View Avenue and has compromised Owners' beach access stairway or ability to construct a beach access stairway; and WHEREAS Owners desire to participate with the Town to construct the Sound View Avenue Shoulder Restoration Project (the "Project"), as depicted in the plans attached hereto as Schedule B; and WHEREAS, in order to accomplish part of the Project, the Town requires a perpetual Easement ("Shoulder Restoration Easement") on a portion of the Property described herein on Schedule C; and C i I V I E. MAR - 32013 -1- "U odw'I WHEREAS, in order to construct Owners' beach access stairway, Owners require a perpetual Easement ("Beach Stairway Easement") over a portion of the Town's right-of-way not including any portion of the right-of-way within six feet of the edge of the road pavement as illustrated on Schedule D. WHEREAS, the Town shall consider the Easement in establishing the full assessed value of any lands subject to such restrictions; and WHEREAS, Owners desire to cooperate in allowing the Project to take place on a portion of said property; and WHEREAS, the Town desires to cooperate in allowing Owners to reconstruct a beach access stairway, on the condition that all agencies with jurisdiction approve such reconstruction; and WHEREAS, Owners and the Town acknowledge that they will benefit from the successful implementation of the Project; and WHEREAS, Owners acknowledge that after successful implementation of the Project, the beach area is still subject to the forces of nature which can result in erosion and accretion of the beach and the Town will have no future obligation or duty to restore the beach, but may do so at its option and in accordance with the terms herein. NOW, THEREFORE, IN CONSIDERATION OF Ten Dollars ($10.00) and other good and valuable consideration paid, the receipt of which is hereby acknowledged, and for the mutual benefits to be received by Owners and the Town from the successful implementation of the Project and grant of easements as set forth below: I. Shoulder Restoration Easement. Owners grant and convey to the Town an irrevocable, assignable, perpetual and permanent easement as follows: 1. Grant of Shoulder Restoration Easement: A perpetual and assignable easement and right-of-way for the Project in, on, over and across that portion of land described as the area north of Sound View Avenue as shown on the annexed Schedule E and more particularly a portion of that property described in Schedule C for use by the Town, its representatives, agents, contractors and assigns to: -2- a. Evaluate, survey, inspect, construct, operate, maintain, repair a riprap gabion revetment and sand replacement, together with appurtenances thereto, including the right to deposit sand and to alter the contours on said land to construct the revetment; b. Move, temporarily store and remove equipment and supplies; C. Perform any other work necessary and incidental to the construction and maintenance of the Project; d. Post signs and plant vegetation, as necessary; e. If construction of the Project has'not begun on said Property by October 31, 2012, then the Town, upon written request of Owners, shall release this Shoulder Reconstruction Easement of record at the Town's sole cost and expense, consistent with all applicable laws in effect at the time the release is requested. 3. Notwithstanding the foregoing, nothing herein is intended or shall be deemed to change the overall character of the Property as private property; nothing herein shall be deemed to grant to the Town or otherwise permit the Town or any other person to cross over or use any part of the Property which -3- is not in the Shoulder Reconstruction Easement Area; nothing herein is intended or shall be deemed to alter the boundary lines or setback lines of the Property. 4. Indemnification and Hold Harmless. The Town shall indemnify and hold harmless Owners against all liability associated with its own acts or omissions in connection with the Town's use of the premises. 5. Owners represent to the Town that the execution of this Shoulder Restoration Easement does not violate any covenant, regulatory restriction, court order or agreement to which its lot may be subject, and that the undersigned is the sole owner of the lot and possessed of full authority to execute same. if. Grant of Beach Stairway Easement: A perpetual and assignable easement to construct a beach access stairway in, on and across a portion of the Town's right-of-way north of the edge of Sound View Avenue not including any portion of the right-of-way within six feet of the edge of the road pavement asMU*4 00 8dule D in accordance with the following: a. In accordance with any applicable Federal, State or local laws or regulations, construct and maintain beach access stairway, subject to approval by any agency with jurisdiction over the construction of such stairway; b. The Owners right to construct a beach access stairway, if constructed, shall be subordinate to the construction, operation, maintenance, repair and rehabilitation of the Project as authorized in Section I "Shoulder Restoration Easement" herein; C. There shall be no encroachment on or obstruction of Sound View Avenue. 2. Duration of Beach Stairway Easement: The Beach Stairway Easement granted hereby shall be in perpetuity. WHEREAS, Owners are the owner of a certain parcel of land containing .04 acres, more or less, of land identified by the Suffolk County Tax Map as 1000-135-1-17; located on the northern side of Sound View Avenue in the Hamlet of Southold, Town of Southold, Suffolk County, New York, which includes beach area; and WHEREAS, the Town owns a 66-foot right-of-way,which includes the Town road known as Sound View Avenue, as depicted on the portion of the "Map of Property Owned by Nathan Goldin,"filed in the Office of the Clerk of the County of Suffolk on November 22, 1932, as Map No. 1106, attached hereto as Schedule A; and WHEREAS, Owners recognize that the beach area adjacent to Sound View Avenue was subject to erosion and degradation as a result of a major storm in the Winter of 2010-11, which has undermined and threatened the safety and integrity of Sound View Avenue and has compromised Owners' beach access stairway or ability to construct a beach access stairway; and WHEREAS Owners desire to participate with the Town to construct the Sound View Avenue Shoulder Restoration Project(the"Project"), as depicted in the plans attached hereto as Schedule B; and WHEREAS, in order to accomplish part of the Project, the Town requires a perpetual Easement("Shoulder Restoration Easement") on a portion of the Property described herein on Schedule C; and Ira -, DD MAA - 3 2013 WHEREAS, in order to construct Owners' beach access stairway, Owners require a perpetual Easement ("Beach Stairway Easement")over a portion of the Town's right-of-way not including any portion of the right-of-way within six feet of the edge of the road pavement as illustrated on Schedule D. WHEREAS, Owners are the owner of a certain parcel of land containing .04 acres, more or less, of land identified by the Suffolk County Tax Map as 1000-135-1-18; located on the northern side of Sound View Avenue in the Hamlet of Southold, Town of Southold, Suffolk County, New York, which includes beach area; and WHEREAS, the Town owns a 66-foot right-of-way, which includes the Town road known as Sound View Avenue, as depicted on the portion of the "Map of Property Owned by Nathan Goldin,"filed in the Office of the Clerk of the County of Suffolk on November 22, 1932, as Map No. 1106, attached hereto as Schedule A; and WHEREAS, Owners recognize that the beach area adjacent to Sound View Avenue was subject to erosion and degradation as a result of a major storm in the Winter of 2010-11, which has undermined and threatened the safety and integrity of Sound View Avenue and has compromised Owners' beach access stairway or ability to construct a beach access stairway; and WHEREAS Owners desire to participate with the Town to construct the Sound View Avenue Shoulder Restoration Project (the "Project"), as depicted in the plans attached hereto as Schedule B; and MAR - 3 2013 -1- Soothou�ow��" WHEREAS, in order to accomplish part of the Project, the Town requires a perpetual Easement ("Shoulder Restoration Easement") on a portion of the Property described herein on Schedule C; and WHEREAS, in order to construct Owners' beach access stairway, Owners require a perpetual Easement ("Beach Stairway Easement") over an approximately 20- foot portion of the Town's right-of-way as illustrated on Schedule D. WHEREAS, the Town shall consider the Easement in establishing the full assessed value of any lands subject to such restrictions; and WHEREAS, Owners desire to cooperate in allowing the Project to take place on a portion of said property; and WHEREAS, the Town desires to cooperate in allowing Owners to reconstruct a beach access stairway, on the condition that all agencies with jurisdiction approve such reconstruction; and WHEREAS, Owners and the Town acknowledge that they will benefit from the successful implementation of the Project; and WHEREAS, Owners acknowledge that after successful implementation of the Project, the beach area is still subject to the forces of nature which can result in erosion and accretion of the beach and the Town will have no future obligation or duty to restore the beach, but may do so at its option and in accordance with the terms herein. NOW, THEREFORE, IN CONSIDERATION OF Ten Dollars ($10.00) and other good and valuable consideration paid, the receipt of which is hereby acknowledged, and for the mutual benefits to be received by Owners and the Town from the successful implementation of the Project and grant of easements as set forth below: I. Shoulder Restoration Easement. Owners grant and convey to the Town an irrevocable, assignable, perpetual and permanent easement as follows: 1. Grant of Shoulder Restoration Easement: A perpetual and assignable easement and right-of-way for the Project in, on, over and across that portion of land described as the area north of Sound View Avenue as shown on the annexed Schedule -2- B and more particularly a portion of that property described in Schedule C for use by the Town, its representatives, agents, contractors and assigns to: a. Evaluate, survey, inspect, construct, operate, maintain, repair a riprap gabion revetment and sand replacement, together with appurtenances thereto, including the right to deposit sand and to alter the contours on said land to construct the revetment; b. Move, temporarily store and remove equipment and supplies; C. Perform any other work necessary and incidental to the construction and maintenance of the Project; d. Post signs and plant vegetation, as necessary; e. The Shoulder Restoration Easement reserves to the Owners, the Owners' heirs, successors and assigns all such rights and privileges as may be used and enjoyed without interfering with or abridging the rights and easements hereby conveyed to the Town, subject, however, to existing easements for utilities and pipelines, existing highways, existing paved public roads and existing public streets. Owners hereby expressly agree not to grade or excavate within the easement area or to place therein any structure or material, without prior approval of the plans and specifications for said activities from the Town. 2. Duration of Shoulder Reconstruction Easement: The Shoulder Reconstruction Easement granted hereby shall be in perpetuity, and in the event that the Town shall become merged with any other geo-political entity or entities, the easement granted hereby shall run in favor of surviving entities. The terms of this Shoulder Reconstruction Easement shall be binding upon, and inure to the benefit of, the parties hereto and their respective representatives, heirs, successors and assigns and shall continue as a servitude running in perpetuity with the land. If construction of the Project has not begun on said Property by October 31, 2012, then the Town, upon written request of Owners, shall release this Shoulder Reconstruction Easement of record at the Town's sole cost and expense, consistent with all applicable laws in effect at the time the release is requested. 3. Character of the Property. Notwithstanding the foregoing, nothing herein is intended or shall be deemed to change the overall character of the Property as -3- private property; nothing herein shall be deemed to grant to the Town or otherwise permit the Town or any other person to cross over or use any part of the Property which is not in the Shoulder Reconstruction Easement Area; nothing herein is intended or shall be deemed to alter the boundary lines or setback lines of the Property. 4. Indemnification and Hold Harmless. The Town shall indemnify and hold harmless Owners against all liability associated with its own acts or omissions in connection with the Town's use of the premises. 5. Owners represent to the Town that the execution of this Shoulder Restoration Easement does not violate any covenant, regulatory restriction, court order or agreement to which its lot may be subject, and that the undersigned is the sole owner of the lot and possessed of full authority to execute same. II. Beach Stairway Easement. The Town grants and conveys to Owners an irrevocable, assignable, perpetual and permanent easement as follows: 1. The Owners right to construct a beach access stairway, if constructed, shall be subordinate to the construction, operation, maintenance, repair and rehabilitation of the Project as authorized in Section I "Shoulder Restoration Easement" herein; C. There shall be no encroachment on or obstruction of Sound View Avenue. 2. Duration of Beach Stairway Easement: The Beach Stairway Easement granted hereby shall be in perpetuity.
