QUITCLAIM DEED

BETWEEN the COUNTY OF SUFFOLK, a municipal corporation of the State of New York,
having its principal office at the Suffolk County Center, Center Drive, Riverhead, New York
11901, party of the first part, and
TOWN OF SOUTHOLD, having its principal offices at 53095 Route 25, P.O. Box 1179,
Southold, New York 11971, party of the second part,
WITNESSETH, that the party of the first part, pursuant to Resolution Number 438-2013
adopted by the Suffolk County Legislature on June 4, 2013 and, thereafter, approved by the
County Executive on June 7, 2013, in consideration of one ($1.00) dollar, and other valuable
consideration paid by the party of the second part, does hereby remise, release and quitclaim
DISTRICT unto the party of the second part,the heirs or successors and assigns of the party of the second

SECTION ALL,that certain plot, piece or parcel of land, with any buildings and improvements thereon

BLOCK District 1000, Section 015.00, Block 02.00, Lot 014.000, and acquired by tax deed on May 10,
02.00 2010, from Angie M. Carpenter, the County Treasurer of Suffolk County, New York, and
------------- recorded on May 12, 2010, in Liber 12624,CP 599, known and designated as Lot 4 on a certain
LOT map entitled"Map of Green Acres at Orient",and filed in the Office of the Clerk of the County of
014.000 Suffolk on April 13, 1962 as Map No. 3540,

FURTHER,notwithstanding the above description,it is the intention of this conveyance to give
title only to such property as was acquired by the County of Suffolk by Tax Deed on May 10,
lJl 2010 from Angie M. Carpenter, the County Treasurer of Suffolk County, New York, and
recorded on May 12, 2010 in Liber 12624, CP 599.
PROVIDED, however, that the party of the second part, will be restricted in its use of the
I subject premises and will use said premises solely and exclusively for affordable housing
purposes;with all right,title,and interest reverting to the party of the first part,at the sole option
of the party of the first part, in the event that the party of the second part, at any time uses or
attempts to use said subject premises for other than affordable housing purposes, in
accordance with the approved plan submitted by the party of the second part. The reverter
clauses contained herein shall apply to the grantee, or any transferee from the grantee
undertaking the construction, reconstruction or rehabilitation of affordable housing on the
subject premises.
Additionally, if any one or more of the following occurs, the property secured by this deed
shall revert as hereinbefore set forth to the party of the first part:
1) If the party of the second part fails to construct or complete construction of affordable
housing unit or units on said property within three(3)years from the date of this deed unless an
extension of time is granted in writing,for good cause shown, by the Suffolk County Director of
Real Estate or any successor thereto. Such extension shall not exceed two two year extensions
unless approved by duly enacted resolution of the party of the first part;
2) If the income, at initial occupancy, of the occupant should exceed 80% of the HUD
established median income for the Nassau-Suffolk PMSA based on family size;
3) If the subsidized purchase price of home should exceed 60% of median sales price for
Suffolk County based upon the State of New York Mortgage Agency Guidelines;
4) If the rent should exceed HUD established fair market rent for Nassau-Suffolk PMSA
based upon bedroom size;
5) If the affordable housing unit or units are owner-occupied, and the unit or units fail to
remain the principal residence of the owner for a period of five (5) consecutive years. If the
affordable housing unit or units are tenant-occupied, and the unit or units fails to remain
affordable for ten (10) consecutive years;
6) If the party of the second part fails to certify to the Suffolk County Director of Real Estate
prior to closing of the title with any affordable housing grantee:
a) the dates of completion and occupancy for any affordable housing unit or units
constructed or rehabilitated on said property; and
b) the total household income, from all sources, of the purchaser or purchasers of the
property and his or her family; and
c) the total purchase or rental price of the affordable housing unit or units sold or
otherwise transferred; and
d) the affordable housing unit or units meet local building and zoning codes.
7. If the Town of Southold shall fail to provide the Suffolk County Director of Real Estate
with an annual written report, no later than December 31 of each year commencing December
31, 2014 on the subject premises, including, but not limited to, the exact and precise use to
which the subject premises has been put to along with the net proceeds generated by the initial
purchase of the subject premises;
8. If any subsequent grantee fails to comply with all applicable state, federal, and local
regulations pertaining to price, income eligibility and marketing standards for affordable housing
programs.
SUBJECT to the condition that the Town of Southold will be restricted in its use of the subject
parcel and will use said parcel solely and exclusively for affordable housing with all right title
and interest reverting to the County of Suffolk in the event that the Town of Southold, at any
time, uses or attempts to use said subject parcel for other than affordable housing or attempts
to sell, transfer or otherwise dispose of or does, in fact, sell, transfer or otherwise dispose of
said subject parcel with said parcel being used thereafter for other than affordable housing.
SUBJECT to the condition that neither Grantee nor any subsequent grantee shall bill or
charge back to Grantor any cost incurred or projected to be incurred for the cleaning up,
removal and disposal of any debris waste and/or contamination on said property. In the event
that such charge back or bill is rendered to the Grantor this Deed shall be void ab initio and the
realty shall revert to the Grantor.
It is intended and agreed that the agreements and covenants herein shall be covenants
running with the land and that they shall be, in any event, and without regard to technical
classification or designation, legal or otherwise, and except only by law, binding for the benefit
and in favor of, and enforceable by, the party of the first part. It is further understood that such
agreements and covenants shall be binding only upon the party of the second part, if it be a
municipality or any assignee of the party of the second part, undertaking the construction,
reconstruction or rehabilitation of affordable housing,only for such period as they shall have title
to or an interest in or possession of the property or part thereof.
TOGETHER with all right,title and interest, if any, of the party of the first part of, in and to any
streets and roads abutting the above-described premises to the center lines thereof;
TOGETHER with the appurtenances and all the estate and rights of the party of the first part
in and to said premises;
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part,the
heirs or successors and assigns of the party of the second part forever.
SUBJECT to all covenants, restrictions and easements of record, if any.
SUBJECT to any state of facts which an accurate survey might show.
AND the party of the first part, in compliance with Section 13 of the Lien Law, hereby
covenants that the party of the first part will receive the consideration for this conveyance and
will hold the right to receive such consideration as a trust fund to be applied first forthe purpose
of paying the cost of the improvement and will apply the same first to the payment of the cost of
the improvement before using any part of the total of the same for any other purpose.
THE WORD "PARTY" shall be construed as if it read "parties"whenever the sense of this
indenture so requires.

THIS IS TO CERTIFY THAT THE FOLLOWING RESOLUTION NO. 2014-176 WAS
ADOPTED AT THE REGULAR MEETING OF THE SOUTHOLD TOWN BOARD ON
FEBRUARY 11,2014:
WHEREAS, Suffolk County has developed a Program known as GML 72-H Affordable
Housing to transfer real property of tax-defaulted properties taken by the County to
municipalities exclusively for the purpose of developing affordable housing; and
WHEREAS, Suffolk County has offered the Town of Southold a blighted property in the hamlet
of Orient, described as SCTM#1000-15-2-14,that the Town has accepted the conveyance of
said parcel to be developed as an affordable housing unit developed by Habitat for Humanity;
now,therefore, be it
RESOLVED that the Town Board of the Town of Southold hereby authorizes and directs
Supervisor Scott A. Russell to execute the Deed and conveyance documents and all other
necessary documents in connection with the Town's sale of a blighted property in the hamlet of
Orient(SCTM#1000-15-2-14), acquired from the County of Suffolk, for the purpose of
affordable housing pursuant to 72-H of General Municipal Law, which property the Town of
Southold will convey to Habitat for Humanity of Suffolk Housing Development Fund Company,
Inc., subject to the approval of the Town Attorney.
