THIS INDENTURE, made the day of December, 2013
BETWEEN
ABIGAIL A. WICKHAM as Executor of the Estate of William Wickham, who died a resident of
Suffolk County On July 17, 2002 and whose will was admitted to probate by the Suffolk County
Surrogate's Court under file #1630P2002, with an address of 13015 Main Road, P.O. Box 1424,
Mattituck, New York 11952, as to a 57% interest; and
ABIGAIL A. WICKHAM as Trustee of the Trust under Will of William Wickham for the benefit
of Helen Wickham, who died on February 14, 2005, with an address of 13015 Main Road, P.O.
Box 1424, Mattituck, New York 11952, as to a 43% interest; party of the first part, and
WW FARMS, LLC, a New York limited liability company with offices at 13015 Main Road, P.O. Box
1424, Mattituck, New York 11952, party of the second part.
WITNESSETH, that the party of the first part, in consideration of TEN AND 001100-----($10.00)------
Dollars, and other good and valuable consideration paid by the party of the second part, does hereby grant
and release unto the party of the second part, the heirs or successors and assigns of the party of the second
part forever:
ALL that certain plot, piece or parcel of land, situate, lying and being at Cutchogue, Town of
Southold, County of Suffolk and State of New York, being more fully described in SCHEDULE "A"
attached hereto and made a part hereof.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and roads
abutting the above described premises to the center lines thereof; TOGETHER with the appurtenances and all
the estate and rights of the party of the first part in and to said premises; TO HAVE AND TO HOLD the
premises herein granted unto the party of the second part, the heirs or successors and assigns of the party of
the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of the
first part will receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement and will apply the same
first to the payment of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read "parties" when ever the sense of this indenture so
requires.

All that certain plot, piece or parcel of land, situate, lying and being at Cutchogue, in the
Town of Southold, County of Suffolk and State of New York, more fully bounded and
described as follows:
BEGINNING at a point on the south side of Middle Road (County Route 48), measured prior
to the widening of said Middle Road (County Route 48), said point being the northeast corner
of the premises herein described and the northwest comer of land now or formerly of Eliot D.
Moore;
RUNNING THENCE along said land now or formerly of Eliot D. Moore, South 30 degrees
39 minutes 20 seconds East, 870.06 feet to a monument;
RUNNING THENCE North 59 degrees 54 minutes 30 seconds East, 283.53 feet through a
monument to land now or formerly of J. Dickey Estate;
RUNNING THENCE South 31 degrees 54 minutes 30 seconds East, 30.36 feet to land now
or formerly of the Long Island Railroad Company;
RUNNING THENCE along said land now or formerly of the Long Island Railroad Company
the following three (3) courses and distances:
1. South 59 degrees 54 minutes 30 seconds West, 645.32 feet;
2. North 29 degrees 26 minutes 30 seconds West, 10.0 feet;
3. South 59 degrees 54 minutes 30 seconds West, 514.79 feet to land now or
formerly of E. C. Tuthill;
RUNNING THENCE along said land now or formerly of E. C. Tuthill, North 27 degrees 41
minutes 20 seconds West, 912.68 feet to Middle Road (County Route 48);
RUNNING THENCE along said Middle Road (County Route 48), North 61 degrees 23
minutes 40 seconds East, 828.95 feet to the point or place of BEGINNING.
Less so much as was taken by the County of Suffolk for the widening of Middle Road
(County Route 48).
BEING AND INTENDED TO BE a portion of the same premises acquired by William
Wickham through the Estate of William H. Wickham, who died December 27, 1919, which
estate was administered in the Suffolk County Surrogate's Court under Index #20179, and
from the Estate of Earle S. Wickham, who died March 1, 1928, which estate was
administered in the Suffolk County Surrogate's Court under Index #30186, and from the
Estate of Florence A. Wickham, who died May 17, 1951, and whose will was admitted to
probate in the Suffolk County Surrogate's Court under Index #375P1951.
