ASSIGNMENT OF ASSIGNMENT OF LEASES AND RENTS
This Assignment of Assignment of Leases and Rents (the "Assignment") is made as of
the P day of December, 2013, by Suffolk County National Bank , a national banking
association, with its principal place of business at 4 West 2°a Street, Riverhead, New York
11901 (the "Assignor") in favor of ACM Riverhead V LLC, a Delaware limited liability
company, with its principal place of business located at 780 Third Avenue, 27g' Floor, New
York, New York 10017 (the "Assignee").
In consideration of the sum of Ten Dollars ($10.00) , and other valuable
consideration, the receipt and sufficiency of which are hereby acknowledged,
Assignor hereby grants, bargains, sells, conveys, assigns, transfers, and sets over
unto Assignee, all of its right, title, and interest in and to that certain Assignment
of Leases and Rents identified on Schedule A annexed hereto and incorporated
herein (individually and collectively, the "Assignment of Leases and Rents'l as
the Assignment of Leases and Rents may have been amended, together with all
indebtedness secured thereby. The Assignment of Leases and Rents shall include,
without limitation, all modifications, restructurings, extensions, consolidations,
replacements, renovations, and amendments thereof.
This Assignment is made without recourse and without any representations or warranties
of any kind, except for any representation or warranty specifically set forth in that certain Loan
Purchase Agreement (the "Agreement") dated December 3, 2013 between the Assignor and the
Assignee.
IN WITNESS WHEREOF, the said Assignor has duly executed this Assignment as of the
date set forth above.
