Ruland, Councilman SECONDER: Jill Doherty, Councilwoman AYES: Dinizio Jr, Roland, Doherty, Talbot, Evans, Russell ORIGINAL THIS AGREEMENT made and entered into this 64day of ka2013, by and between Town of Southold (hereinafter referred to as "Town"), a municipal corporation organized and existing under and by virtue of the laws of the State of New York (mailing address: c/o Elizabeth A. Neville, Town Clerk, Town Hall, P.O. Box 1179, Southold, New York 11971-0959, party of the first part, and L.K. McLean Associates, P.C. (hereinafter referred to as "Consultant") with an address at 437 South Country Road, Brookhaven, New York 11719, party of the second part. WITNESSETH: That the Town and Consultant, for the consideration named, hereby agree as follows: 1. PURPOSE. The Town hereby retains Consultant, on the terns and conditions set forth hereinafter, for the purpose of providing architectural engineering design services and construction support for the Town of Southold Highway Maintenance Facility in Peconic. 2. SPECIFIC SERVICES. On or before December 31, 2015, Consultant shall complete the Professional Architectural and Engineering Services related to the Civil Engineering, Design Development, Preparation of Construction and Project Bid documents, Construction Administration and Observation Phase Services for the proposed new Highway Maintenance Facility to be located at the existing Highway Department property at 275 Peconic Lane, Peconic, New York 11958. The specific scope of work is described in the "Request for Proposals for Architectural and Engineering Services" attached hereto as Attachment A and the "RFP Cost Proposal for Professional Architectural and Engineering Services Relative to the Design and Construction of a new Highway Maintenance Facility for Southold Town," dated June 2013, attached hereto as Attachment B. In case of any conflict or inconsistency between the provisions of Attachment A and Attachment B, the provisions of Attachment A shall govern. 3. TIME AND ATTENDANCE: COOPERATION BY THE TOWN. Consultant shall perform the services described herein and attached hereto in as expeditious a manner as is reasonably possible and no later than December 31, 2015. The Town agrees to cooperate with Consultant, as needed, and to provide Consultant with copies of any records, documents and other information needed for performance of this agreement on a timely basis. The Town further agrees to provide Consultant with access to appropriate officials and/or employees of the Town, as may be needed in the performance of the agreement. -1- Moreover, both parties understand and agree that mutual accountability and responsiveness is critical to the successful completion of the project, and therefore both shall always use their best faith efforts to be accountable and promptly responsive to each other. 4. COMPENSATION. In payment for the services to be performed hereunder by Consultant, the Town shall make payments to Consultant as follows: (a) For the services to be performed by Consultant pursuant to paragraph 2 hereof, the Town shall pay Consultant the sum of $228,570.00 as outlined in Attachment B. Payments shall be incrementally at the completion of each task from this Scope of Work. Consultant shall send the Town a signed voucher for such compensation. Such voucher shall be due and payable within 45 days after receipt of such voucher, but such sum shall not be due and payable by the Town until the Town Board of the Town has received such a voucher and has audited and approved for payment the signed voucher to be submitted by Consultant in connection therewith. The Town Board shall process any vouchers received from Consultant as expeditiously as possible. In the event that the Town disputes or objects to any portion of any voucher submitted by Consultant pursuant to this paragraph, the Town shall, within 30 days of the receipt of such voucher, notify Consultant in writing of such dispute or objection. Consultant acknowledges that Consultant is familiar with the requirements of section 118 of the Town Law which, in effect, prohibit payment of any of Consultant's claims against the Town unless an itemized voucher therefore shall have been presented to the Town Board or Town Comptroller and shall have been audited and allowed by the Town Board or Town Comptroller. 5. TERM OF AGREEMENT; TERMINATION. This agreement shall terminate on December 31, 2015, provided, however, that this Agreement shall terminate immediately in the event that (a) Consultant dies; (b) Consultant incurs a disability which makes Consultant unable to perform the services which Consultant is required to perform hereunder; (c) Consultant files a Petition in Bankruptcy Court or a Petition is filed against Consultant in Bankruptcy Court, or Consultant is adjudged bankrupt or makes an assignment for the benefit of creditors; or (d) a Receiver or Liquidator is appointed for Consultant and/or Consultant's property and is not dismissed within 20 days after such appointment or the proceedings in connection therewith are not stayed on appeal within the said 20 days. In the event that Consultant refuses or fails to provide the services required hereunder with due diligence, or fails to make prompt payment to persons supplying labor for Consultant's services hereunder, or refuses or fails to comply with applicable statutes, laws or ordinances, or is guilty of a substantial violation of any provision of this agreement, the Town shall send Consultant written notice that Consultant has 20 days to cure said default; and if, at the end of said 20-day period, Consultant has not cured said default, the Town may then terminate this agreement on 7 days' prior written notice to Consultant. -2- 6. SKILLS OF CONSULTANT; CONFLICTS OF INTEREST. Consultant represents that Consultant has the requisite skills and experience to perform the services hereunder. 7. INDEPENDENT CONSULTANT STATUS OF CONSULTANT. Consultant and the Town agree that in the performance of Consultant's services hereunder, Consultant is an independent consultant and shall not be deemed to be an employee or agent of the Town for any purpose whatsoever. 8. PROHIBITION AGAINST ASSIGNMENT. Consultant is hereby prohibited from assigning, transferring, conveying, subletting or otherwise disposing of this agreement or his right, title or interest in this agreement. 9. COMPLIANCE WITH STATUTES. Consultant agrees that Consultant will comply with all statutes, ordinances, local laws, codes, rules and regulations which are or may be applicable to Consultant's services, activities and duties set forth in this agreement. 10. NOTICES. APPLICABLE LAW. This Agreement is governed by the laws of the State of New York. 13. COMPLETE AGREEMENT: MODIFICATION. This Agreement constitutes the complete understanding of the parties. No modification of any provisions thereof shall be valid unless in writing and signed by both parties. Scope of Work: (Note - The Following Three (3) Work items will be subject to modification during the design phase of the project to meet Town Requirements, State Building Codes and Suffolk County Department of Health Services [SCDHS] and New York State Department of Environmental Conservation [NYSDEC] permit requirements.) Part 1 Preliminary schematic floor plans and elevations prepared by the Office of the Engineer for the Town of Southold. (See Attachment - A) (Review provisions for future Solar Panel Installations.) Building construction type shall be a pre-engineered metal building. 9,600 S.F.) Building shall be air conditioned including (3) service bays, toilets & all administrative spaces. Building shall be Un-Heated with open floor plan & Dry Storage bays. Building layout shall incorporate the following: 6" Thick 4,000 PSI Concrete Slab with Steel Reinforcement throughout. Electrical Lighting System as directed by the Highway Superintendent. Ventilation Fans. Part 3 Provide design plans & Bid Specifications for a central Fueling Station to be located during the Design Phase of the project. This new Fuel station shall incorporate the following: Two (2) 6,000 Gallon Fuel Storage Tanks (One Each for Gas & Diesel) Four (4) Fuel Pumps (Two Each for Gas & Diesel) 6" Thick 4,000 PSI Concrete Slab with Steel Reinforcement throughout. Aluminum Frame Canopy (Review provisions for future Solar Panel Installations.) Disconnect & Re-Install the Town's Existing Fuel Management System to meet Code. Fire Suppression System and Secondary Containment to meet SCDHS regulations and all other applicable State and Federal requirements. Upon completion and approval of the central Fueling Station by SCDHS and the Town, the existing five (5) Fuel storage tanks located at the site will be demolished in accordance with SCDHS regulations Based on the aforementioned, Engineering Proposals will be requested to provide the following services: TASK 1 - CIVIL / SITE ENGINEERING DESIGN PHASE Topographic Survey The Engineering Design Team must obtain topographic information within the limit of work. This would include visible surface features and spot grades with one foot contours as needed for Design. This project will not require property line information as part of the survey. Several utilities are known to exist in the vicinity of the proposed work. Therefore, as part of the development of the topographic survey, the Engineer shall arrange for the mark-out of subsurface utilities in the area to identify utilities that will need to be relocated and/or protected during construction. The subsurface utilities identified by the utility mark-out will be included in the topographic survey. Site Design Utilizing the topographic survey as a base map, the Design Team will prepare the site engineering package which will include the following: Demolition Plan - prepare a Demolition Plan that identifies the existing site elements that will need to be removed to construct the new maintenance facility and site improvements. All stock pile materials will be relocated by the Town. Site Plan - This plan will detail the dimensions and locations of proposed site improvements. Grading and Drainage Plan - This plan will detail the on-site drainage, site grading, sanitary system and pipe inverts/slopes. Other existing utilities (gas, electric service, water, etc.) and required modifications will also be shown on the plan based on the utility mark out and record drawings if available. • Erosion & Sediment Control Plan - A Detailed erosion & sediment control plan will be prepared, along with accompanying notes and details. . Construction Details - Construction details for drainage, concrete aprons at service bays, sidewalks and other site-related features will be provided. Technical Specifications - A set of technical specifications will be prepared for bidding. Fuel Station Design - A set of construction drawings & technical specifications indicating all access travel to and from the Fueling Station will be required. These plans and specifications will be incorporated into the contract documents being prepared for building construction. The Engineer will meet with the Town to review the documents when they are approximately 60% and 90% complete. The site has access via Main Road (State Route 25) and no modifications to the existing curb cuts are proposed. However, where proposed utility access is needed or required, the Engineer shall provide coordination with all scope of works associated with obtaining approvals from NYSDOT. SCDHS Permitting Services The Engineer shall prepare a permit application for the new fuel storage tanks, pumps and all other associated equipment that complies with SCDHS Article 7 & Article 12 regulations. As part of the scope of work, the Design Team will be responsible for completing Form HMM-001 and all other required application materials, obtaining SCDHS approval for the constructed facility, preparing the necessary plans for demolition and removal of all five (5) existing fuel storage tanks (as well as all pump facilities) and obtaining final approval of the tank demolition from SCDHS. The construction of the new maintenance facility will require the design of a new on-site sanitary system. The Engineer shall prepare Form WWM-004 for sewage disposal facilities for the site and shall design the on-site sewage disposal system in conformance with Article 6 of the Suffolk County Sanitary Code. As part of the scope of work, the Design Team will be responsible for completing the required applications & submitting completed work to the SCDHS for approval of the proposed sanitary sewage disposal system at the site. (Project Note: There is more than one sanitary system serving the entire site. To obtain approval for the new sanitary system, all existing sanitary systems on the property will need to be located and identified. The Engineer will NOT be responsible for the certification of the existing systems.) The sewage design flow for the entire site is estimated to be in excess of 1,000 gallons per day (GPD). Therefore, construction of an additional on-site sewage disposal system will require updating the existing SPDES "D" application and site plan. The Engineer / Design Team will be responsible for the preparation and submission of these documents to the NYSDEC for their review and approval. TASK 2 -DESIGN DEVELOPMENT PHASE 1. The project team will conduct site inspections to investigate the site and surrounding areas and a thorough Review of existing site utilities that correspond with the scope of work noted above. 2. Soil Borings and Geotechnical Report • The Design Consultant shall solicit proposals, schedule soil borings anld the preparation of a geotechnical report. The cost for this report shall be a direct reimbursable expense, the. cost of which will need prior written approval from the Town. On behalf of the Town, the Engineering Design Team will also solicit proposals to perform a subsurface exploratory soil investigation at the project site. The work will include all labor, materials and equipment necessary to perform quantity of soil borings as required by a structural engineer. Samples and blow counts for the borings shall be obtained and reported in accordance with ASTM 01586, "Standard Test Method for Penetration Test and Split-Barrel Sampling of Soils". Soil will be classified in accordance with the Unified Soil Classification System. A soils investigation report will be prepared summarizing their findings, conditions and recommendations. The unit weight of the soil and the subgrade modulus will be included within this report. Groundwater depth, if encountered, will be recorded. The bearing capacity of the soil will be required for each boring. At the completion of work, the contractor will be required to backfill the boring and restore the site to existing conditions. 3. Program Analysis . The project design team will conduct, with representatives of the Town, a planning workshop to establish and refine the project program and obtain from the Town the desired and specific program scope and desires for the project, as well as and not limited to any specialty items or requirements to be included within the design (1 meeting). 4. Preliminary Code Analysis . The project design team will review Federal, State and Local Building and Health Codes to determine specific requirements for the project and document findings. 5. Design Development • The project team will prepare developed floor plans, exterior elevations, and building sections. Floor plans will indicate the size and location of all door & window locations, proposed room names, square footages and overall building dimensions. Building elevations will indicate proposed materials, door & window types, floor-to-floor heights and overall exterior building height. Building Sections will indicate proposed construction type, floor to floor height and clearances. Coordinate design with a selected vendor of pre-engineered metal buildings (Butler, Star, etc.). For stationary maintenance equipment such as lifts, etc., work with vendor selected by Town to coordinate layout and design. . Participate in planning workshops with representatives of the Town to review and refine Design Development Drawings (2 meetings). 6. Construction Cost Opinion • Prepare itemized construction cost opinion, based upon the design development drawings and review cost opinion with the Town. Work with the Town to refine construction cost opinion and project scope to meet project budget constraints. The construction cost opinion shall be based on current industry pricing for Public Works type projects. • During the preparation of the construction cost opinion, the Design Team will consider value engineering practices to monitor and control costs. • A final summary of all costs will be prepared so that a total project cost opinion can be developed, and used to determine the total project cost. The final project cost opinion will include total construction costs (hard costs), allowances as well as soft costs which include professional fees, legal fees, permitting costs, reproduction costs and the costs of any reports or investigations (soil borings, topographic surveys, etc.), and can include any other information as provided by the Town. TASK 3 - CONSTRUCTION DOCUMENTS PHASE NOTE: The preparation of Construction Documents shall be required to investigate & address, all Town Requirements andthe Design Team shall provide the following Scope.of Work to the Town's Satisfaction: 1. Detailed review of existing site, site structures and utilities. 2. Final review of design requirements and final refinement of project program. 3. Review of local utility company requirements. 4. Preparation of Construction Documents, including required plans and detailed technical specifications to include four (4) prime construction contracts as follows: General Construction Work and Site Work Mechanical Work Plumbing Work Electrical Work 5. Preparation of a Demolition Plan for the Existing Fuel Storage Facilities. 6. The Construction Documents shall include but will not necessarily be limited to the following: Informational Drawings: A. Site Plans B. Civil Drawings C. Architectural Floor Plans D. Elevations E. Door & Window Schedules F. Sections & Details G. Structural Plans & Details H. Mechanical Plans & Details 1. Plumbing Plans & Details J. Electrical Plans & Details K. Fire Alarm detection systems L. Code compliance drawings M. Front End Specifications • Notice to Bidders, Contracts, Insurance and Bonding Requirements and any other documents deemed necessary by the A/E will be turned over to the Town for review and approval by the Town Legal Counsel. N. Division 1 through Division 16 - Specifications 0. Technical Specifications to supplement and complement the drawing set 7. Presentation of "30% complete" Construction Documents (1 meeting) to the Town. Provide copies of progress drawings at meetings, as required. 8. Presentation of "60% complete" Construction Documents (1 meeting) to the Town. Provide copies of progress drawings at meetings, as required. 9. Presentation of "90% complete" Construction Documents (1 meeting) to the Town. Provide copies of progress drawings at meetings, as required. 10. Prepare final construction cost opinion at the 90% completion point of the construction documents. 11. Upon completion of the 100% Construction Documents, one (1) signed and sealed Construction Document set and CADD format files shall be turned over to the Town for record. TASK 4 - BIDDING PHASE 1. Reproduction of contract documents and solicitation of bids. The cost of reproduction shall be billed as a reimbursable expense. 2. Provide clarification of construction documents during bidding phase, as needed. 3. Attend the bid opening and Record bids. 4. Provide detailed review of low bid contractor qualifications. 5. Provide detailed bid tabulation review and recommendations for award of contract. 6. Conform contracts for signing. Assist in coordination of signing of contracts with Town Legal Counsel. TASK 5 - CONSTRUCTION ADMINISTRATION PHASE 1. Contractor Payment Requisitions: Receive and log all Contractor payment requisitions (budget as 1 requisition per month). Payment requisition pencil copies are to be reviewed and returned with comments indicating acceptability. Approved pencil copies are to be re-submitted for execution. Review relative percentage complete on work items; log inclusion of Town required voucher, certified payroll receipts, affidavits of debts. Transmit to Town for review of logged items and for issuance of payment to the Contractor. 2. Review of Shop Drawings and Other Contractor Submittals. Receive and log all submittals made by the Contractor's in accordance with the approved schedule of submittals. Submittals are to be reviewed and returned with a grade indicating level of acceptability. 3. Contractor Requests for Information: Receive and log all RFI's submitted by the Contractor. RFI's are to be reviewed and returned with a response suitable to the request made by the Contractor. It will be acceptable for the Contractor to request information that is unclear or in conflict within the document set. 4. Pre-Construction Conference: The Design Team will attend a pre-construction conference with the prime contractors, and representatives of the Town. The purpose of the conference is to introduce the participants of the project and to familiarize the contractors with the policies and procedures to be followed during the project. Minutes of the meeting will be prepared and distributed by the Design Team. 5. Log Progress Meetings: The Engineering Staff will conduct bi-weekly job meetings at the construction site. The primary purpose of the meetings will be to assess and monitor the progress and quality of the work, to identify and resolve problems, and to project upcoming work. Engineering Staff will prepare and distribute minutes of the job meetings. The Job Progress meeting shall be held during normal business hours. 6. General Responsibilities during Construction: Engineering Staff will review and advise the Town as to the acceptability of contractors, materials, equipment and proposed substitutes. Engineering Staff will also issue instructions to the Contractors on behalf of the Town regarding interpretations & coordination during construction. 7. Substantial Completion Inspection: Upon substantial completion of the work, the Engineering Staff will conduct an inspection and will assist in the preparation of a list of any incomplete or unacceptable work. 8. Final Inspection: Upon completion of the work, Engineering Staff will conduct a final inspection. TASK 6 - CONSTRUCTION OBSERVATION PHASE 1. Limited Construction Observation Services: These services include: Limited review and documentation of construction progress and procedures for conformity with the contract documents. It is estimated that a minimum of 15 hours per 5 day work week will be required. The Engineering Design Team will provide coordination of work and the reporting to designated Town personnel regarding construction progress on a regular basis. They shall provide written and photographed documentation of construction progress to the Town, reviewing monthly requisitions for payment and all change order proposals submitted by contractors, attending all scheduled bi-weekly site meetings on behalf of the Town, preparing punch lists of remaining work on behalf of the Town, and conducting and documenting final inspection. 2. Compensation for Limited Construction Observation Services: This item shall be based on the engineered construction time frame for project completion and a recommended amount of coverage during construction, based upon four (4) prime contracts and the complexity of the project. The hours proposed are based upon a weekly average of fifteen (15) hours. The costs associated with the limited construction observation services will be tracked-separately and will be billed monthly,on an hourly basis. If the Project requires additional coverage at any stage of construction, the. Engineer must first get approval from the Town [prior to any additional work. Once approved, additional compensation will be based on a pre-approved Rate Schedule that should be included as part of this RFP. REIMBURSABLE EXPENSES: Reimbursable expenses shall include but may not be limited to the following: 1. Drawing and document reproduction and photocopies (Provide Cost Estimate) 2. Soil Borings and Geotechnical Report (Provide Cost Estimate) 3. Requested Express mail and delivery (Provide Cost Estimate) SERVICES NOT INCLUDED in the PROJECT: Permit fees Legal witness or testimony Environmental studies / testing / reports Off-site public utility infrastructure relocation or upgrade design or engineering Excavation equipment and operator for test borings, holes and pits Construction stakeout and as-built survey SEQRA filings and/or determinations Property or infrastructure improvements on property outside envelope of proposed buildings. Any other services not specifically listed within the proposal The Engineering Design Team would invoice the Town on a monthly based on the actual work completed.
