WITNESSETH, that the party of the first part, in consideration of Ten and 00/100--{$10.)--Dollars, and
other good and valuable consideration paid by the party of the second part, does hereby grant and release
unto the party of the second part, the heirs or successors and assigns of the party of the second part

All that certain plot, piece or parcel of land, situate, lying and being at Fishers Island, in the Town
of Southold, County of Suffolk and State of New York, known and designated as Lot 11 on a
certain Map Entitled, "Walsh Park Benevolent Corporation", Map Na. 8871, Filed in the Suffolk
County Clerk's office on 12/22/1989, being bounded and described as follows:
BEGINNING at a point on the Southwesterly side of Peter's Way, said point being located
5340.93 feet north of a point which is 2107.33 feet west of the monument marking the United
States Coast and Geodetic Survey Triangulation Sfation "Pros" and;
RUNNING THENCE South 30 degrees 54 minutes 37 seconds West 452.31 feet to a point;
THENCE North 58 degrees 38 minutes 09 seconds East 391.62 feet to a point on the said
southwesterly line of Peter's Way at a point of curve to the right having a radius of 245.00 feet;
THENCE Northwesterly along said road line following the arc of said curve for a distance of
112.90 feet to a monument;
THENCE North 20 degrees 18 minutes 26 seconds West 65.00 feet along said road line to a
monument at a point of curve to the left having a radius of 97.80 feet;
THENCE Northwesterly along said road line following the arc of said curve for a distance of 35.00
feet to the point of BEGINNING.
The above described tract is subject to a conservation easement which is described as follows:
BEGINNING at a point on the first line in the above described tract which is 5160.76 feet North of
a point which is 2215.20 feet West of said "Eros" moi-tuiT7ent;
RUNNING THENCE South 30 degrees 54 minutes 37 seconds West 242.31 feet to a point;
THENCE North 58 degrees 38 minutes 09 seconds East 216.35 feet to a point;
THENCE North 32 degrees 18 minutes 33 seconds East 112,75 feet to the point of BEGINNING.
BEING AND INTENDED TO BE the same premises conveyed to the party of the first part by
deed dated February 20, 1997 and recorded on February 27, 1997 in the office of the Clerk of the
County of Suffolk in Liber 11818 at Page 266.
SUBJECT to all restrictions, covenants and conditions set forth in the Ground Lease Agreement
(the "Lease"), dated as of December 17, 1990 {the "Lease"), between Walsh Park Benevolent
Cgrporation, as lessor, and Frank T. Gillan and Cynthia S. Gillan, as lessees, a Memorandum of
_ , Lease with respect to the Lease having been recorded in the Office of the Clerk of the County of
Suffolk, State of New York, in Liber 11243 at Page 276, on April 5, 1991, and amended pursuant
to Amendment to Ground Lease Agreement, dated as of March 26, 1991, which Lease was
assigned to Marc K. Banks and Ann K. Banks by Assignment and Assumption Agreement dated
as of February 20, 1997 and recorded on February 27, 1997 in the office of the Suffolk County
Clerk in Liber 11818 at page 267, and said Lease is simultaneously being assigned to Ann K.
Banks by Marc K. Banks, copies of which have been delivered to the Grantee, the receipt of
which is hereby acknowledged; all such restrictions, covenants and easements set forth in the
Lease and Assignment and Assumption Agreement to apply to and bind Grantee, its heirs,
successors and assigns; and
SUBJECT TO the Declaration of Covenants and Restrictions recorded in the Office of the Clerk of
the County of Suffolk, State of New York, in Liber 10969 at Page 329 on November 20, 1989 (the
"Declaration"); and
AND Grantor, in compliance with the requirements imposed by the Town of Southold and set
forth in paragraph 5 on sheet 1 of Filed Map No. 8871 and in Section V of the Declaration, states
that a former landfill was conducted on Lot Lot 9 and Lot 10 as designated on Filed Map No.
8871.
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets and
roads abutting the above described premises to the center lines thereof; TOGETHER with the
appurtenances and all the estate and rights of the party of the first part in and to said premises.
TO HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever.
AND the party of the first part covenants that the party of the first part has not done or suffered anything
whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the party of
the first part will receive the consideration for this conveyance and will hold the right to receive such
consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement and
will apply the same first to the payment of the cost of the improvement before using any part of the total of
the same for any other purpose. The word "party" shall be construed as if it read "parties" whenever the
sense of this indenture so requires.
