THIS INDENTURE, made the 14th day of May, 2013,
BETWEENGrace M. Kehle, of 635 Strohson Road, Cutchogue, New York 11935,
party of the first part, and
Robert B. Kenney and Linda V. Kenney, husband and wife of 8701 Midnight Pass Road,
Sarasota, Fiarida 34242
party of the second part;
WITNESSETH, that the party of the first part, in consideration of Ten Dollars and No Cents ($10.00)
and other valuable consideration paid by the parry of the second part, does hereby grant and release unto
the party of the second part, the heirs or successors and assigns of the party of the second part forever;
ALL that certain plot, piece or parcel of land, with the buildings and improvements thereon erected,
situate, lying and being in the Town of Southold, County of Suffolk, more particularly described on
annexed Schedule;
TOGETHER with all right, title and interest, if any, of the party of the first part in and to any streets
and roads abutting the above described premises to the center lines thereof,
TOGETHER with the appurtenances and alf the estate and rights of the party of the first part in and to
said premises,
TD HAVE AND TO HOLD the premises herein granted unto the party of the second part, the heirs or
successors and assigns of the party of the second part forever.
SUBJECT TO a right of first refusal retained by the Grantor herein for a term of seven years from the
date of this Deed. Should Grantee herein receive a bona fide offer for the purchase of the subject
premises, and the offer from purchaser shall be acceptable to the Grantee herein, then and in that event,
Grantee shall not sell the subject premises or any portion thereof without first offering the subject
premises to the Grantor herein. Grantee herein shall give Grantor herein the right to purchase the subject
premises at the price and on the terms of the offer so made. This right shall be extended by the Grantee
herein giving written notice of the offer including the price and terms by certified mail, return receipt
requested, to the Grantor herein, requiring the Grantor herein to accept the offer in writing within two
weeks from the date of the receipt of said offer by Grantor herein and to sign a purchase agreement within
thirty days' receipt of the aforementioned acceptance. 1n the event that the Grantor herein does not agree
to purchase the subject premises on the terms set forth above, then the Right of First Refusal granted
herein shall lapse.

BEGINNING at a point on the northeasterly corner of premises to be described
on the westerly line of a private road (Strohson Road} 33.0 feet in width, said
point also being the division line between the premises herein described and
land now or formerly of James Mather and Eileen Sullivan and formerly of
Mildred W. Doran;
RUNNING THENCE along the westerly line of said private road above
mentioned, the following three (3} courses and distances:
1) South 05 degrees 05 minutes 40 seconds West, 144.26 feet;
2) South 50 degrees 05 minutes 40 seconds West, 8fi.70 feet;
3} South 76 degrees 05 minutes 40 seconds West, 73.14 feet to the division line
between premises herein described and land now or formerly of Robert A.
Heintges and Mary C. McLeod;
THENCE along said division line, North 00 degrees 38 minutes 10 seconds
West, 220.97 feet to the division line between land now or formerly of James
Mather and Eileen Sullivan and formerly of Mildred W. Doran;
THENCE along said division line, South 88 degrees 27 minutes 00 seconds
East, 152.79 feet to the westerly line of private road above mentioned, the point
or place of BEGINNING.
Together with an easement of ingress and egress over Strohson Road out to the
. nearest public highway.

Together with all right, title and interest of, in and to any streets and roads abutting the above described premises,
to the center line thereof.

SUBJECT ALSO TO the Grantor herein having the right to store a boat in the rear of the subject
premises at no cost and expense to the Grantor herein for as long as the Grantee herein shall own the
subject premises but in no event for more than seven years from the date hereof.
AND the party of the first part, covenants that the party of the first part has not done or suffered
anything whereby the said premises have been encumbered in any way whatever, except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants that the
party of the first part will receive the consideration for this conveyance and will hold the right to receive
such consideration as a trust fund to be applied first for the purpose of paying the cost of the improvement
and will apply the same first to the payment of the cast of the improvement before using any part of the
total of the same for any other purpose.
The word "party" shall be construed as if it read "parties" whenever the sense of this indenture so
requires.
