' MEMORANDUM OF OPTION AGREEMENT

THIS MEMORANDUM OF OPTION AGREEMENT is made this 2"d day of April, 2013
between COMMERCE EAST TWO, LLC, a New York limited liability Company having office
at 800 Wickham Avenue, Mattituck, New York 11952 ("Optionor") and NORTHFORK
RECYCLING PROPERTY LLC, a New York limited liability company having offices at CIO
Delle Fave Tarascao& Associates, CPA's, 1111 Route 110, Suite 220, East Farmingdale, New
York 11735 ("Optionee").
WHEREAS, the Optianor and the Optionee have entered into that certain Option
Agreement of even date herewith (the "Option Agreement"), pursuant to which the Optionee has
the exclusive right and entitlement to purchase the real property and improvements known as 810
Commerce Drive, Cutchogue, New York 11935, designated on the Suffolk County tax map as:
1400-95-2-6 (the "Premises"), upon such terms and conditions as set forth in said Option
Agreement; and,
WHEREAS, pursuant to the Option Agreement the parties may, without further notice,
demand or presentment, file and record on the public land records maintained by the Suffolk
County Clerk notice of such exclusive right of purchase an the part of the Optionee.
NOW, THEREFORE, and for valuable and sufficient consideration exchanged between
the parties, the receipt and existence of which is hereby acknowledged, it is hereby mutually
agreed that the fallowing Memorandum of Option Agreement may be filed and recorded on the
land records maintained by the Suffolk County Clerk as against the Premises.
1. For valuable consideration described 1 the Option Agreement dated April 2, 2013,
and the contract of sale contemplated thereunder, the Optionee has agreed to purchase
and the Optionor has agreed to sell the real property and improvements known as and
located at 810 Commerce Drive, Cutchogue, New York 1 l 935, designated on the
' Suffolk County tax map as: 1000-95-2-b.
2. The time within which the Optionee shall be entitled to purchase the Premises
• described above shall be from Apri12, 2013 through and including April 2, 2015.
3. Either the Optionor or the Optionee may file and record this Memorandum with the
Suffolk County Clerk, to be indexed to the Premises described above, without further
notice, demand presentment or the consent of the other party.
