GRANT OF LICENSE
This Grant of License made as of January /~ ,2013 between HARRIS B.
PARSONS, JR. and ELIZABETH P. PARSONS, 56 Cottage Street, Wellesley, Massachusetts
02482 (herein collectively referred to as "Grantor"), and THOMAS G. GENIESSE, 530
LaGuardia Place, Apt. 4A, New York, NY 10022 (hereinafter referred to as "Grantee");

WHEREAS, the Grantor is the owner in fee of premises situate at (no#)Hedge Street,
Fishers Island, Town of Southold, County of Suffolk, and State of New York, known as Suffolk
County Tax Map #1000-010.00-07-010), which premises are more particularly bounded and
described as set forth on Schedule A hereto ("Grantor's Premises"); and
WHEREAS, Grantee is the contract vendee of premises situate at 5'2_ Montauk Avenue,
Fishers island, Town of Southold, County of Suffolk, State of New York, known as Suffolk
County Tax Map # 1000-0t0-07-08.00, which said premises are more particularly bounded and
described as set forth on Schedule B hereto ("Grantee's Premises"); and
WHEREAS Grantor's Premises and Grantee's Premises are each improved by a single
r~o ~ family dwelling, are adjoining parcels, and share a common curb cut on and driveway from

WHEREAS, Grantee desires to acquire a LICENSE over the portion of Grantor's
Premises providing access to Grantee's Premises for ingress and egress of pedestrians and
vehicles to and from Grantee's Premises and Hedge Street, and Grantor is willing to grant such a
LICENSE to Grantee along an improved driveway upon the terms and conditions hereinafter set
forth:
NOW THEREFORE, in consideration of the mutual promises herein contained, and one
($1.00) dollar each to the other in hand paid, receipt whereof is hereby acknowledged, and other
good and valuable consideration, the said parties hereby agree as follows:
The Grantor hereby grants and conveys to the Grantee a revocable license, solely for the
use of the curb cut and existing driveway from Hedge Street, over the Grantor's Premises,
to Grantee's Premises; the existing driveway is shown on the attached survey prepared
by CME dated January 15, 2010 described as set forth on Schedule C.
The License granted herein may be revoked by Grantor upon sale or transfer of either
Grantor's Premises or Grantee's Premises or discontinuance of use. Transfer of the
subject properties to the children of the parties shall not constitute a transfer;
The parties agree to share in the cost of maintenance and repair of the portion of the ·
driveway used in common by Grantor's Premises and Grantee's Premises (the "Common
Area"), which COmmon Area is described on Schedule D; Each party Shall bear the sole
cost of maintenance and repair of-the portion of the driveway that serves 0nly such party's
dwelling.
For purposes of this Grant, "maintenance" shall include but not be limited to restoration
of the improvements in the Common Area, to clear from such obstructions as may affect
it from time to time, including; snow and ice, as well as fallen tree limbs.and other debris
resulting from adverse weather condiiions.
For purposes of this Grant, "repairs" shall include but not limited to reStOration of the
improvements in the Common Area to the condition in Which the same exists on the date
hereof, the parties acknowledge that no such repairs shall be deemed necessary until there
has been substantial wear and'tear to such improvements.
Grantor and Grantee shall each maintain adequate insurance and indemnify and hold
harmless the othei- from and against any claims, losses and damages arising out of the use
of or other activities conducted in the Common Areas and on the driveway by Grantors or
Grantee or their respective family members, agents, employees or invitees.
Except as otherwise expressly provided herein, neither Grantor nor Grantee Shall in any
manner impede or obstruct the other from the free use and enjoyment of the respective
Premises to which each party holds fee simple title.
This Grant of License shall not be construed to grant either an easement or right of way,
and Grantee, heirs, successors or assigns, makes no claim of right, title or possession of
Grantor's Premises.
In the event that Grantor revokes the license, Grantee shall have one (1)year from date of
Notice of Revocation, which shall be in writing, to remove said driveway and.restore
Grantor's property.
IN WITNESS WHEREOF, Grantor and Grantee have executed this LICENSE as
