THIS INDENTURE, made as of the 17 day of December, 2012 between THOMAS M.
DOWLING, an individual, having ar~llhddress at c/o Eric Katz, Bowling Green Station,
P.O. Box 73, New York, New York 10274-0073, party of the first part, and OUT NORTH
EAST LLC, a New York limited liability company having an address at c/o Eric Katz,

WITNESSETH, that the party of the first part, in consideration of Ten ($10.00) Dollars
and other valuable consideration paid by the party of the second part, does hereby grant
and release unto the party of the second part, the heirs or successors and assigns of the
party of the second part forever,
ALL that certain plot, piece or parcel of land, with the buildings and improvements
thereon erected, situate, lying and being at Nassau Point, in the Town of Southold, Suffolk
County and State of New York known and designated as Lot No. 253, as shown on map
entitled, "Amended Map A of Nassau Point owned by Nassau Point Club Properties, Inc.,
situate in the Town of Southold, Long Island, NY, surveyed 06/28/22 by Otto Van Tuyl,
CE & Surveyor, Greenport, NY" and filed in the Suffolk County Clerk's Office, New York
on 08/16/22 as File #156.
BEGINNING at a point on the northerly side of Broadwaters Road where the division line
between lot 252 & lot 253 intersect said northerly side of Broadwaters Road; said point
also being distant 157 feet, more or less, from the westerly end of a curve connecting the
northerly side of Broadwaters Road and the westerly side of North Pond Road;
RUNNING THENCE along the northerly side of Broadwaters Road South 48 degrees 24
minutes 50 seconds West 65.33 feet;
RUNNING THENCE along the division line between lot 254 and lot 253 North 07
degrees 54 minutes 50 seconds West 423.46 feet;

unto the party of the second part, the heirs or successors and assigns of the party of the
second part forever.
AND the party of the first part covenants that the party of the first part has not done or
suffered anything whereby the said premises have been encumbered in any way whatever,
except as aforesaid.
AND the party of the first part, in compliance with Section 13 of the Lien Law, covenants
that the party of the first part will receive the consideration for this conveyance and will
hold the right to receive such consideration as a trust fund to be applied first for the
purpose of paying the cost of the improvement and will apply the same first to the payment
of the cost of the improvement before using any part of the total of the same for any other
purpose. The word "party" shall be construed as if it read "parties" whenever the sense of
this indenture so requires.
