THIS INDENTURE, made December ~ 2012 among TONY SCARMATO, JR.,
INC., TOSCA HOLDING& REALTY CORP., and ANTHONY SCARMATO, having an
address at 235 Huckleberry Hill Road, East Marion, New York 11939 (hereinafter referred to as
"Grantor"), and TOSCA REALTY, LLC, having an address at 235 Huckleberry Hill Road, East
Marion, New York 11939, hereinafter referred to as "Grantee").
WITNESSETH, that Grantor, in consideration of TEN AND 00/100 ($10.00)
DOLLARS and other valuable consideration, the receipt and sufficieacy of which is hereby
acknowledged, does hereby grant and release unto Grantee and the heirs, executors, administrators,
legal representatives, successors and assigns of Grantee forever,
ALL that certain plot, piece or parcel of land, situate, lying and
being at East Marion, Town of Southold, Suffolk County,
State of New York, being more particularly described in
Exhibit "A" attached hereto and made a part hereof,
PREMISES being known as and located at 235 Huckleberry
Hill Road, East Marion, New York 11939.
TOGETHER with all right, title and interest, if any, of
Grantor in and to any streets and roads abutting the above
described premises to thc center lines thereof,
TOGETHER with the appurtenances and ail the estate and
rights of Grantor in and to said premises,
BEING and intended to be the same premises conveyed to
Grantor by deed recorded in Liber 7276 Page 110 from Alan
W. Cotgreave to Tony Scarmato, Jr., Inc. (The "Cotgreave
Deed"), and by deed recorded in Liber 8414 Page 349 from
Tony Scarmato, Jr., Inc. to Tosca Holding & Realty Corp., and
by deed recorded in Liber 10365 Page 395 from Tosca Holding
& Realty Corp. to Anthony Scarmato and by deed dated
February 12, 2008 from Anthony Scarmato to Tosca Realty,
LLC and recorded March 13, 2008 in Liber 12543 Page 881 in
the Office of the Suffolk County Clerk.
IT IS THE PURPOSE of this deed to confirm that it was the
intention of the parties to convey the right of way contained in
the Cotgreave Deed.
TO HAVE AND TO HOLD the premises herein granted unto Grantee and the heirs,
executors, administrators, legal representatives, successors and assigns of Grantee forever.
Grantor is the owner of said premises. Said premises is not located in an agricultural
district.
Grantor covenants that Grantor has not done or suffered anything whereby said
premises have been encumbered in any way Whatever, except as set forth herein.
Grantor, in compliance with Section 13 of the Lien Law, covenants that Grantor will
receive the consideration for this conveyance and will hold the right to receive such consideration
as a trust fund to be applied first for the purpose of paying the cost of the improvement before using
any part of the total of the same for any other purpose.

ALL that certain plot, piece or parcel of land, situate, lying and being at East Marion, Town of
Southold, Suffolk County, State of New York, being more particularly bounded and described
as follows:
BEGINNING at a monument on the Southerly side of Huckleberry Hill Road, distance 58.88
feet Southwesterly when measured along the Southerly side of Huckleberry Hill Road from a
monument situate at the corner formed by the intersection of the Southerly side of
Huckleberry Hill Road with the Southwesterly side of Bay Avenue, said point of beginning
being where the Northwesterly line of the hereinafter described premises and the
Southwesterly tine of land now or formerly of Mandaro intersects said Southerly side of
Huckleberry Road:
RUNNING THENCE South 35 degrees 35 minutes East along said Southwesterly line of land
now or formerly of Mandaro, 58.19 feet to a monument;
THENCE South 16 degrees 28 minutes East and along land, now or formerly of Mandaro,
42.75 feet to a monument;
THENCE South 35 degrees 35 minutes East still along said land, now or formerly Mandaro
and passing thru a monument, 115.00 feet deed (115.02 feet - actual) to the ordinary high
water mark of Peconic Bay or Orient Harbor;
THENCE Southwesterly along the ordinary high water mark of Peconic Bay or Orient Harbor,
on a tie line course and distance of South 42 degrees 22 minutes O0 seconds West, 119.00
feet;
THENCE North 45 degrees 07 minutes West along 176.83 feet to a monument on the
Southeasterly side of Huckleberry Hill Road;
THENCE Northeasterly and Northerly and Easterly along the Southeasterly, Easterly and
Southerly side of Huckleberry Hill Road the following three (3) courses and distances:
1. North 16 degrees 10 minutes East, 116.87 feet;
2. North' 46 degrees 50 minutes East, 30.30 feet;
3. North 72 degrees 24 minutes 50 seconds East, 39.80 feet to the monument at the
